Application du paragraphe 55(2) à des actionnaires ne disposant pas d'actions
Société A, Société B, Société C et OPCO sont des «sociétés canadiennes imposables» au sens du paragraphe 89(1) de la Loi. Ces sociétés ne sont pas liées entre elles en vertu du paragraphe 251(2) de la Loi. Société A, Société B et Société C possèdent chacune 1/3 des actions ordinaires émises et en circulation du capital-actions de OPCO. Il s'agit des seules actions émises et en circulation du capital-actions de OPCO. Les trois sociétés ont acquis leurs actions au même moment. Société C a disposé de ses actions en faveur de Société A et Société B (50% chacune). Préalablement à la vente par Société C de ses actions de OPCO, OPCO a versé deux dividendes. Une partie du deuxième dividende ne provenait pas du revenu gagné en main attribuable aux actions ordinaires. L'objet des dividendes était de réduire le gain en capital de Société C.
Est-ce que le paragraphe 55(2) de la Loi s'applique seulement à la partie du dividende qui a été reçu par Société C?

Il semble que dans la situation soumise ci-dessus, le paragraphe 55(2) de la Loi puisse s'appliquer, techniquement, tant à Société A et Société B qu'à Société C.
Nous nous proposons de porter cette situation et nos conclusions à l'attention du ministère des Finances.

Application of subsection 55(2) to shareholders not disposing of shares
Corporation A, Corporation B, Corporation C and OPCO are "taxable Canadian corporations" within the meaning of subsection 89(1) of the Act. These corporations are not related under the terms of subsection 251(2) of the Act. Corporation A, Corporation B, and Corporation C each own one-third of the issued and outstanding common shares of the capital stock of OPCO. These are the only issued and outstanding shares of the capital stock of OPCO. The three corporations acquired their shares at the same time. Corporation C disposed of its shares to Corporation A and Corporation B (50% each). Prior to Corporation C's sale of its shares in OPCO, OPCO paid two dividends. A portion of the second dividend did not come from earned income on hand imputable to common shares. The purpose of the dividends was to reduce the capital gains of Corporation C.
Does subsection 55(2) of the Act apply only to the portion of the dividend received by Corporation C?
Answer of the Canada Customs and Revenue Agency
It appears in the above situation that subsection 55(2) of the Act could apply, technically, to corporations A and B as well as C.
We intend to draw this situation and our conclusions to the attention of the Department of Finance.
