Nature du revenu étranger accumulé, tiré de bien
HOLDCO est une «société privée sous contrôle canadien» au sens du paragraphe 125(7) de la Loi de l'impôt sur le revenu (la «Loi»). HOLDCO possède la totalité des actions émises et en circulation du capital-actions d'une autre société (ci-après «POCO») qui est une «société étrangère affiliée contrôlée» de HOLDCO au sens du paragraphe 95(1) de la Loi. POCO ne paie aucun impôt sur le revenu dans son pays de résidence relativement à ses revenus de placement. Le «revenu étranger accumulé tiré de biens» de POCO au sens du paragraphe 95(1) de la Loi doit être inclus dans le calcul du revenu de HOLDCO en vertu du paragraphe 91(1) de la Loi.
Est-ce que le montant inclus dans le calcul du revenu de HOLDCO en vertu du paragraphe 91(1) de la loi constitue toujours pour HOLDCO un revenu tiré d'une source qui est un bien pour les fins de la définition «revenu de placement total» prévue au paragraphe 129(4) de la Loi ?
Réponse de l'Agence des douanes et du revenu du Canada
L'alinéa 12(1)k) de la Loi prévoit, entre autres, que sont à inclure dans le calcul du revenu tiré d'une entreprise ou d'un bien, les sommes à inclure en application de la sous-section i de la Loi dans le calcul du revenu d'un contribuable pour une année donnée relativement à une action - dont le contribuable est propriétaire - de sa société étrangère affiliée.
Par conséquent, en général, lorsqu'une société canadienne détient un placement dans une société étrangère affiliée contrôlée, le revenu étranger accumulé tiré de bien qui lui est attribué en vertu du paragraphe 91(1) de la Loi serait considéré comme un revenu tiré d'une source qui est un bien aux fins de l'alinéa b) de la définition de «revenu de placement total» au paragraphe 129(4) de la Loi.
On peut remarquer que l'alinéa a) de la définition de «revenu» au paragraphe 129(4) de la Loi prévoit que le revenu tiré d'une entreprise de placement déterminée qu'une société exploite au Canada, est compris dans le revenu de la société pour une année d'imposition tiré d'une source qui est un bien, sauf le revenu tiré d'une source à l'étranger, aux fins de l'application de l'article 129. À notre avis, cette disposition n'empêche aucunement qu'un revenu qui est par ailleurs un revenu de bien tiré d'une source à l'étranger continue d'être considéré comme tel.
Dans la situation soumise, il est donc probable que si HOLDCO détient un placement dans POCO, le revenu étranger accumulé tiré de bien qui lui serait attribué en vertu du paragraphe 91(1) de la Loi serait considéré comme un revenu tiré d'une source qui est un bien aux fins de l'alinéa b) de la définition de «revenu de placement total» au paragraphe 129(4) de la Loi.

Nature of foreign accrual property income
HOLDCO is a "Canadian-controlled private corporation" within the meaning of subsection 125(7) of the Income Tax Act (the "Act"). HOLDCO owns all of the issued and outstanding shares of the capital stock of another corporation (hereafter "POCO"), which is a "controlled foreign affiliate" of HOLDCO under subsection 95(1) of the Act. POCO does not pay any income tax in its country of residence on its investment income. POCO's "foreign accrual property income" under subsection 95(1) of the Act must be included in the computation of HOLDCO's income by virtue of subsection 91(1) of the Act.
Does the amount included in the computation of HOLDCO's income under subsection 91(1) of the Act still constitute income for HOLDCO from a source that is a property for the purposes of the definition of "aggregate investment income" in subsection 129(4) of the Act?
Answer of the Canada Customs and Revenue Agency
Paragraph 12(1)(k) of the Act provides, among other things, that any amount required by subdivision i of the Act to be included in computing a taxpayer's income for a particular year in respect of a share owned by the taxpayer in a foreign affiliate of the taxpayer shall be included in computing the taxpayer's income from a business or property.
Therefore, generally when a Canadian corporation has an investment in a controlled foreign affiliate, the foreign accrual property income imputed to it under subsection 91(1) of the Act would be considered income from a source that is a property for the purposes of paragraph (b) of the definition of "aggregate investment income" in subsection 129(4) of the Act.
It should be noted that paragraph (a) of the definition of "income" in subsection 129(4) of the Act provides that income from a specified investment business carried on by a corporation in Canada is included in the corporation's income for a taxation year from a source that is a property, except for income from a foreign source, for the purposes of section 129. In our view, this provision does not in any way prevent income that is otherwise property income from a foreign source from continuing to be deemed such.
In the situation under discussion, it is therefore likely that if HOLDCO has an investment in POCO, the foreign accrual property income imputed to it under subsection 91(1) of the Act would be deemed to be income from a source that is a property for the purposes of paragraph (b) of the definition of "aggregate investment income" in subsection 129(4) of the Act.
