Principales Questions: One of the requirements of subsection 86(1) is that the disposition of the shares must be "in the course of a reorganization of the capital of a corporation." For this requirement to be met, whether there must absolutely be amendments to the articles of the corporation?

Position Adoptée: The general position of the CRA is that, in the context of subsection 86(1), a reorganization of the capital of a corporation should normally require amendments to the articles of a corporation.

Question 7

La modification des statuts et le roulement du paragraphe 86(1) L.I.R.

Lorsqu'un contribuable désire procéder à un roulement d'un bien en immobilisation sans incidences fiscales, plusieurs possibilités s'offrent à lui. L'une de celles-ci est le roulement automatique prévu au paragraphe 86(1) L.I.R. En effet, si l'ensemble des conditions requises est rempli, le roulement se fera sans incidences fiscales à l'égard du contribuable. Une des conditions essentielles est que la disposition des actions soit effectuée " au cours d'un remaniement du capital de cette société ".

Les termes " remaniement " et " remaniement du capital " ne sont pas définis dans la L.I.R., ni dans le Code civil du Québec ou dans une quelconque loi connexe comme la Loi sur les compagnies du Québec. Considérant que la définition de ce terme n'a pas fait l'objet d'une analyse particulière de la part des tribunaux dans le cadre précis de l'application de l'article 86, il convient de regarder la définition usuelle du terme. Le dictionnaire Larousse (note de bas de page 1) définit cette expression comme étant : " L'action de réorganiser ", " Organiser de nouveau ou sur de nouvelles bases ". Ces définitions confirment que le terme remaniement est un synonyme du terme " réorganisation ", tel qu'en fait aussi foi la version anglaise du paragraphe 86(1) L.I.R. utilisant l'expression " reorganization ".

Comme nous pouvons le constater, le sens des termes définis précédemment est très large et peut englober des changements qui n'impliquent pas nécessairement une modification des statuts de la société.

En pratique, l'ARC accepte généralement que la modification des statuts d'une société puisse constituer un remaniement du capital-actions (note de bas de page 2) . Pour leur part, la majorité des professionnels spécialisés en fiscalité procéderont à une modification des statuts de la société lors d'un roulement selon l'article 86 L.I.R. Cependant, il n'est nullement mentionné à cet article qu'une modification des statuts de la société est nécessaire.

De plus en plus de sociétés possèdent une charte de capital-actions comportant des dizaines de catégories différentes. Cela permet d'avoir plus de flexibilité au fil des ans et d'effectuer rapidement des changements au niveau des actionnaires. Dans cette optique, la tendance actuelle à modifier les statuts afin d'appliquer le roulement prévu au paragraphe 86 (1) L.I.R. pénalise, pour la même transaction commerciale, les contribuables prévoyants du simple fait d'avoir déjà prévu de multiples catégories d'actions dans les chartes de leurs sociétés. " Que la réorganisation implique le capital déjà émis ou le capital autorisé, il n'en demeure pas moins que des changements ont eu lieu et que ceux-ci ont affecté les actionnaires (note de bas de page 3) ".

Considérons la situation suivante :

M. X possède la totalité des actions ordinaires du capital-actions de la société Famille inc. Dans le cadre d'une " réorganisation " visant à geler la participation de M. X, suivie de l'intégration d'un employé clé et des fils de l'actionnaire principal :

• M. X échange la totalité des actions ordinaires qu'il détient du capital-actions de Famille inc. contre des actions privilégiées de gel et un billet à demande au montant du capital versé fiscal des actions échangées;
• immédiatement après, un employé clé et les deux fils souscrivent à des actions ordinaires du capital-actions de Famille inc. en parts égales;
• la charte du capital-actions de la société possède toutes les catégories nécessaires aux précédentes transactions.

M. X procède à l'échange en vertu des règles prévues au paragraphe 86(1) L.I.R., car le paragraphe 51(1) L.I.R. ne permet pas un échange comportant une contrepartie autre qu'en actions.

Questions à l'ARC

Aux fins de la notion de remaniement du capital au sens de l'article 86 L.I.R. :

a) Lorsque dans une situation comme celle-ci où une modification des statuts n'est pas nécessaire afin de procéder à une réorganisation, est-ce que l'ARC serait d'avis que le critère de " remaniement du capital " puisse être satisfait?

b) Dans l'éventualité où l'ARC répond négativement à la question précédente, peut-on conclure que l'ARC exige expressément qu'il y ait modification des statuts de la société afin de qualifier une transaction comme étant un " remaniement du capital "? Dans cette optique, l'ARC ne trouve-t-elle pas inéquitable qu'un contribuable qui prévoit différentes catégories d'actions dans la charte du capital-actions de sa société ne puisse bénéficier du roulement de l'article 86 L.I.R., considérant qu'il s'agit essentiellement de la même transaction commerciale?

Réponse de l'ARC

La position générale de l'ARC est que, dans le cadre du paragraphe 86(1) L.I.R., un remaniement du capital d'une société devrait normalement impliquer une modification des statuts de la société.

Par ailleurs, il est important de noter que même si, dans une situation donnée, le paragraphe 86(1) L.I.R. s'avère inapplicable, il est possible que, tout dépendant des faits et circonstances, une autre disposition de " roulement ", telle que l'article 51 ou 85 L.I.R. (cette dernière disposition législative permettant notamment que la disposition du bien s'effectue pour une contrepartie comprenant à la fois des actions du capital-actions de la société cessionnaire et une contrepartie autre qu'en actions), puisse être applicable.

Amendments to articles and rollovers under subsection 86(1) of the ITA

When a taxpayer wants to proceed with a tax-free rollover of capital property, several options are available. One of these is the automatic rollover provided for under subsection 86(1) of the ITA. If all conditions are met, the rollover will be achieved without any tax consequences to the taxpayer. One essential condition is that the disposition of shares takes place "in the course of a reorganization of the capital of a corporation" (in French, "au cours d'un remaniement de capital").

The terms "reorganization" and "reorganization of the capital" are not defined in the ITA, in the Civil Code of Québec, or in any related law, such as the Companies Act of Quebec. Considering that the definition of this term has not been specifically analyzed by the courts for the specific application of section 86, it is appropriate to review the usual definition of the term. The Larousse (note de bas de page 4) dictionary defines the term "remaniement" as "the action of reorganizing," "to organize again or on a new basis." These definitions confirm that the French term "remaniement" is synonymous with the French term "reorganisation" as evidenced in the English version of subsection 86(1) of the ITA, which uses the expression "reorganization."

As we can see, the meaning of the terms defined above is very broad and may include changes that do not necessarily involve amendments to the articles of the corporation.

In practice, the CRA generally agrees that amendments to the articles of a corporation may constitute a reorganization of the capital of a corporation. (note de bas de page 5) Most tax professionals will proceed to the amendment of the corporation's articles in the context of a rollover under section 86 of the ITA; however, nowhere in that section does it mention that amendments to the articles of a corporation are required.

An increasing number of companies have authorized share capital that includes dozens of different classes of shares. This allows for greater flexibility over the years and quicker changes regarding shareholders. From this perspective, the current tendency to require amendments to the articles of a corporation in order to apply the rollover provided for under subsection 86(1) of the ITA penalizes, with respect to the same business transaction, farsighted taxpayers for the simple fact that they have already provided for multiple classes of shares in their corporation's articles. [TRANSLATION] "Regardless of whether the reorganization involves previously issued capital or authorized capital, the fact remains that changes have taken place and that they have affected the shareholders." Consider the following situation:

Mr. X owns all of the common shares of the capital stock of FamilyCo. As part of a "reorganization" aimed at freezing Mr. X's interest, followed by the integration of a key employee and the principal shareholder's sons:

• Mr. X exchanges all of his common shares of the capital stock of FamilyCo for freeze preferred shares and a demand promissory note in the amount of the paid-up capital of the exchanged shares.
• Immediately afterwards, a key employee and the two sons subscribe for common shares of the capital stock of FamilyCo, in equal proportions.
• The corporation's authorized share capital already contains all of the classes necessary for the above-mentioned transactions.

Mr. X makes the exchange pursuant to the rules of subsection 86(1) of the ITA, as subsection 51(1) of the ITA does not allow for an exchange involving non-share consideration.

Questions for the CRA:

For the purposes of the concept of "reorganization of the capital" in the context of section 86 of the ITA:

a) In a situation such as this, where amendments to the corporation's articles are not required to effect the reorganization, would the CRA agree that the criterion of "reorganization of the capital" can be met?

b) If the CRA responds negatively to the previous question, can it be concluded that the CRA expressly requires that the corporation's articles be amended in order that the transaction constitutes a "reorganization of the capital"? From this perspective, does the CRA not find it unfair that a taxpayer who provides for various classes of shares in his/her corporation's authorized share capital cannot benefit from the rollover under section 86 of the ITA, considering that it is essentially the same business transaction?

CRA response

The general position of the CRA is that, in the context of subsection 86(1) of the ITA, a reorganization of the capital of a corporation should normally require amendments to the articles of a corporation.

Furthermore, it is important to note that, even if in a given situation subsection 86(1) of the ITA does not apply, depending on the facts and circumstances, another "rollover" provision may apply, such as section 51 or 85 of the ITA (the latter legislative provision allows, among other things, for the disposition of property for consideration that includes both shares of the capital stock of the transferee corporation and non-share consideration).
