Principales Questions: In technical interpretation no. 9525315, the following fact situation was considered: On July 1, 1995 at 5:00 pm, a corporation ("Aco") sells to another corporation ("Bco") all of the issued and outstanding shares of the capital stock of an operating corporation ("Opco"). The fiscal period and taxation year of Aco ends on December 31, 1995. The fiscal period and taxation year of Bco ends on January 31, 1996. Pursuant to paragraph 249(4)(a) and in the absence of an election under subsection 256(9), the taxation year of Opco is deemed to have ended on June 30, 1995. Opco chooses to have its next fiscal period end on December 31, 1995. One of the questions at issue was whether Aco would be associated with Opco for their taxation years ending December 31, 1995. The CRA (then Revenue Canada) answered negatively. In support of this answer, the CRA indicated, among other things, that it did not consider the application of paragraph 256(1.2)(c) as taking precedence over subsection 256(9). Whether this administrative position still represents CRA's position.

Paragraphe 256(9) L.I.R. vs alinéa 256(1.2)c) L.I.R.
Le contrôle d'une société est généralement réputé avoir été acquis au début du jour au cours duquel le contrôle de la société est acquis, et non au moment précis du jour où l'opération donnant lieu à l'acquisition du contrôle est effectuée.
Dans l'opinion no 9525315 du 26 février 1996, l'ARC avait indiqué ce qui suit :
" De même, le Ministère ne considérerait pas l'application de l'alinéa 256(1.2)c) de la Loi comme ayant préséance sur le paragraphe 256(9) de la Loi pour venir réputer que A Inc. contrôle Opco pour la période de 00 h 01 à 16 h 59 le 1er juillet 1995. A Inc. et Opco ne seraient donc pas associées pour leur exercice financier se terminant le 31 décembre 1995. "
Ces commentaires s'appliquaient à la situation hypothétique suivante :
- Le 1er juillet 1995 à 17 :00 heures, A Inc. vend 100% des actions de Opco à B Inc. Le titre de propriété des actions de Opco est effectivement transféré à 17 h le 1er juillet 1995.
- L'exercice financier de A Inc. se termine le 31 décembre 1995.
- L'exercice financier de B Inc. se termine le 31 janvier 1996.
- En vertu de l'alinéa 249(4)a) L.I.R. et en l'absence d'un choix en vertu du paragraphe 256(9) L.I.R., Opco est réputée avoir une fin d'année d'imposition se terminant le 30 juin 1995.
- Opco fixe son prochain exercice financier au 31 décembre 1995.
- On demandait entre autres à l'ARC si A Inc. était, pour son exercice financier se terminant le 31 décembre 1995, associée à Opco pour son exercice débutant au premier moment du 1er juillet 1995 et se terminant le 31 décembre 1995 en vertu de l'alinéa 256(1.2)c) L.I.R.
La Cour d'appel fédérale a statué en 2006 (La Survivance c. La Reine, 2006 CAF 129), que l'application de cette présomption visait strictement la question du contrôle : dans les cas où le contrôle d'une société est acquis par un acquéreur à la suite d'un transfert d'actions de la société par un vendeur à cet acquéreur, le vendeur est considéré comme ayant cédé le contrôle de la société au début du jour du transfert, mais le vendeur est considéré comme ayant conservé la propriété des actions jusqu'au moment du transfert proprement dit.
Question à l'ARC
En vous fondant sur l'interprétation technique de 2008 de l'ARC (#2006-0214781E5) ainsi que sur la réponse à la question 16 à la Table ronde fédérale du congrès de l'APFF 2008, et à la suite de la modification proposée au paragraphe 256(9) L.I.R. dans le budget fédéral 2009, pouvez-vous nous confirmer si l'interprétation technique no 9525315 représente toujours la position de l'ARC en ce qui concerne l'application de l'alinéa 256(1.2)c) et du paragraphe 256(9) L.I.R.?
Réponse de l'ARC
L'interprétation technique no. F 9525315 du 26 février 1996 abordait plusieurs questions. La première question y étant traitée est celle décrite dans l'énoncé ci-dessus. Pour répondre à cette première question, l'ARC devait trancher deux sous-questions d'interprétation : d'abord, l'ARC devait déterminer la portée du paragraphe 256(9) L.I.R. et, plus précisément, si le paragraphe 256(9) produisait ses effets tant pour la société qui acquiert le contrôle, que pour celle qui en dispose ; ensuite, l'ARC devait déterminer quelle était l'interrelation entre le paragraphe 256(9) et l'alinéa 256(1.2)c), deux dispositions déterminatives relatives au contrôle d'une société.
La présente question de la Table ronde vise de manière spécifique cette seconde sous-question d'interprétation.
Dans la décision La Survivance, la Cour d'appel fédérale devait trancher deux questions : la première était relative à la date de la disposition par le contribuable des actions du capital-actions de sa filiale ; la seconde était relative à l'effet de la fiction prévue au paragraphe 256(9). La Cour d'appel fédérale n'avait pas à se prononcer sur l'interrelation entre le paragraphe 256(9) et l'alinéa 256(1.2)c) L.I.R.
La problématique relative à la possibilité pour un contribuable de réclamer une déduction pour gains en capital décrite dans les documents E 2006-0214781E5 et à la question 16 de la Table ronde fédérale du congrès de l'APFF 2008 (F 2008-0285221C6) était à certains égards similaire à la situation décrite dans la décision La Survivance. Ainsi, cette problématique n'avait pas trait à l'interrelation entre le paragraphe 256(9) et l'alinéa 256(1.2)c) L.I.R.
Finalement, les modifications législatives récemment effectuées par le ministère des Finances au niveau du paragraphe 256(9) L.I.R. avaient pour but de restreindre la portée du paragraphe 256(9) et n'abordaient aucunement la question de l'interrelation entre le paragraphe 256(9) et l'alinéa 256(1.2)c) L.I.R.
Compte tenu de ce qui précède, nous vous confirmons que l'ARC ne considère toujours pas l'application de l'alinéa 256(1.2)c) L.I.R. comme ayant préséance sur le paragraphe 256(9) L.I.R. pour venir réputer que A Inc. contrôlerait Opco pour la période entre le premier moment du 1er juillet 1995 et le moment immédiatement avant la disposition des actions du capital-actions d'Opco à 17 :00 heures. En conséquence, dans l'exemple décrit dans l'énoncé de la présente question, la venderesse A Inc. et Opco ne seraient donc pas associées pour leur année d'imposition se terminant le 31 décembre 1995.

Subsection 256(9) of the ITA vs Paragraph 256(1.2)(c) of the ITA
The control of a corporation is generally deemed to have been acquired at the beginning of the day during which the control of the corporation is acquired and not at the particular time on a day where the transaction resulting in the acquisition is effected.
In the opinion No. 9525315 of February 26, 1996, the CRA stated as follows:
"Similarly, the Department would not regard the application of paragraph 256(1.2)(c) of the Act as having precedence over subsection 256(9) of the Act so as to deem that A Inc. controls Opco for the period between 12:01AM and 4:59PM on July 1, 1995. Therefore, A Inc. and Opco would not be associated for their fiscal year ending on December 31, 1995." (Unofficial translation from the French)
These comments applied to the following hypothetical situation:
- On July 1, 1995, at 5:00PM, A. Inc. sells 100% of the shares of Opco to B Inc. The ownership of the shares of Opco is effectively transferred on July 1, 1995 at 5:00PM.
- The fiscal year-end of A Inc. is December 31, 1995.
- The fiscal year end of B Inc. is January 31, 1996.
- In accordance with paragraph 249(4)(a) of the ITA and in the absence of an election pursuant to subsection 256(9) of the ITA, Opco is deemed to have a taxation year ending on June 30, 1995.
- Opco establishes its next fiscal year as being December 31, 1995.
- The CRA was asked, among others, if A Inc. was, for its fiscal year ending on December 31, 1995, associated with Opco for its fiscal year beginning on the first moment of July 1, 1995 and ending on December 31, 1995 pursuant to paragraph 256(1.2)(c) of the ITA.
The Federal Court of Appeal ruled in 2006 (La Survivance v. The Queen, 2006 FCA 129) that the application of this deeming rule is strictly aimed at the question of control: in the case where the control of a corporation is acquired by a purchaser after a transfer of the shares of the corporation by a vendor to this purchaser, the vendor is regarded as having relinquished the control of the corporation at the beginning of the day of the transfer, but the vendor is regarded as having maintained ownership of the shares until the time of the transfer itself.
Question to the CRA
Based on the CRA's 2008 technical interpretation (No. 2006-0214781E5) as well as the response to question 16 of the Round Table on the Federal Taxation of the 2008 APFF Conference, and considering the proposed amendments to subsection 256(9) of the ITA in the 2009 federal budget, can you indicate to us if the technical interpretation No. 9525315 still represents the position of the CRA concerning the application of paragraph 256(1.2)(c) of the ITA and subsection 256(9) of the ITA?
CRA Response
The technical interpretation No. F 9525315 of February 26, 1996 dealt with several questions. The first question dealt with therein is the one described above. To respond to this first question, the CRA had to settle two sub-questions of interpretation: to begin with, the CRA had to determine the scope of subsection 256(9) of the ITA and, more precisely, if subsection 256(9) of the ITA applied to the corporation which acquired the control as well as to the one that relinquished it; after that, the CRA had to determine what was the interrelationship between subsection 256(9) of the ITA and paragraph 256(1.2)(c) of the ITA, two deeming provisions with respect to the control of a corporation.
This Round Table question deals specifically with this second sub-question of interpretation.
In La Survivance, the Federal Court of Appeal had to settle two questions: the first concerned the date of disposition, by the taxpayer, of the shares of the capital stock of its subsidiary; the second concerned the effect of the fiction provided in subsection 256(9) of the ITA. The Federal Court of Appeal did not have to make a decision on the interrelationship between subsection 256(9) of the ITA and paragraph 256(1.2)(c) of the ITA.
The problem described in document E 2006-0214781E5 and question 16 of the Round Table on the Federal Taxation of the 2008 APFF Conference (F 2008-0285221C6) which relates to the possibility of a taxpayer claiming a capital gains deduction, was in certain respects similar to the situation described in La Survivance. Therefore, this problem did not relate to the interrelationship between subsection 256(9) of the ITA and paragraph 256(1.2)(c) of the ITA.
Finally, the purpose of the legislative amendments recently made by the Department of Finance with respect to subsection 256(9) of the ITA was to restrict the scope of subsection 256(9) of the ITA and did not deal with the question of the interrelationship between subsection 256(9) and paragraph 256(1.2)(c) of the ITA.
Given the aforementioned, we confirm that the CRA still does not regard the application of paragraph 256(1.2)(c) of the ITA as having precedence over subsection 256(9) of the ITA so as to deem that A Inc. would control Opco for the period between the first moment of July 1, 1995 and the time immediately before the disposition of the shares of the capital stock of Opco at 5:00PM. Consequently, in the example described in this question, the vendor A Inc. and Opco would not be associated for their taxation year ending on December 31, 1995.
