Subject: Tax treatment of a gift

This is further to your letter of December 18, 2003, addressed to our Tax Services Office in Trois-Rivières. You requested an opinion regarding the tax treatment of a gift in relation to a specific situation.

As stated in paragraph 22 of Information Circular 70-6R5 dated May 17, 2002, it is our practice not to issue written opinions on proposed transactions otherwise than by way of advance rulings. Furthermore, in determining whether a completed transaction has received appropriate tax treatment, that determination is made first by our Tax Services Offices following a review of all the facts and documentation, which is generally performed as part of an audit engagement.

However, it is not the Agency's function to conduct an exhaustive study of a particular transaction to determine its tax treatment. This task is left to the taxpayer when planning the transaction or preparing the tax return. The services of a private sector tax professional may sometimes be required. We can, however, offer the following general comments which we hope will be of assistance. These comments may not apply to your particular situation in some circumstances.

The submitted arrangement refers to a gift. The Income Tax Act (the Act) does not specifically define the term "gift". According to the Petit Robert, a gift is an “objet que l'on offre à quelqu'un” ["object that one gives to someone"]. Depending on the circumstances, it is our view that the receipt of a gift may be subject to income tax. Whether a taxpayer has made or received a gift is a question of fact that can only be resolved by considering all the relevant facts.

The fact that a contract refers to a gift does not necessarily mean that it is a gift. In particular, it may be a "sham”. This term generally means a transaction with an element of deception so as to create an illusion intended to conceal the true nature of the transaction or a pretence by which the taxpayer creates an appearance different from the reality it is intended to conceal.

A gift may also constitute a donation. Interpretation Bulletin IT-334R2 (copy attached) states in paragraph 4 that amounts received as gifts, i.e. voluntary transfers of real or personal property without consideration, are not subject to tax as income of the recipient.

The Act does not define what a gift is. Consequently, the term must be given its ordinary meaning as set out in civil law or common law depending on the relevant law that applies to the gift.

In Quebec, the Civil Code of Quebec defines gift in Article 1806 as follows:

Gift is a contract by which a person, the donor, transfers ownership of property by gratuitous title to another person, the donee; a dismemberment of the right of ownership, or any other right held by the person, may also be transferred by gift.

The question of whether a taxpayer has received or made a gift can only be resolved after considering all of the relevant facts and documents pertaining to the arrangement. In particular, the transfer must be gratuitous, which may not be the case where a taxpayer receives any right after making a gift. You should consult your legal advisor to determine whether the agreements in a specific arrangement constitute gifts in civil law.

Paragraph 4 of Interpretation Bulletin IT-334R2 also states that voluntary payments received by virtue of a profession or by virtue of carrying on a business are taxable receipts. Paragraph 11 of the same Interpretation Bulletin states that if the hobby or pastime results in receipts of revenue in excess of expenses, that fact is a strong indication that the hobby is a venture with an expectation of profit. In such case, the net income may be taxable as business income. Whether a taxpayer is carrying on a business is a question of fact that can only be resolved by considering all the relevant facts. However, we are of the view that participation in a specific arrangement that allows for the receipt of money may be an indicator that the money is business income and therefore taxable.

The documents you have submitted to us also refer to an opinion regarding a provision of the Criminal Code. We have not reviewed this aspect of the Arrangement and do not express an opinion on it.

As stated in Information Circular 70-6R5, this opinion is not an advance income tax ruling and is not binding. Furthermore, this opinion is not a comprehensive analysis of all tax consequences that may apply in the circumstances.

Objet : Traitement fiscal d'un cadeau

La présente fait suite à votre lettre du 18 décembre 2003 que vous avez adressée à notre bureau des services fiscaux de Trois-Rivières. Vous nous demandez une opinion concernant le traitement fiscal d'un cadeau dans le cadre d'un arrangement spécifique.

Tel qu'il est mentionné au paragraphe 22 de la circulaire d'information 70-6R5 du 17 mai 2002, nous avons comme pratique de ne pas émettre d'opinion écrite concernant des transactions projetées autrement que par voie de décisions anticipées. Par ailleurs, lorsqu'il s'agit de déterminer si une transaction complétée a reçu le traitement fiscal adéquat, la décision en revient d'abord à nos bureaux des services fiscaux à la suite de l'examen de tous les faits et documents, ce qui est généralement effectué dans le cadre d'une mission de vérification.

Cependant, il n'est pas dans les fonctions de l'Agence de conduire une étude exhaustive d'une transaction particulière afin d'en déterminer le traitement fiscal. Cette tâche revient au contribuable au moment de la planification de la transaction ou au moment de la préparation de sa déclaration d'impôt. Les services d'un fiscaliste du secteur privé peuvent parfois être nécessaires. Nous pouvons toutefois vous offrir les commentaires généraux suivants qui, nous l'espérons, vous seront utiles. Ces commentaires pourraient cependant, dans certaines circonstances, ne pas s'appliquer à votre situation particulière.

L'arrangement qui nous est soumis fait référence à un cadeau. La Loi de l'impôt sur le revenu (la Loi) ne définit pas spécifiquement le terme " cadeau ". Selon le Petit Robert, un cadeau est un " objet que l'on offre à quelqu'un ". Selon les circonstances, nous sommes d'avis que la réception d'un cadeau peut être assujetti à l'impôt sur le revenu. La question de savoir si un contribuable a fait ou reçu un cadeau est une question de fait qui ne peut être résolue qu'en considérant tous les faits pertinents.

Le fait qu'un contrat fasse référence à un cadeau ne signifie pas nécessairement qu'il s'agit d'un cadeau. Il peut s'agir notamment d'un " trompe-l'œil ". Cette expression signifie, de façon générale, une opération assortie d'un élément de tromperie de manière à créer une illusion destinée à cacher la nature réelle de l'opération ou un faux-semblant par lequel le contribuable crée une apparence différente de la réalité qu'elle sert à masquer.

Un cadeau peut aussi constituer un don. Le bulletin d'interprétation IT-334R2 (copie ci-jointe) précise au paragraphe 4 que les montants reçus comme dons, c'est à dire des transferts volontaires de biens immeubles ou personnels sans contrepartie, ne sont pas assujettis à l'impôt comme revenu du bénéficiaire.

La Loi ne définit pas ce qu'est un don. Par conséquent, il faut donner à cette expression son sens courant tel qu'il est établi en droit civil ou en common law selon le droit pertinent qui s'applique à la donation.

Au Québec, le Code civil du Québec définit la donation à l'article 1806 comme suit :

La donation est le contrat par lequel une personne, le donateur, transfère la propriété d'un bien à titre gratuit à une autre personne, le donataire; le transfert peut aussi porter sur un démembrement du droit de propriété ou sur tout autre droit dont on est titulaire.

La question de savoir si un contribuable a reçu ou fait un don ne peut-être résolue qu'après avoir pris en compte tous les faits pertinents et les documents se rapportant à l'entente. Il faut notamment que le transfert soit à titre gratuit, ce qui pourrait ne pas être le cas lorsqu'un contribuable reçoit un droit quelconque après avoir offert un cadeau. Nous vous invitons à consulter votre conseiller juridique pour établir si les contrats prévus dans un arrangement spécifique constituent des dons en droit civil.

Le paragraphe 4 du bulletin d'interprétation IT-334R2 précise aussi que les paiements volontaires reçus en vertu de l'exploitation d'une entreprise constituent des recettes imposables. Au paragraphe 11 du même bulletin d'interprétation, on y indique que si un passe-temps donne lieu à des recettes plus élevées que les dépenses, ce fait indique clairement que le passe-temps constitue une entreprise effectuée avec espoir de profit. Dans ce cas, le revenu net peut être imposable à titre de revenu tiré d'une entreprise. La question de savoir si un contribuable exploite une entreprise est une question de fait qui ne peut être résolue qu'en considérant tous les faits pertinents. Toutefois, nous sommes d'avis que le fait de participer à un arrangement spécifique qui permet de recevoir des sommes d'argent peut être un indice permettant de conclure que les sommes constituent un revenu d'une entreprise et donc qu'elles sont imposables.

Les documents que vous nous avez soumis font aussi référence à une opinion concernant une disposition du Code criminel. Nous n'avons pas examiné cet aspect de l'arrangement et nous n'exprimons pas d'opinion à cet égard.

Tel qu'il est mentionné dans la circulaire d'information 70-6R5, la présente opinion ne constitue pas une décision anticipée en matière d'impôt sur le revenu et elle ne nous lie pas.
