Question 2 - Régime de retraite individuel et employeur remplacé

Un employeur qui a établi un régime de retraite individuel pour son dirigeant principal, et qui veut effectuer des cotisations pour des services passés, pourrait devoir s'assurer que les services sont admissibles en vertu du sous-alinéa 8503(3)a)(ii) R.I.R., d'un employeur remplacé quant à un employeur qui participe au régime, dont il reçoit une rémunération.

La définition suivante de l'expression " employeur remplacé " est prévue au paragraphe 8500(1) R.I.R. :

" employeur remplacé " Employeur (appelé " vendeur " dans la présente définition) qui dispose, notamment par vente ou cession, de tout ou partie de son entreprise ou de son exploitation, ou de tout ou partie des actifs y afférents, en faveur d'un employeur donné ou d'un autre employeur qui, après la disposition, devient un employeur remplacé quant à l'employeur donné, lorsque l'employé du vendeur devient au moment de la disposition l'employé de l'acquéreur de l'entreprise, de l'exploitation ou des actifs.

Question à l'ARC

En présumant que toutes les conditions requises par ailleurs sont satisfaites, pouvez-vous nous confirmer qu'une fusion (au sens prévu au paragraphe 87(1) L.I.R.) de deux sociétés ou une liquidation (visée par le paragraphe 88(1) L.I.R.) d'une filiale dans une société mère, pourrait être comprise dans la " vente ou cession, de tout ou partie de son entreprise ou de son exploitation, ou de tout ou partie des actifs y afférents, en faveur d'un employeur donné ou d'un autre employeur " pour les fins de l'application du sous-alinéa
8503(3)a)(ii) R.I.R. ?

Réponse de l'ARC

Lorsqu'il y a une fusion au sens prévu au paragraphe 87(1) L.I.R., l'alinéa 87(2)q) L.I.R. prévoit que pour les fins des articles 147.1 et 147.2 L.I.R. et des dispositions réglementaires prises en application du paragraphe 147.1(18) L.I.R., la nouvelle société (société issue d'une fusion) est réputée être la même société que chaque société remplacée et en être la continuation. L'alinéa 87(2)q) L.I.R. s'applique pour les fins de l'alinéa 8503(3)a) R.I.R.

Compte tenu que dans le cas d'une telle fusion, une nouvelle société est réputée être la même société que chaque société remplacée et en être la continuation, le sous-alinéa 8503(3)a)(i) R.I.R. pourrait s'appliquer suite à la fusion afin d'inclure la période tout au long de laquelle un participant était au service d'une société remplacée.

Lorsqu'il y a une liquidation d'une filiale dans une société mère qui est visée par le paragraphe 88(1) L.I.R., l'alinéa 88(1)e.2) L.I.R. prévoit que l'alinéa 87(2)q) L.I.R. s'applique à la liquidation avec certaines modifications. L'effet de l'interaction des alinéas 88(1)e.2) et 87(2)q) L.I.R. est que pour l'application des articles 147.1 et 147.2 L.I.R. et des dispositions réglementaires prises en application du paragraphe 147.1(18) L.I.R., une société mère est réputée être la même société qu'une filiale liquidée et en être la continuation. L'alinéa 88(1)e.2) L.I.R. s'applique pour les fins de l'alinéa 8503(3)a) R.I.R.

Compte tenu que dans le cas d'une telle liquidation, une société mère est réputée être la même société qu'une filiale liquidée et en être la continuation, le sous-alinéa 8503(3)a)(i) R.I.R. pourrait s'appliquer suite à la liquidation afin d'inclure la période tout au long de laquelle un participant était au service d'une filiale liquidée.

La question de savoir si le sous-alinéa 8503(3)a)(ii) R.I.R. est applicable dans les situations décrites ci-dessus n'est pas pertinente.

Question 2 - Individual Pension Plan and Predecessor Employer

An employer who has established an individual pension plan for its principal executive, and who wants to make contributions for past services, may have to ensure that the services are eligible pursuant to subparagraph 8503(3)(a)(ii) ITR, from a predecessor employer to an employer who participates in the plan, from whom he receives a remuneration.

The following definition of the expression "predecessor employer" is provided in subsection 8500(1) ITR:

"predecessor employer" means, in relation to a particular employer, an employer (in this definition referred to as the "vendor") who has sold, assigned or otherwise disposed of all or part of the vendor's business or undertaking or all or part of the assets of the vendor's business or undertaking to the particular employer or to another employer who, at any time after the sale, assignment or other disposition, become a predecessor employer in relation to the particular employer, where one or more employees of the vendor have, in conjunction with the sale, assignment or disposition, become employees of the employer acquiring the business, undertaking or assets;

Question to the CRA

Assuming that all the conditions otherwise required are met, can you confirm to us that an amalgamation (within the meaning provided in subsection 87(1) ITA) of two corporations or a winding-up (as described in subsection 88(1) ITA) of a subsidiary into a parent corporation, could be included in "who has sold, assigned or otherwise disposed of all or part of the vendor's business or undertaking or all or part of the assets of the vendor's business or undertaking to the particular employer or to another employer" for the purposes of the application of subparagraph 8503(3)(a)(ii) ITR?

CRA Response

When there is an amalgamation within the meaning of subsection 87(1) ITA, paragraph 87(2)(q) ITA provides that for the purposes of sections 147.1 and 147.2 ITA and any regulations made under subsection 147.1(18) ITA, the new corporation (the corporation resulting from the amalgamation) shall be deemed to be the same corporation as, and a continuation of, each predecessor corporation. Paragraph 87(2)(q) ITA applies for the purposes of paragraph 8503(3)(a) ITR.

Given that in the case of such an amalgamation, a new corporation is deemed to be the same corporation as, and a continuation of, each predecessor corporation, subparagraph 8503(3)(a)(i) ITR could apply following the amalgamation in order to include the period throughout which a member was employed by a predecessor corporation.

When there is a winding-up of a subsidiary into a parent corporation which is described in subsection 88(1) ITA, paragraph 88(1)(e.2) ITA provides that paragraph 87(2)(q) ITA applies to the winding-up with certain modifications. The effect of the interaction of paragraphs 88(1)(e.2) and 87(2)(q) ITA is that for the application of sections 147.1 and 147.2 ITA and any regulations made under subsection 147.1(18) ITA, a parent corporation is deemed to be the same corporation as, and a continuation of a wound-up subsidiary. Paragraph 88(1)(e.2) ITA applies for the purposes of paragraph 8503(3)(a) ITR.

Given that in the case of such a winding-up, a parent corporation is deemed to be the same corporation as, and a continuation of a wound-up subsidiary, subparagraph 8503(3)(a)(i) ITR could apply following the winding-up in order to include the period throughout which a member was employed by a wound-up subsidiary.

The issue as to whether subparagraph 8503(3)(a)(ii) ITR is applicable in the situations described above is not relevant.
