Question 4 - Gift of shares derived from options received from a private corporation

Where a private corporation issues stock options to its employees, which are "in the money" at the time of issuance, and the corporation subsequently becomes a public corporation, employees may exercise their options, but may only use the deduction under paragraph 110(1)(d.1) if the option was "in the money" at the time of its grant, and provided that the shares are held for two years under the condition provided for in subparagraph (ii) of the same paragraph.

It appears that the gift of such a share does not allow the employee to also benefit from the additional deduction provided in paragraph 110(1)(d.01) since the gift of shares must occur within 30 days of the exercise, a condition that seems incompatible with the minimum holding period of two years.

Question to the CRA

Does the CRA agree that the deduction in paragraph 110(1)(d.1) is incompatible with the deduction provided in a case of a gift under paragraph 110(1)(d.01)?

CRA Response

In order to qualify for the deduction under paragraph 110(1)(d.01), the following conditions must be satisfied. First, subparagraph 110(1)(d.01)(i) states that the security must be a security described in subparagraph 38(a.1)(i), which includes inter alia a share that is listed on a designated stock exchange. Second, subparagraph 110(1)(d.01)(iii) provides that the gift must be made in the year and on or before the day that is 30 days after the day on which the taxpayer acquired the security. Finally, subparagraph 110(1)(d.01)(iv) provides that it must be possible to deduct an amount under paragraph 110(1)(d) in respect of the acquisition of the security.

In brief, paragraph 110(1)(d) permits the deduction of one half of the value of the benefit that is deemed by subsection 7(1) to have been received by the taxpayer. To qualify for that deduction, certain conditions must be satisfied. Among other things, clause 110(1)(d)(i)(A) requires the share to be a prescribed share (footnote 1) at the time of its sale or issue. In addition, clause 110(1)(d)(ii)(A) requires that the amount payable by the taxpayer to acquire the security under an agreement is not less than the amount by which the fair market value of the security at the time the agreement was made exceeds the amount, if any, paid by the taxpayer to acquire the right to acquire the security. Where a taxpayer fails to comply with any of the conditions set out in paragraph 110(1)(d), the taxpayer may not deduct an amount under that paragraph in respect of the acquisition of the share. As a result, the taxpayer will not be able to claim the deduction under paragraph 110(1)(d.01) because the taxpayer will not satisfy the condition in subparagraph 110(1)(d.01)( iv). That seems to be the case in the situation described.

A taxpayer who wishes to benefit from the deduction provided in paragraph 110(1)(d.1) must inter alia hold the securities referred to in paragraph 7(1)(a) and subsection 7(1.1) for a minimum period of two years. However, where a taxpayer is not entitled to the deduction under paragraph 110(1)(d.1) only because the taxpayer has disposed of the securities within the two-year period, the taxpayer may still be entitled to the deduction under paragraph 110(1)(d) if the conditions listed in that paragraph are satisfied. In the latter situation, the taxpayer may be entitled to a deduction under paragraph 110(1)(d.01) if the taxpayer satisfies all the other conditions listed in that paragraph.

In conclusion, we are of the view that a taxpayer who is only eligible for the deduction under paragraph 110(1)(d.1) will not be eligible for the deduction listed in paragraph 110(1)(d.01) because it will be impossible for the taxpayer to satisfy both the requirement of subparagraph 110(1)(d.01)(iii) and that of subparagraph 110(1)(d.1)(ii).

Question 4 - Don d'actions provenant d'options reçues d'une société privée

Lorsqu'une société privée émet à ses employés des options d'achat d'actions, qui sont " dans l'argent " au moment de leur émission, et que la société devient subséquemment une société publique, les employés peuvent exercer leurs options, mais ne pourront éventuellement utiliser que la déduction en vertu de l'alinéa 110(1)d.1) L.I.R. si l'option était " dans l'argent " au moment de son octroi, et à condition que les actions soient détenues pendant 2 ans selon la condition prévue au sous-alinéa ii) du même alinéa.

Il semble que le don d'une telle action ne permette pas à l'employé de bénéficier également de la déduction additionnelle prévue à l'alinéa 110(1)d.01) L.I.R. puisque le don d'actions doit survenir dans les 30 jours de l'exercice, condition qui semble incompatible avec la détention minimale de 2 ans.

Question à l'ARC

L'ARC est-elle en accord avec le fait que la déduction à l'alinéa 110(1)d.1) L.I.R. soit incompatible avec la déduction prévue dans un cas de don à l'alinéa 110(1)d.01) L.I.R.?

Réponse de l'ARC

Afin de pouvoir bénéficier de la déduction en vertu de l'alinéa 110(1)d.01) L.I.R., les conditions suivantes doivent être respectées. Premièrement, le sous-alinéa 110(1)d.01)(i) L.I.R. mentionne que le titre doit être visé au sous-alinéa 38a.1)(i) L.I.R. ce qui comprend entre autre une action qui est cotée à une bourse de valeur désignée. Deuxièmement, le sous-alinéa 110(1)d.01)(iii) L.I.R. prévoit que le don doit être fait au cours de l'année et au plus tard le trentième jour suivant le jour où le contribuable a acquis le titre. Finalement, le sous-alinéa 110(1)d.01)(iv) L.I.R. prévoit qu'il doit être possible de déduire un montant en application de l'alinéa 110(1)d) L.I.R relativement à l'acquisition du titre.

En bref, l'alinéa 110(1)d) L.I.R permet la déduction de la moitié de la valeur de l'avantage qui est réputé par le paragraphe 7(1) L.I.R. avoir été reçu par le contribuable. Pour être admissible à cette déduction, certaines conditions doivent être respectées. Entre autres, la division 110(1)d)(i)(A) exige que l'action soit une action visée par règlement (note de bas de page 1) , au moment de l'émission ou de la vente. De plus, la division 110(1)d)(ii)(A) requiert que le montant payable par le contribuable pour l'acquisition de l'action aux termes de la convention relative à une option d'achat d'actions soit au moins égal à l'excédent de la juste valeur marchande de l'action au moment de la conclusion de la convention relative à une option d'achat d'actions sur le montant payé par le contribuable, le cas échéant, pour acquérir le droit d'acquérir l'action. Lorsqu'un contribuable ne respecte pas une des conditions énumérées à l'alinéa 110(1)d) L.I.R., il ne pourra pas déduire un montant en application de cet alinéa relativement à l'acquisition de l'action. Par le fait même, il ne pourra pas se prévaloir de la déduction prévue à l'alinéa 110(1)d.01) L.I.R puisqu'il ne respectera pas la condition mentionnée au sous-alinéa 110(1)d.01)(iv) L.I.R. Ceci semble être le cas dans la situation décrite.

Un contribuable qui désire bénéficier de la déduction prévue à l'alinéa 110(1)d.1) L.I.R. doit, entre autres, détenir les titres visés à l'alinéa 7(1)a) L.I.R. et au paragraphe 7(1.1) L.I.R. pour une période minimale de 2 ans. Toutefois, lorsqu'un contribuable n'a pas le droit à la déduction prévue à l'alinéa 110(1)d.1) L.I.R. uniquement parce qu'il a disposé des titres à l'intérieur de la période de 2 ans, il pourra néanmoins avoir droit à la déduction en vertu de l'alinéa 110(1)d) L.I.R. si les conditions énumérées à cet alinéa sont remplies. Dans cette dernière situation, le contribuable pourra avoir droit à une déduction en vertu de l'alinéa 110(1)(d.01) s'il rempli toutes les autres conditions énumérées à cet alinéa.

En conclusion, nous sommes d'avis qu'un contribuable qui est uniquement admissible à la déduction prévue à l'alinéa 110(1)d.1) L.I.R. ne pourra pas être admissible à la déduction énumérée à l'alinéa 110(1)d.01) L.I.R. car il lui sera impossible de respecter à la fois l'exigence du sous-alinéa 110(1)d.01)(iii) L.I.R. et celle du sous-alinéa 110(1)d.1)(ii) L.I.R.
