Re: CEWS - subparagraph 125.7(4)(e)(i) and person entitled to receive an amount

This letter is in response to your question regarding the Canada emergency wage subsidy ("CEWS") under section 125.7 of the Income Tax Act (the "Act").

All statutory references herein are to provisions of the Act.

In particular, you requested our comments on the time at which an amount is received by an eligible entity which has made an election under subparagraph 125.7(4)(e)(i), where the amount is received by a third party before being paid to the eligible entity.

Our Comments

This technical interpretation provides general comments on provisions in the Act. It is not intended to confirm the tax treatment of any particular situation involving a particular taxpayer, but rather to assist you in making that determination.

All definitions for the purposes of the CEWS, including the terms "eligible entity" and "qualifying revenue", are set out in subsection 125.7(1).

Subject to certain exceptions, qualifying revenue of an eligible entity is generally determined in accordance with its usual accounting practices under subsection 125.7(4). Among these exceptions, subparagraph 125.7(4)(e)(i) provides that an eligible entity may elect for all of its qualifying periods to determine its qualifying revenues based on the cash method as defined in subsection 28(1), with any modifications that the circumstances require.

Paragraph 3 of Interpretation Bulletin IT-433R (footnote 1) indicates that a taxpayer who computes income using the cash method must include the amounts in income in the period in which they are received or deemed to be received by the Act. That Interpretation Bulletin also states that the meaning of the term "received" is broad enough to consider a taxpayer to have received an amount at the time that inter alia it was received by a person authorized to receive it on behalf of the taxpayer.

The concept of a person authorized to receive an amount on behalf of a taxpayer is not defined in the Act. Whether a person is a person authorized to receive an amount on behalf of a taxpayer for cash accounting purposes is a question of fact and law that can only be determined after a full examination of the applicable private law and all the relevant facts surrounding a particular situation.

However, we are of the view that a person entitled to receive an amount on behalf of a taxpayer for CEWS purposes may include a person who is entitled to receive the amount for a taxpayer by inter alia an agreement or by statute.

La présente est en réponse à votre question concernant la Subvention salariale d’urgence du Canada (« SSUC ») prévue à l’article 125.7 de la Loi de l’impôt sur le revenu (« Loi »).

Tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi.

Vous demandez plus particulièrement nos commentaires sur le moment où un montant est reçu par une entité déterminée qui a fait le choix prévu au sous-alinéa 125.7(4)e)(i) lorsque ce montant est reçu par un tiers avant de lui être remis.

Nos commentaires

La présente interprétation technique offre des commentaires généraux sur des dispositions contenues dans la Loi. Elle n’a pas comme but de confirmer le traitement fiscal relativement à une situation donnée mettant en cause un contribuable en particulier, mais plutôt de vous aider à le déterminer.

Toutes les définitions aux fins de la SSUC, y compris les expressions « entité déterminée » et « revenu admissible », sont prévues au paragraphe 125.7(1).

Sous réserve de certaines exceptions, le revenu admissible d’une entité déterminée est généralement établi conformément à ses pratiques comptables habituelles en vertu du paragraphe 125.7(4). Parmi ces exceptions, le sous-alinéa 125.7(4)e)(i) prévoit qu’une entité déterminée peut faire le choix pour l’ensemble de ses périodes d’admissibilité d’établir son revenu admissible selon la méthode de la comptabilité de caisse au sens du paragraphe 28(1), avec les adaptations nécessaires.

Le numéro 3 du bulletin d’interprétation IT-433R (footnote 1) indique qu’un contribuable qui calcule son revenu selon la méthode de comptabilité de caisse doit comptabiliser les montants dans le calcul de son revenu de la période où ils sont reçus ou lorsqu’ils sont réputés reçus en vertu de la Loi. Ce bulletin d’interprétation mentionne également que le sens du terme « reçu » est assez large pour considérer qu’un contribuable a reçu un montant au moment où notamment une personne autorisée à recevoir ce montant l’a reçu au nom du contribuable.

Le concept de personne autorisée à recevoir un montant au nom d’un contribuable n’est pas défini dans la Loi. La question de savoir si une personne est une personne autorisée à recevoir un montant pour un contribuable pour les fins de la comptabilité de caisse est une question de fait et de droit que ne peut être déterminée qu’après un examen complet du droit privé applicable et de tous les faits pertinents entourant une situation donnée.

Toutefois, nous sommes d’avis qu’une personne autorisée à recevoir un montant pour un contribuable pour les fins de la SSUC peut comprendre une personne qui est autorisée à recevoir le montant pour un contribuable notamment par une convention ou par une loi.
