FACTS

1. Aco is a XXXXXXXXXX corporation, a TCC, a XXXXXXXXXX Public Corporation. Aco is a XXXXXXXXXX holding company.

The issued and outstanding XXXXXXXXXX shares of the capital stock of Aco are listed on the XXXXXXXXXX.

2. Aco holds all the issued and outstanding shares of the capital stock of Xco and Yco.

Aco, Xco and Yco together hold XXXXXXXXXX% of the issued and outstanding common shares of the capital stock of Bco (total of XXXXXXXXXX common shares). Xco, Yco and Aco, respectively, hold XXXXXXXXXX% of the issued and outstanding common shares of the capital stock of Bco.

3. Bco is a corporation governed by the XXXXXXXXXX, a XXXXXXXXXX TCC.

Bco is a corporation whose main role is XXXXXXXXXX:

4. The issued and outstanding shares of the capital stock of Bco currently consist of XXXXXXXXXX common shares. The PUC of the XXXXXXXXXX common shares in the capital stock of Bco is currently $XXXXXXXXXX ($XXXXXXXXXX per common share).

5. On XXXXXXXXXX, Bco had a XXXXXXXXXX of approximately $XXXXXXXXXX on its balance sheet (unconsolidated, unaudited financial statements, and with investments in subsidiaries at cost).

According to Bco, the amount of its "accumulated profits" (as defined in paragraphs 1.50 and 1.51 of Income Tax Folio S3-F6-C1, Interest Deductibility) for the purposes of the "filling the hole" concept pursuant to paragraph 20(1)(c) was $XXXXXXXXXX as of XXXXXXXXXX. There was a difference between Bco's accumulated profits for purposes of the filling the hole concept and the XXXXXXXXXX on Bco's balance sheet. XXXXXXXXXX.

6. On XXXXXXXXXX, Bco had debts and other liabilities of approximately $XXXXXXXXXX on its balance sheet, including approximately $XXXXXXXXXX of long-term debt payable to unrelated persons.

Bco's assets (based on its non-consolidated, unaudited balance sheet, with investments in subsidiaries at cost) as at XXXXXXXXXX consisted primarily of current assets (approximately $XXXXXXXXXX, including receivables from subsidiaries and Aco of approximately $XXXXXXXXXX), equity investments in subsidiaries (with a carrying value of approximately $XXXXXXXXXX, of which approximately $XXXXXXXXXX was attributable to the equity investment in Cco), advances and other receivables from subsidiaries, fixed assets and derivative financial instruments.

The total ACB of Bco's investments in shares of its subsidiaries was approximately $XXXXXXXXXX. XXXXXXXXXX.

10. Cco is a corporation governed by the XXXXXXXXXX, a TCC and XXXXXXXXXX. Cco is not a public corporation. Cco's taxation year ends on XXXXXXXXXX.

11. The authorized capital stock of Cco consists of an unlimited number of XXXXXXXXXX common shares.

The issued and outstanding shares of the capital stock of Cco consist of XXXXXXXXXX XXXXXXXXXX common shares, with an estimated FMV (to Aco) of $XXXXXXXXXX. Bco holds all of the XXXXXXXXXX issued and outstanding XXXXXXXXXX common shares of the capital stock of Cco. These XXXXXXXXXX common shares of the capital stock of Cco constitute Capital Property to Bco.

12. Since the acquisition of the shares of Cco's capital stock XXXXXXXXXX, Bco and Cco have engaged in various transactions affecting the ACB of the shares of Cco's capital stock held by Bco, including capital injections, distributions by way of reductions in the XXXXXXXXXX and a conversion of preferred shares into common shares.

The ACB and PUC of the XXXXXXXXXX common shares of the capital stock of Cco held by Bco are currently $XXXXXXXXXX and $XXXXXXXXXX, respectively.

13. As at XXXXXXXXXX, the amount of Safe Income on Hand for the purposes of subsection 55(2) that was attributable to the XXXXXXXXXX common shares of the capital stock of Cco held by Bco was XXXXXXXXXX.

“Safe income on hand" is income earned or realized (as defined in paragraph 55(5)(b)) by a corporation (after 1971 and before the safe income determination time in respect of the transaction, event or series of transactions or events), to the extent that it is on hand, that could reasonably be considered to contribute to the capital gain that would have been realized on a disposition at FMV of a share of the corporation.

The dividends that were received by Bco during the years XXXXXXXXXX on its XXXXXXXXXX common shares of the capital stock of Cco were as follows:

14. Currently, all Cco activities are carried on XXXXXXXXXX.

The assets of Cco on its balance sheet as at XXXXXXXXXX consisted mainly of XXXXXXXXXX.

As at XXXXXXXXXX, Cco had approximately $XXXXXXXXXX of debt and other liabilities on its balance sheet, including approximately $XXXXXXXXXX of long-term debt payable to unrelated parties. Cco's long-term debt consisted of $XXXXXXXXXX.

15. As at XXXXXXXXXX, Cco had retained earnings of approximately $XXXXXXXXXX on its balance sheet (unconsolidated, unaudited, and with investments in subsidiaries accounted for using the equity method).

According to Cco, the amount of its accumulated profits for the purposes of the filling the hole concept pursuant to paragraph 20(1)(c) was $XXXXXXXXXX as of XXXXXXXXXX. Of this amount, $XXXXXXXXXX represented the balance of Cco XXXXXXXXXX's retained earnings. There was a difference between Cco's accumulated profits for the purposes of the filling the hole concept and the retained earnings on Cco's balance sheet. XXXXXXXXXX.

16. The amount of cash held by Cco was approximately $XXXXXXXXXX as of XXXXXXXXXX.

17. In XXXXXXXXXX, Cco made an interest-bearing loan to Bco (the "Cco-Bco Loan"). The outstanding principal amount of the Cco-Bco Loan is currently $XXXXXXXXXX.

18. Bco and Cco XXXXXXXXXX.

19. As the parent company of the group consisting of Bco and its subsidiaries, Bco has significant cash requirements, including the payment of dividends to its shareholders and the satisfaction of its principal and interest repayment obligations in respect of its external financing. XXXXXXXXXX.

20. Cco currently has significant liquidity ($XXXXXXXXXX) XXXXXXXXXX.

21. On XXXXXXXXXX, Bco incorporated Newco, a corporation under the XXXXXXXXXX. Newco is a TCC. Newco's taxation year is XXXXXXXXXX. The authorized capital stock of Newco consists of, among other things, an unlimited number of common shares without par value. Upon incorporation of Newco, Bco subscribed to one common share of the capital stock of Newco for $XXXXXXXXXX.

PROPOSED TRANSACTIONS

22. Bco will transfer to Newco all of its XXXXXXXXXX common shares in the capital stock of Cco and will receive as consideration common shares in the capital stock of Newco and a promissory note payable on demand at the option of the holder, with a principal amount of $XXXXXXXXXX (equal to the ACB of the XXXXXXXXXX common shares in the capital of Newco transferred), non-interest bearing and convertible at the option of the holder into common shares in the capital of Newco with a FMV equal to the principal amount of the note, no earlier than XXXXXXXXXX days following the date of its issuance (the "Bco-Newco Note").

Bco and Newco will make a joint election pursuant to subsection 85(1), in the prescribed form and within the prescribed time set out in subsection 85(6). The Agreed Amount by Bco and Newco will be equal to the ACB of the XXXXXXXXXX common shares of the capital stock of Cco for Bco immediately before the disposition. In accordance with section XXXXXXXXXX of the XXXXXXXXXX, the amount to be added to the XXXXXXXXXX common shares of Newco will be $XXXXXXXXXX. The FMV of the XXXXXXXXXX common shares of Cco will then be higher than the Agreed Amount.

In accordance with applicable accounting principles (International Financial Reporting Standards contained in Part I of the CPA Canada Handbook - Accounting), the transfer of the XXXXXXXXXX common shares of the capital stock of Cco will not affect the accounting presentation at the Bco level, i.e. this transfer will not result in any accounting entries in Bco's books.

23. Cco and Newco will be amalgamated pursuant to the short-form amalgamation rules of section XXXXXXXXXX of the XXXXXXXXXX to form Amalco.

The articles of amalgamation of Amalco will be identical to the articles of amalgamation of Newco, except for the name of Amalco which will be Cco. The issued and outstanding shares of capital stock of Amalco will be equal to the issued and outstanding common shares of capital stock of Newco immediately prior to the amalgamation. The amount of the XXXXXXXXXX attributable to the issued and outstanding common shares of the capital stock of Amalco will be equal to the amount of the XXXXXXXXXX of the issued and outstanding common shares of the capital stock of Newco immediately prior to the amalgamation. The XXXXXXXXXX common shares of the capital stock of Cco will be cancelled without any payment upon the amalgamation.

The liabilities of Newco and Cco existing immediately prior to the amalgamation, including the Bco-Newco Note, will become liabilities of Amalco pursuant to the amalgamation. The Bco-Newco Note will then become a liability of Amalco.

Subsection 87(1.1) will apply to the amalgamation and the amalgamation will constitute an amalgamation within the meaning of subsection 87(1).

Accounting for the transactions described in paragraphs 22 and 23 of the Proposed Transactions in accordance with applicable accounting principles (International Financial Reporting Standards) will give the following accounting result:

(a) a reduction to XXXXXXXXXX in Amalco's share capital account, representing a reduction of approximately $XXXXXXXXXX;

(b) a reduction in Amalco's retained earnings account by a net amount of approximately $XXXXXXXXXX;

(d) a new debt (Bco-Newco Note) of $XXXXXXXXXX will be shown on Amalco’s books.

The above accounting result will result from the recording of the following two accounting entries:

(a) To record the Bco-Newco Note: a debit (reduction) to the share capital account of approximately $XXXXXXXXXX, a debit (reduction) to the retained earnings account of $XXXXXXXXXX XXXXXXXXXX, and a credit to a debt account (Bco-Newco Note) of $XXXXXXXXXX.

(b) Recording of goodwill: a debit (increase) to the goodwill account of $XXXXXXXXXX and a credit (increase) to the retained earnings account of $XXXXXXXXXX.

The Bco-Newco Note will be shown separately as debt on Amalco's books, but will appear under "Shareholders' Equity" on Amalco's balance sheet.

24. XXXXXXXXXX following the transfer by Bco of its shares of the capital stock of Cco to Newco as described in paragraph 22 above of the Proposed Transactions, Bco will exercise its conversion right to have its Bco-Newco Note exchanged for common shares of the capital stock of Amalco. Amalco will then issue to Bco common shares of its capital stock having a FMV equal to $XXXXXXXXXX. The terms of the debt will provide that the issuance by Amalco of the common shares of its capital stock pursuant to the conversion privilege will represent full and final payment of the principal amount of the debt, thereby terminating Amalco's obligations under the debt. The Bco-Newco Note will then be settled and extinguished (the "Settlement").

An amount equal to the principal amount and FMV of the Bco-Newco Note (i.e. $XXXXXXXXXX), will be added to the XXXXXXXXXX of Amalco's common shares in accordance with applicable corporate law (including sections XXXXXXXXXX of the XXXXXXXXXX).

In accordance with applicable accounting principles (International Financial Reporting Standards), this conversion will not result in any accounting entry in the books of Bco. In Amalco's books, this transaction will result in a cancellation of debt (Bco-Newco Note) of $XXXXXXXXXX and an increase in Amalco's stated capital account of $XXXXXXXXXX.

The Proposed Transactions described above in paragraphs 22 and 23 will take place on XXXXXXXXXX.

25. Bco will repay the accrued and unpaid interest on the Cco-Bco Loan described in paragraph 17 above.

26. Amalco will effect a reduction of XXXXXXXXXX on the common shares of its capital stock (pursuant to section XXXXXXXXXX of the XXXXXXXXXX) in an amount equal to the outstanding principal amount (i.e., $XXXXXXXXXX) of the Cco-Bco Loan and will pay to Bco as consideration an amount in cash ($XXXXXXXXXX) equal to the amount of such reduction of XXXXXXXXXX, from its cash on hand.

In accordance with applicable accounting principles (International Financial Reporting Standards), Amalco's accounting for this transaction will result in a reduction of $XXXXXXXXXX to the book value of its capital stock. At the Bco level, this transaction will be reflected as a reduction of $XXXXXXXXXX in the carrying value of Bco's investment in the common shares of the capital stock of Amalco.

27. Bco will repay the Cco-Bco Loan in the amount of $XXXXXXXXXX from the funds received from Cco in the transaction described in paragraph 26 above of the Proposed Transactions.

28. It is anticipated that Amalco will borrow money through the issuance of XXXXXXXXXX (the "Borrowings") XXXXXXXXXX in the amount of approximately $XXXXXXXXXX (XXXXXXXXXX) from one or more lenders with whom Amalco will deal at arm's length. Such Borrowings will bear interest at commercial market rates, and will contain customary provisions for such borrowings (including as to repayment of principal), to be determined by negotiation between Amalco and the lenders prior to the issuance of the Borrowings.

29. It is anticipated that Amalco will effect a reduction of XXXXXXXXXX on the common shares of its capital stock (pursuant to section XXXXXXXXXX of the XXXXXXXXXX) in the amount of approximately $XXXXXXXXXX and will pay to Bco as consideration an amount in cash equal to the amount of such reduction of XXXXXXXXXX on the common shares. The funds for the consideration of approximately $XXXXXXXXXX will come from Amalco's Borrowings and cash on hand.

In accordance with applicable accounting principles (International Financial Reporting Standards), the accounting for this transaction will result in a reduction of $XXXXXXXXXX to Amalco's share capital account. At the Bco level, this transaction will be reflected as a reduction in the carrying value of Bco's investment in the common shares of the capital stock of Amalco. To the extent that the amount of the reduction exceeds the book value of such investment, any excess will be reflected as a book gain on Bco’s books.

30. It is expected that the funds received by Bco in the course of the transaction described in paragraph 29 above of the Proposed Transactions, will be used by Bco for XXXXXXXXXX. To the extent that the amount received by Bco is insufficient, it is currently envisaged that additional funds will be borrowed directly from Bco.

PURPOSES OF THE PROPOSED TRANSACTIONS

31. The Proposed Transactions are intended to use Bco's tax attributes, namely the ACB of Cco shares, to facilitate repatriation of funds from Amalco to Bco by way of a reduction in the XXXXXXXXXX, thereby enabling Bco to meet its cash flow needs. In addition, the Proposed Transactions are intended to facilitate the financing of XXXXXXXXXX, XXXXXXXXXX.

ADDITIONAL INFORMATION

32. You have indicated to us that, to the best of your knowledge and that of Bco and Cco, none of the issues raised herein:

(a) has been addressed in a previous statement by Bco, Cco or a person related to Bco;

(b) has been examined by a Tax Services Office or Tax Centre in relation to a return previously filed by Bco, Cco or a person related to Bco;

(d) is before the courts or has a time limit for appeal to a higher court that has not expired; and

(e) has been the subject of a previous request for an advance ruling by Bco, Cco or a person related to Bco.

33. All material transactions that have been undertaken prior to the submission of the request for advance rulings or that may be undertaken after the conclusion of the Proposed Transactions are described herein.

35. The Proposed Transactions described in paragraphs 28 to 30 above are under serious consideration. The total amount of the Borrowings to be made cannot presently be determined with accuracy because this amount depends on XXXXXXXXXX.

RULINGS GIVEN

Provided that the statement of facts, the Proposed Transactions and the Purpose of the Proposed Transactions constitutes full disclosure of all relevant facts, all Proposed Transactions and all purposes of the Proposed Transactions, and that the transactions are carried out as described above, our decisions are as follows:

A. Subject to the application of subsection 69(11), upon the transfer by Bco of its XXXXXXXXXX common shares XXXXXXXXXX of the capital stock of Cco as described in paragraph 22 above of the Proposed Transactions, the provisions of subsection 85(1) will apply such that:

(a) the Agreed Amount shall be deemed to be the proceeds of disposition of the XXXXXXXXXX common shares of the capital stock of Cco for Bco and the acquisition cost of the XXXXXXXXXX common shares of the capital stock of Cco for Newco;

(b) the cost of the Bco-Newco Note to be received by Bco shall be determined in accordance with paragraph 85(1)(f);

(c) the cost of the common shares of the capital stock of Newco to be received by Bco shall be determined in accordance with paragraph 85(1)(h); and

(d) for greater certainty, paragraph 85(1)(e.2) will not apply to the transfer by Bco to Newco of its XXXXXXXXXX common shares of the capital stock of Cco.

B. The Safe Income on Hand attributable to the common shares of the capital stock of Newco that will be held by Bco at the time of the issuance of such shares, as described in paragraph 22 above of the Proposed Transactions, will be the Safe Income on Hand for Bco attributable to the XXXXXXXXXX common shares of the capital stock of Cco at the time immediately prior to the time of the transfer of the XXXXXXXXXX common shares of the capital stock of Cco to Newco

C. In connection with the transaction as described in paragraph 24 above of the Proposed Transactions, the PUC of the issued and outstanding common shares of the capital stock of Amalco will be increased by the amount added to the XXXXXXXXXX of the common shares of the capital stock of Amalco pursuant to the applicable provisions of the XXXXXXXXXX.

D. The provisions of subsection 51(1) will apply to the exchange of the Bco-Newco Note for common shares of the capital stock of Amalco as described in paragraph 24 above of the Proposed Transactions, such that:

(a) except for the purposes of subsections 20(21) and 44.1(6) and (7) and paragraph 94(2)(m), the exchange will be deemed by Bco not to be a disposition of the Bco-Newco Note; and

(b) the cost to Bco of the common shares of the capital stock of Amalco to be received by Bco in exchange for the Bco-Newco Note shall be deemed to be equal to the ACB of the Bco-Newco Note immediately prior to the exchange.

For greater certainty, the provisions of subsection 51(2) will not apply to the exchange of the Bco-Newco Note for common shares of the capital of Amalco as described in paragraph 24 above.

E. The amounts that Bco will receive on its common shares of the capital stock of Amalco as reductions in the XXXXXXXXXX common shares as described in paragraphs 26 and 29 above of the Proposed Transactions, will be deducted in computing the ACB of its common shares of the capital stock of Amalco pursuant to subparagraph 53(2)(a)(ii).

F. Settlement of the Bco-Newco Note as described in paragraph 24 above will not result in a "forgiven amount" as defined in subsection 80(1) to Amalco.

G. To the extent that the Borrowings of approximately $XXXXXXXXXX (as described in 28 above of the Proposed Transactions) will replace capital of Amalco (i.e., of XXXXXXXXXX on the common shares of the capital stock of Amalco) that is being used by Amalco for eligible purposes, and that such capital will continue to be used for eligible purposes for the purposes of subparagraph 20(1)(c)(i), interest paid in the year or payable in respect of the year (depending on the method regularly followed by the taxpayer in computing the taxpayer’s income), pursuant to a legal obligation to pay interest on the borrowed money, will be deductible by Amalco in computing its income for the year pursuant to subparagraph 20(1)(c)(i). However, such interest will be deductible only to the extent that it is reasonable in the circumstances and provided that the deduction is not prohibited by any other specific provision of the Act.

For the purposes of Ruling G, the capital of Amalco attributable to the Bco-Newco Note and the XXXXXXXXXX of the common shares of the capital stock of Amalco of $XXXXXXXXXX will be considered to be used by Amalco for eligible purposes for the purposes of subparagraph 20(1)(c)(i) provided that the property that will become property of Amalco on the amalgamation of Newco and Cco or the property that will be substituted therefor will be used and will continue to be used by Amalco for the purpose of gaining or producing income from its business.

H. The provisions of subsection 245(2) will not apply as a result of and because of the Proposed Transactions described above, to redetermine the tax consequences confirmed in the advance rulings issued.

For the purposes of this request, only those Proposed Transactions that are known and described herein have been considered.

These rulings are subject to the limitations and general conditions set out in Information Circular 70-6R7 dated April 22, 2016, issued by the CRA and are binding on the CRA, provided that the Proposed Transactions are completed by XXXXXXXXXX. These rulings are based on the current Act and do not take into account any proposed amendments to the Act.

Il existe un écart entre les bénéfices accumulés de BCO aux fins du concept du vide à combler et le XXXXXXXXXX au bilan de BCO. XXXXXXXXXX.

6. Au XXXXXXXXXX, BCO avait des dettes et autres passifs d’environ XXXXXXXXXX $ à son bilan, dont environ XXXXXXXXXX $ de dettes à long terme payables à des personnes non liées.

12. Depuis l’acquisition des actions du capital-actions de CCO XXXXXXXXXX, BCO et CCO ont procédé à diverses opérations affectant le PBR des actions ordinaires du capital-actions de CCO possédées par BCO, notamment des injections de capitaux, des distributions par voie de réductions du XXXXXXXXXX et une conversion d’actions privilégiées en actions ordinaires.

Le PBR et le CV des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO possédées par BCO sont présentement de XXXXXXXXXX $ et XXXXXXXXXX $ respectivement.

13. Au XXXXXXXXXX, le montant du Revenu protégé en main pour les fins de l’application du paragraphe 55(2), qui était attribuable aux XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO possédées par BCO, était XXXXXXXXXX.

Le « Revenu protégé en main » correspond au revenu gagné ou réalisé (au sens prévu à l’alinéa 55(5)b)) par une société (après 1971 et avant le moment de détermination du revenu protégé quant à l’opération, à l’événement ou à la série d’opérations ou d’événements), dans la mesure où il est en main, qu’il serait raisonnable de considérer comme contribuant au gain en capital qui aurait été réalisé lors d’une disposition à la JVM, d’une action de la société.

Les dividendes qui ont été reçus par BCO au cours des années XXXXXXXXXX sur ses XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO sont les suivants :

14. Présentement, toutes les activités de CCO sont exploitées XXXXXXXXXX.

15. Au XXXXXXXXXX, CCO avait des bénéfices non-répartis d’environ XXXXXXXXXX $ à son bilan (non consolidé, non vérifié, et avec les placements dans les filiales comptabilisés à la valeur de consolidation).

Selon CCO, le montant de ses bénéfices accumulés aux fins du concept du vide à combler pour l’application de l’alinéa 20(1)c) était de XXXXXXXXXX$ en date du XXXXXXXXXX. De ce montant, XXXXXXXXXX$ représente le solde des bénéfices non-répartis de CCO XXXXXXXXXX. Il existe un écart entre les bénéfices accumulés de CCO aux fins du concept du vide à combler et les bénéfices non-répartis au bilan de CCO. XXXXXXXXXX.

16. Le montant de l’encaisse de CCO était d’environ XXXXXXXXXX $ en date du XXXXXXXXXX.

17. En XXXXXXXXXX, CCO a consenti un prêt portant intérêt à BCO (« Prêt CCO-BCO »). Le montant du principal impayé du Prêt CCO-BCO est présentement de XXXXXXXXXX $.

18. BCO et CCO XXXXXXXXXX.

19. À titre de société mère du groupe composé de BCO et ses filiales, BCO a d’importants besoins de trésorerie, notamment afin de verser des dividendes à ses actionnaires et de satisfaire ses obligations de remboursement de principal et d’intérêts relativement à ses financements externes. XXXXXXXXXX.

20. CCO dispose actuellement de liquidités significatives (XXXXXXXXXX $) XXXXXXXXXX.

21. Le XXXXXXXXXX, BCO a constitué NOUCO, une société par actions sous le régime de la XXXXXXXXXX. NOUCO est une SCI. L’Année d’imposition de NOUCO est le XXXXXXXXXX. Le capital-actions autorisé de NOUCO est composé notamment d’un nombre illimité d’actions ordinaires sans valeur nominale. Lors de la constitution de NOUCO, BCO a souscrit à une action ordinaire du capital-actions de NOUCO pour la somme de XXXXXXXXXX $.

OPÉRATIONS PROJETÉES

22. BCO transférera à NOUCO la totalité de ses XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO et recevra à titre de contrepartie des actions ordinaires du capital-actions de NOUCO et un billet à ordre payable sur demande au gré du détenteur, avec un principal de XXXXXXXXXX $ (correspondant au PBR des actions ordinaires XXXXXXXXXX du capital-actions de NOUCO transférées), ne portant pas intérêt et convertible au gré du détenteur en actions ordinaires du capital-actions de NOUCO dont la JVM correspond au principal du billet, au plus tôt XXXXXXXXXX jours suivant la date de son émission (le « Billet BCO-NOUCO »).

BCO et NOUCO feront un choix conjoint en vertu du paragraphe 85(1), dans la forme prescrite et le délai prévu au paragraphe 85(6). La Somme convenue par BCO et NOUCO sera égale au PBR des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO pour BCO immédiatement avant la disposition. Conformément à l’article XXXXXXXXXX de la XXXXXXXXXX, le montant qui sera ajouté au XXXXXXXXXX des actions ordinaires de NOUCO sera de XXXXXXXXXX $. La JVM des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO sera alors plus élevée que la Somme convenue.

Conformément aux principes comptables applicables (Normes internationales d’information financière contenues dans la Partie I du Manuel de CPA Canada - Comptabilité), le transfert des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO n’affectera pas la présentation comptable au niveau de BCO, c’est-à-dire que ce transfert ne donnera lieu à aucune écriture comptable dans les livres de BCO.

23. CCO et NOUCO seront fusionnées en vertu des règles de fusion simplifiée prévues à l’article XXXXXXXXXX de la XXXXXXXXXX pour former FUSIONCO.

Les statuts de fusion de FUSIONCO seront identiques aux statuts de NOUCO, sauf quant à la raison sociale de FUSIONCO qui sera celle de CCO. Les actions émises et en circulation du capital-actions de FUSIONCO correspondront aux actions ordinaires émises et en circulation du capital-actions de NOUCO immédiatement avant la fusion. Le montant du XXXXXXXXXX attribuable aux actions ordinaires émises et en circulation du capital-actions de FUSIONCO correspondra au montant du XXXXXXXXXX des actions ordinaires émises et en circulation du capital-actions de NOUCO immédiatement avant la fusion. Les XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO seront annulées sans aucun paiement lors de la fusion.

Les engagements de NOUCO et CCO existant immédiatement avant la fusion, incluant le Billet BCO-NOUCO, deviendront des engagements de FUSIONCO en vertu de la fusion. Le Billet BCO-NOUCO deviendra alors une dette de FUSIONCO.

Le paragraphe 87(1.1) s’appliquera à la fusion et la fusion constituera une fusion au sens prévu au paragraphe 87(1).

La comptabilisation des opérations décrites aux numéros 22 et 23 des Opérations projetées conformément aux principes comptables applicables (Normes internationales d’information financière), donnera le résultat comptable suivant :

a) une réduction à XXXXXXXXXX du compte de capital-actions de FUSIONCO, soit une réduction d’environ XXXXXXXXXX $;

b) une réduction du compte des bénéfices non-répartis de FUSIONCO d’un montant net d’environ XXXXXXXXXX $;

c) une augmentation de la valeur comptable du compte d’actif « achalandage » présenté aux livres de FUSIONCO de XXXXXXXXXX $;

d) une nouvelle dette (Billet BCO-NOUCO) de XXXXXXXXXX $ sera présentée aux livres de FUSIONCO.

Le résultat comptable ci-dessus découlera de l’enregistrement des deux écritures comptables suivantes :

a) Pour la comptabilisation du Billet BCO-NOUCO : un débit (réduction) au compte de capital-actions d’environ XXXXXXXXXX $, un débit (réduction) au compte des bénéfices non-répartis de XXXXXXXXXX$ XXXXXXXXXX, et un crédit à un compte de dette (Billet BCO-NOUCO) de XXXXXXXXXX $.

b) Comptabilisation d’un achalandage : un débit (augmentation) au compte d’achalandage de XXXXXXXXXX $ et un crédit (augmentation) au compte des bénéfices non-répartis de XXXXXXXXXX $.

Le Billet BCO-NOUCO sera présenté distinctement comme une dette dans les livres de FUSIONCO, mais apparaîtra sous la rubrique « Avoir des actionnaires » au bilan de FUSIONCO.

24. XXXXXXXXXX suivant le transfert par BCO de ses actions du capital-actions de CCO à NOUCO tel que décrit au numéro 22 ci-dessus des Opérations projetées, BCO exercera son droit de conversion afin que son Billet BCO-NOUCO soit échangé pour des actions ordinaires du capital-actions de FUSIONCO. FUSIONCO émettra alors en faveur de BCO des actions ordinaires de son capital-actions ayant une JVM égale à XXXXXXXXXX $. Les dispositions de la dette prévoiront que l’émission par FUSIONCO des actions ordinaires de son capital-actions conformément au privilège de conversion représentera un paiement total et final du principal de la dette, et mettra ainsi fin aux obligations de FUSIONCO en vertu de la dette. Le Billet BCO-NOUCO sera alors réglé et éteint (« Règlement »).

Un montant correspondant au principal et à la JVM du Billet BCO-NOUCO (soit XXXXXXXXXX $), sera ajouté au XXXXXXXXXX des actions ordinaires de FUSIONCO conformément au droit sur les sociétés par actions applicable (incluant les articles XXXXXXXXXX de la XXXXXXXXXX).

Conformément aux principes comptables applicables (Normes internationales d’information financière), cette conversion ne donnera lieu à aucune écriture comptable dans les livres de BCO. Dans les livres comptables de FUSIONCO, cette opération donnera lieu à une annulation de la dette (Billet BCO-NOUCO) de XXXXXXXXXX $ et à une augmentation du compte comptable de capital-actions de FUSIONCO de XXXXXXXXXX $.

Les Opérations projetées décrites ci-dessus aux numéros 22 et 23 auront lieu le XXXXXXXXXX.

25. BCO remboursera les intérêts courus et impayés sur le Prêt CCO-BCO décrit au numéro 17 ci-dessus des faits.

26. FUSIONCO effectuera une réduction du XXXXXXXXXX des actions ordinaires de son capital-actions (conformément à l’article XXXXXXXXXX de la XXXXXXXXXX) d’un montant correspondant au principal impayé (soit XXXXXXXXXX $) du Prêt CCO-BCO et versera à BCO à titre de contrepartie un montant en espèces (XXXXXXXXXX $) correspondant au montant de cette réduction du XXXXXXXXXX, à même son encaisse.

Conformément aux principes comptables applicables (Normes internationales d’information financière), la comptabilisation de cette opération par FUSIONCO donnera lieu à une réduction au montant de XXXXXXXXXX $ de son compte comptable de capital-actions. Au niveau de BCO, cette opération sera reflétée à titre de réduction de XXXXXXXXXX $ de la valeur comptable du placement de BCO dans les actions ordinaires du capital-actions de FUSIONCO.

27. BCO remboursera le Prêt CCO-BCO au montant de XXXXXXXXXX $ à même les fonds reçus de CCO lors de l’opération décrite au numéro 26 ci-dessus des Opérations projetées.

28. Il est prévu que FUSIONCO empruntera de l’argent par l’émission XXXXXXXXXX (les « Emprunts ») XXXXXXXXXX pour un montant XXXXXXXXXX d’environ XXXXXXXXXX $ (XXXXXXXXXX), auprès d’un ou plusieurs prêteurs avec lequel ou lesquels FUSIONCO transigera sans lien de dépendance. Ces Emprunts porteront intérêt à des taux d’intérêt commerciaux du marché, et comporteront les dispositions habituelles à l’égard de ce type d’emprunts (notamment quant au remboursement du principal), lesquels seront déterminés par négociation entre FUSIONCO et les prêteurs avant l’émission des Emprunts.

29. Il est prévu que FUSIONCO effectuera une réduction du XXXXXXXXXX des actions ordinaires de son capital-actions (conformément à l’article XXXXXXXXXX de la XXXXXXXXXX) d’un montant d’environ XXXXXXXXXX $ et versera à BCO à titre de contrepartie un montant en espèces correspondant au montant de cette réduction du XXXXXXXXXX des actions ordinaires. Les fonds pour la contrepartie d’environ XXXXXXXXXX $ proviendront des Emprunts de FUSIONCO et de son encaisse.

Conformément aux principes comptables applicables (Normes internationales d’information financière), la comptabilisation de cette opération donnera lieu à une réduction de XXXXXXXXXX $ du compte de capital-actions de FUSIONCO. Au niveau de BCO, cette opération sera reflétée à titre de réduction de la valeur comptable du placement de BCO dans les actions ordinaires du capital-actions de FUSIONCO. Dans la mesure où le montant de la réduction excède la valeur comptable dudit placement, tout excédent sera reflété comme un gain comptable dans les livres de BCO.

30. Il est prévu que les fonds reçus par BCO dans le cadre de l’opération décrite au numéro 29 ci-dessus des Opérations projetées, seront utilisés par BCO pour XXXXXXXXXX. Dans la mesure où le montant reçu par BCO est insuffisant, il est présentement envisagé que des sommes additionnelles seront empruntées directement au niveau de BCO.

OBJETS DES OPÉRATIONS PROJETÉES

31. Les Opérations projetées visent à utiliser les attributs fiscaux de BCO, en l’occurrence le PBR des actions de CCO, afin de faciliter des rapatriements de fonds de FUSIONCO vers BCO par voie de réduction du XXXXXXXXXX, et ainsi permettre à BCO de satisfaire ses besoins de trésorerie. En outre, les Opérations proposées visent à faciliter le financement XXXXXXXXXX, XXXXXXXXXX.

INFORMATIONS ADDITIONNELLES

32. Vous nous avez indiqué qu’au meilleur de votre connaissance et de celle de BCO et CCO, aucune des questions soulevées dans la présente :

a) n’a été abordée dans une déclaration antérieure de BCO, CCO ou d’une personne qui est liée à BCO;

b) n’a été examinée par un bureau des services fiscaux ou un centre fiscal en rapport avec une déclaration produite antérieurement par BCO, CCO ou une personne qui est liée à BCO;

c) n’a fait l’objet d’une opposition formulée par BCO, CCO ou une personne qui est liée à BCO;

d) n’est devant les tribunaux, ni ne comporte un délai d’appel à une instance supérieure qui n’est pas arrivé à échéance; et

e) n’a fait l’objet d’une demande de décisions anticipées antérieure par BCO, CCO ou une personne qui est liée à BCO.

DÉCISIONS ANTICIPÉES RENDUES

Pourvu que l’énoncé des faits, des Opérations projetées et des objets des Opérations projetées, constitue une divulgation complète de tous les faits pertinents, de toutes les Opérations projetées et de tous les objets des Opérations projetées, et que les opérations soient effectuées telles que décrites précédemment, nos décisions sont les suivantes :

A. Sous réserve de l’application du paragraphe 69(11), lors du transfert par BCO de ses XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO tel que décrit au numéro 22 ci-dessus des Opérations projetées, les dispositions du paragraphe 85(1) s’appliqueront de sorte que :

a) la Somme convenue sera réputée être le produit de disposition des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO pour BCO et le coût d’acquisition des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO pour NOUCO;

b) le coût du Billet BCO-NOUCO qui sera reçu par BCO sera déterminé conformément à l’alinéa 85(1)f);

c) le coût des actions ordinaires du capital-actions de NOUCO qui seront reçues par BCO sera déterminé conformément à l’alinéa 85(1)h); et

d) pour plus de certitude, l’alinéa 85(1)e.2) ne s’appliquera pas au transfert par BCO à NOUCO de ses XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO.

B. Le Revenu protégé en main attribuable aux actions ordinaires du capital-actions de NOUCO qui seront possédées par BCO au moment de l’émission de ces actions, tel que décrit au numéro 22 ci-dessus des Opérations projetées, correspondra au Revenu protégé en main pour BCO attribuable aux XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO au moment qui est immédiatement avant le moment du transfert des XXXXXXXXXX actions ordinaires XXXXXXXXXX du capital-actions de CCO à NOUCO.

C. Dans le cadre de l’opération telle que décrite au numéro 24 ci-dessus des Opérations projetées, le CV des actions ordinaires émises et en circulation du capital-actions de FUSIONCO sera augmenté du montant ajouté au XXXXXXXXXX des actions ordinaires du capital-actions de FUSIONCO conformément aux dispositions applicables de la XXXXXXXXXX.

D. Les dispositions du paragraphe 51(1) s’appliqueront à l’échange du Billet BCO-NOUCO pour des actions ordinaires du capital-actions de FUSIONCO tel que décrit au numéro 24 ci-dessus des Opérations projetées, de sorte que :

a) sauf pour l’application des paragraphes 20(21) et 44.1(6) et (7) et de l’alinéa 94(2)m), l’échange sera réputé pour BCO ne pas constituer une disposition du Billet BCO-NOUCO; et

b) le coût pour BCO des actions ordinaires du capital-actions de FUSIONCO qui seront reçues par BCO en échange du Billet BCO-NOUCO sera réputé être égal au PBR du Billet BCO-NOUCO immédiatement avant l’échange.

Pour plus de certitude, les dispositions du paragraphe 51(2) ne s’appliqueront pas à l’échange du Billet BCO-NOUCO pour des actions ordinaires du capital-actions de FUSIONCO tel que décrit au numéro 24 ci-dessus.

E. Les montants que BCO recevra sur ses actions ordinaires du capital-actions de FUSIONCO à titre de réductions du XXXXXXXXXX des actions ordinaires tel que décrites aux numéro 26 et 29 ci-dessus des Opérations projetées, seront déduit dans le calcul du PBR de ses actions ordinaires du capital-actions de FUSIONCO en vertu du sous-alinéa 53(2)a)(ii).

F. Le Règlement du Billet BCO-NOUCO tel que décrit au numéro 24 ci-dessus, ne résultera pas en un « montant remis » tel que défini au paragraphe 80(1) pour FUSIONCO.

G. Dans la mesure où les Emprunt d’environ XXXXXXXXXX $ (tel que décrit au numéro 28 ci-dessus des Opérations projetées) remplaceront du capital de FUSIONCO (soit du XXXXXXXXXX des actions ordinaires du capital-actions de FUSIONCO) qui est utilisé par FUSIONCO à des fins admissibles, et que ce capital continuera à être utilisé à des fins admissibles aux fins de l’application du sous-alinéa 20(1)c)(i), les intérêts payés au cours de l’année ou payables pour l’année (suivant la méthode habituellement utilisée par le contribuable dans le calcul de son revenu) par FUSIONCO, en exécution d’une obligation légale de verser des intérêts sur l’argent emprunté, seront déductibles par FUSIONCO dans le calcul de son revenu pour l’année, en vertu du sous-alinéa 20(1)c)(i). Toutefois, ces intérêts seront déductibles uniquement dans la mesure où ils seront raisonnables dans les circonstances et pourvu que la déduction ne soit pas interdite en vertu d’une autre disposition spécifique de la Loi.

Pour les fins de la décision G, le capital de FUSIONCO attribuable au Billet BCO-NOUCO et au XXXXXXXXXX des actions ordinaires du capital-actions de FUSIONCO de XXXXXXXXXX $ sera considéré comme étant utilisé par FUSIONCO à des fins admissibles aux fins de l’application du sous-alinéa 20(1)c)(i) pourvu que les biens qui deviendront des biens de FUSIONCO lors de la fusion de NOUCO et CCO ou les biens qui leur seront substitués, seront utilisés et continueront d’être utilisés par FUSIONCO en vue de tirer un revenu de son entreprise.

H. Les dispositions du paragraphe 245(2) ne s’appliqueront pas par suite et en raison des Opérations projetées décrites ci-dessus, pour déterminer à nouveau les conséquences fiscales confirmées dans les décisions anticipées rendues.

Pour les fins de la présente, seules les Opérations projetées qui sont connues et décrites dans la présente ont été considérées.

Ces décisions sont rendues sous réserve des restrictions et des conditions générales énoncées dans la circulaire d’information 70-6R7 du 22 avril 2016, publiée par l’ARC et lient l’ARC, pourvu que les Opérations projetées soient complétées avant le XXXXXXXXXX. Ces décisions sont basées sur la Loi actuelle et ne tiennent pas compte des modifications qui y sont proposées.

Background

Aco, a public corporation, wholly owns Xco and Yco, and all three corporations hold shares of Bco, which holds all the shares of Cco. Both Bco and Cco have accumulated profits and retained earning, and Cco has significant liquidity. Bco recently incorporated Newco, and subscribed for one common share. An interest-bearing loan is owing by Bco to Cco (the "Cco-Bco Loan")

Proposed transactions

Bco will transfer to Newco all its common shares of Cco on a s. 85(1) rollover basis in consideration for Newco issuing common shares and a demand non-interest bearing promissory note (the "Bco-Newco Note"), which is convertible after a specified period at the holder’s option into Newco common shares with an FMV equaling that of the note.
There will be a short-form amalgamation of Newco and Cco, so that the share capital of Amalco will be identical to that of Newco.
Bco will exercise its right to convert the Bco-Newco Note to common shares of Amalco.
Amalco will effect a reduction in the share capital account for its shares in cash, with Bco applying such cash to repay the Cco-Bco Loan owing to Amalco.
Amalco will borrow from arm’s-length lenders and use the proceeds in the share capital account for its shares held by Bco.

Rulings

Including that:

To the extent that the Borrowings [in 5] will replace capital of Amalco (i.e., of XXXXXXXXXX on the common shares of the capital stock of Amalco) that is being used by Amalco for eligible purposes, and that such capital will continue to be used for eligible purposes for the purposes of subparagraph 20(1)(c)(i), interest paid in the year or payable in respect of the year (depending on the method regularly followed by the taxpayer in computing the taxpayer’s income), pursuant to a legal obligation to pay interest on the borrowed money, will be deductible by Amalco in computing its income for the year pursuant to subparagraph 20(1)(c)(i). However, such interest will be deductible only to the extent that it is reasonable in the circumstances and provided that the deduction is not prohibited by any other specific provision of the Act.

For [such] purposes … the capital of Amalco attributable to the Bco-Newco Note and the XXXXXXXXXX of common shares of the capital stock of Amalco of $XXXXXXXXXX will be considered to be used by Amalco for eligible purposes for the purposes of subparagraph 20(1)(c)(i) provided that the property that will become property of Amalco on the amalgamation of Newco and Cco or the property that will be substituted therefor will be used and will continue to be used by Amalco for the purpose of gaining or producing income from its business.

In the supplementary letter, CRA ruled that the amount of "accumulated profits" of Amalco for purposes of the "filling the hole" concept for the purposes of paragraph 20(1)(c), would be a specified amount at the time of the amalgamation.
