Subject: Subsections 39(9) and 39(10) of the Income Tax Act

This letter is in response to your March 1, 2013 e-mail regarding the subject matter.

Unless otherwise indicated, all statutory references herein are to the provisions of the Income Tax Act (the "Act").

We understand that an individual has in the past claimed a capital gains deduction ("CGD") in the amount of $250,000. The capital gain giving rise to the CGD resulted from Trust X's allocation of a net taxable capital gain of $250,000 pursuant to subsections 104(21) and 104(21.2). In 2012, the individual and Trust X each realized a capital loss of $500,000. Each capital loss also qualified as a business investment loss ("BIL"). Subject to the application of subparagraph 39(1)(c)(viii), the deductible business investment loss was $250,000 each.

You wish to know whether subsections 39(9) and 39(10) should be applied together, that is, that the same CGD reduces the calculation of both the individual’s and the trust’s BIL.

Under your interpretation of subsections 39(9) and 39(10), the individual and Trust X must reduce their BIL to zero. However, this result does not seem appropriate to you.

Our Comments

We are of the view that subsections 39(9) and 39(10) apply to reduce the individual's and the Trust X's BIL. However, while the individual's and the Trust's BIL are reduced, the amount of the reduction remains a capital loss that may be applied against a capital gain.

The mandate of the Canada Revenue Agency is to administer the Act while responsibility for the development of tax policies and amendments to the Act rests with the Department of Finance. Objet : Paragraphes 39(9) et 39(10) de la Loi de l'impôt sur le revenu

La présente lettre fait suite à votre courriel du 1er mars 2013 concernant le sujet mentionné en titre.

Sauf indication contraire, tous les renvois législatifs dans la présente sont des renvois aux dispositions de la Loi de l'impôt sur le revenu (la « Loi »).

Nous comprenons qu'un particulier a réclamé dans le passé une déduction pour gains en capital (« DGC ») au montant de 250 000 $. Le gain en capital donnant droit à la DGC provenait d'une attribution par la Fiducie X d'un gain en capital imposable net de 250 000 $ conformément aux paragraphes 104(21) et 104(21.2). En 2012, le particulier et la Fiducie X ont réalisé chacun une perte en capital de 500 000 $. Chaque perte en capital se qualifiait par ailleurs de perte au titre de placement d'entreprise (« PTPE »). Sous réserve de l'application du sous-alinéa 39(1)c)(viii), la perte déductible au titre de placement d'entreprise s'élèverait à 250 000 $ chacun.

Vous désirez savoir si les paragraphes 39(9) et 39(10) doivent être appliqués conjointement, c'est-à-dire que la même DGC réduise le calcul de la PTPE du particulier et de la fiducie X?

Selon votre interprétation des paragraphes 39(9) et 39(10), le particulier et la fiducie X doivent réduire leur PTPE à zéro. Cependant ce résultat ne vous semble pas approprié.

Nos commentaires

Nous sommes d'avis que les paragraphes 39(9) et 39(10) s'appliquent pour réduire la PTPE du particulier et de la Fiducie X. Toutefois, bien que la PTPE du particulier et de la Fiducie X soit réduite, le montant de la réduction demeure une perte en capital qui peut être appliqué à l'encontre de gain en capital.

Le mandat de l'Agence du revenu du Canada consiste à administrer la Loi tandis que la responsabilité quant à l'élaboration des politiques fiscales et aux modifications de la Loi relève du ministère des Finances.
