Réduction du plafond des affaires dans le cas d'une coopérative
Considérons la situation suivante :
Coop est une société coopérative visée au paragraphe 136(2) L.I.R. Elle a un capital imposable, selon l'article 181.2 L.I.R., de 15 M$ pour l'année d'imposition se terminant le 31 décembre 2006. Cette dernière est associée à la société ABC inc., une société privée sous contrôle canadien (SPCC). ABC inc. a un capital imposable de 5 M$ pour son année d'imposition se terminant le 31 décembre 2006. Lors de la préparation de la déclaration de revenus d'ABC inc. de l'exercice finissant le 31 décembre 2007, ABC inc. désire prendre la totalité de la DPE disponible. Selon l'alinéa 181.1(3)f) L.I.R., aucun impôt de la Partie I.3 L.I.R. n'est payable par Coop.
En supposant que le plafond des affaires déterminé par ailleurs d'ABC inc. de l'année 2007, est de 400 000 $, le plafond des affaires d'ABC inc., en vertu du paragraphe 125(5.1) L.I.R. actuel, serait de 400 000 $, étant donné que ni Coop, ni ABC inc. 1 n'a d'impôt de la Partie I.3 L.I.R. à payer.
Une nouvelle version du paragraphe 125(5.1) L.I.R. est proposée par le Projet de loi C-10 applicable aux années d'imposition commençant après le 20 décembre 2002. Cette version calcule la réduction du plafond des affaires sur le " capital imposable " au sens de la Partie I.3 plutôt que " l'impôt payable en vertu de la Partie I.3 ". Une version temporaire est toutefois prévue pour les années d'imposition ayant commencé avant la sanction du Projet de loi C-10, dans le cas des sociétés visées au paragraphe 181.1(3) L.I.R. Coop étant visée à ce paragraphe, cette version est applicable à la situation présente. Cette version temporaire modifie essentiellement les termes " capital imposable " par les termes " impôt payable en vertu de la Partie I.3 ", sauf dans le cas où la société est associée à une ou plusieurs sociétés données, ce qui est le cas du présent exemple. Contrairement à l'impôt payable de la Partie I.3, il n'y a aucune mention dans cette même partie de la L.I.R. que le capital imposable d'une société coopérative pourrait être ramené à zéro.
Selon notre compréhension des faits, suite à cette modification, le plafond des affaires serait de 0 $ pour ABC inc.
Questions
a) Si le Projet de loi C-10 est sanctionné comme tel, quel serait le plafond des affaires calculé selon le paragraphe 125(5.1) L.I.R. pour ABC inc., en supposant que le plafond des affaires déterminé, par ailleurs, est de 400 000 $?
b) Quel serait le plafond des affaires, selon le calcul du paragraphe 125(5.1) L.I.R., si l'année d'imposition d'ABC inc. avait débuté après la sanction du Projet de loi C-10?
Réponse de l'ARC
a) Le paragraphe 125(5.1) L.I.R. calcule, s'il y a lieu, la réduction du plafond des affaires d'une société. Aux termes de l'alinéa 117(2)c) du projet de loi C-10, l'élément B de la formule figurant au paragraphe 125(5.1) L.I.R. est remplacée par la somme obtenue par la formule 0,225% x (D - 10 000 000 $).
L'élément D représente le total des montants représentant chacun le capital imposable utilisé au Canada au sens du paragraphe 181.2(1) L.I.R. de la société, ou d'une des sociétés données - si la société, ABC inc. en l'espèce, est associée à une ou plusieurs sociétés données (à Coop) au cours de l'année donnée.
Ainsi, selon vos données, l'équation devient 0,225% x (20 000 000$ - 10 000 000$) où D représente la somme du capital imposable de Coop, soit 15 M$, et de ABC inc., soit 5 M$. Aux termes de la proposition législative, la somme obtenue en appliquant la formule à l'élément B est de 22 500$.
Il est à noter que le paragraphe 117(4) du projet de loi C-10 - mesure transitoire pour ne société visée par le paragraphe 181.1(3) L.I.R. dont l'année d'imposition a débuté avant la date de la sanction - s'appliquerait dans le cas où l'on calculerait le plafond des affaires applicable à Coop (visée par le paragraphe 181.1(3) L.I.R.). Cette disposition ne fait pas l'objet de vos questions et ne s'applique pas pour calculer le plafond des affaires de ABC inc.)
Ainsi, en utilisant l'élément B du paragraphe 125(5.1)L.I.R. tel que proposé par le projet de loi C-10, la formule figurant au paragraphe 125(5.1) L.I.R. permet de calculer la réduction du plafond des affaires de la société ABC inc. comme suit :
L'excédent du plafond des affaires calculé par ailleurs, soit 400 000$, selon vos données, sur le résultat du calcul suivant :

Business Limit Reduction of a Cooperative
Let us consider the following situation:
Coop is a cooperative corporation subject to subsection 136(2) of the ITA. It has a taxable capital of 15 million dollars for the taxation year ending December 31, 2006, pursuant to section 181.2 of the ITA. The latter is associated with corporation ABC Inc., a Canadian-controlled private corporation (CCPC). ABC Inc. has a taxable capital of 5 million dollars for its taxation year ending December 31, 2006. At the time of the preparation of the income tax return of ABC Inc. for the fiscal period ending December 31, 2007, ABC Inc. would like to take the total amount of the available small business deduction (SBD). There is no tax payable under Part I.3 of the ITA by Coop pursuant to paragraph 181.1(3)(f) of the ITA.
Assuming that the business limit for the year 2007, otherwise determined by ABC Inc., is $400,000, the business limit of ABC Inc. pursuant to the current wording of subsection 125(5.1) of the ITA would be $400,000, since neither Coop nor ABC Inc. 2 have tax payable under Part I.3 of the ITA.
A new version of subsection 125(5.1) of the ITA is proposed in Bill C-10, which is applicable to taxation years that begin after December 20, 2002. This version calculates the business limit reduction on the "taxable capital" within the meaning of Part I.3 of the ITA rather than the "tax payable under Part I.3". For corporations described in subsection 181.1(3) of the ITA, a temporary version is, however, provided for the taxation years that began before Bill C-10 is assented to. Coop being described in this paragraph, this version is applicable to the present situation. This temporary version primarily modifies the expression "taxable capital" by the expression "tax payable under Part I.3", except in a situation where the corporation is associated with one or more particular corporations, as is the case of the present example. Contrary to tax payable under Part I.3 of the ITA, there is no mention in the same Part of the ITA that the taxable capital of a cooperative corporation could be brought down to zero.
According to our understanding of the facts following this amendment, the business limit of ABC Inc. would be $0.
Questions
a) If Bill C-10 is enacted as is, what would be the business limit of ABC Inc., calculated in accordance with subsection 125(5.1) of the ITA, assuming that the business limit otherwise determined is $400,000?
b) What would be the business limit calculated in accordance with subsection 125(5.1) of the ITA if the taxation year of ABC Inc. had begun after the royal assent of Bill C-10?
CRA Response
a) Subsection 125(5.1) of the ITA provides a calculation that will reduce the business limit of a CCPC. In accordance with paragraph 117(2)(c) of Bill C-10, element B of the formula in subsection 125(5.1) of the ITA is replaced by the amount obtained by the formula 0.225% x (D- $10 million).
Element D is the total of all amounts each of which is the taxable capital employed in Canada within the meaning of subsection 181.2(1) of the ITA of the corporation or of any of the particular corporations - if the corporation, in this case, ABC Inc., is associated with one or more particular corporations (i.e. Coop) in the particular taxation year.
Therefore, in the example given, the formula is 0.225% X ($20,000,000 - $10,000,000), where D is the total of the taxable capital of Coop which is $15,000,000 and ABC Inc. which is $5,000,000. According to the legislative proposal, the amount obtained by using the formula in element B is $22,500.
It should be noted that subsection 117(4) of Bill C-10 - transitional measure for a corporation described in subsection 181.1(3) of the ITA whose taxation year began before the date of royal assent - would apply in the case where we would calculate the business limit applicable to Coop (which is subject to subsection 181.1(3) of the ITA). This provision is not the subject of your questions and does not apply when calculating the business limit of ABC Inc.
Accordingly, by using element B in subsection 125(5.1) of the ITA as proposed in Bill C-10, the formula in subsection 125(5.1) of the ITA allows for the calculation of the business limit reduction of corporation ABC Inc. as follows:
