Position Adoptée: 1. Le paragraphe 73(1) ne pourrait pas s'appliquer si le particulier a la possibilité de céder ses droits dans le revenu et le capital d'une fiducie selon le droit civil du Québec sans en être empêché par une disposition de l'acte de fiducie.
2. Commentaires généraux.
Raisons: 1. Le cessionnaire éventuel aurait le droit de recevoir une partie quelconque du revenu et du capital de la fiducie ou d'en obtenir autrement l'usage à la suite d'une telle cession, ce qui contreviendrait à l'une des conditions prévues au sous-alinéa 73(1.01)c)(ii) de la Loi.

Question 14
Fiducie en faveur de soi de l'article 73 L.I.R.
Considérons la situation suivante :
- Un particulier résidant au Québec désire transférer un immeuble à revenus à une fiducie pour soi-même (self-benefit trust) au sens de l'article 73 L.I.R. L'immeuble a une juste valeur marchande de 1 000 000 $, un PBR de 600 000 $, une FNACC de 400 000 $ et est une immobilisation pour le particulier.
- La fiducie respectera chacune des conditions du paragraphe 73(1.01) L.I.R. et suivants, notamment l'individu sera le seul bénéficiaire de la fiducie, il aura droit de recevoir annuellement le revenu de la fiducie, nulle autre personne ne pourra recevoir le capital ou l'usage du capital de la fiducie.
- Par la suite, le particulier décide de vendre son droit de bénéficiaire à une tierce personne moyennant une contrepartie de 1 000 000 $.
a) Comment sera imposée la cession de l'intérêt du bénéficiaire dans la fiducie?
b) Est-ce qu'il y aura effectivement un roulement en faveur de la fiducie lors du transfert de l'immeuble?
c) Est-ce que les réponses aux questions a) et b) seraient différentes si la vente de l'intérêt dans la fiducie avait lieu immédiatement après le transfert ou cinq ans suite au transfert?
Réponse de l'ARC
a) Même si un roulement en vertu du paragraphe 73(1) L.I.R. n'est pas possible dans la situation présentée (tel qu'expliqué au point b) ci-dessous), les règles habituelles lors d'une cession d'intérêt dans une fiducie s'appliquent. Ainsi, les droits du bénéficiaire comprennent une participation au revenu de la fiducie et une participation au capital de la fiducie dont la disposition amène des conséquences fiscales différentes. Par conséquent, une répartition du prix de vente entre ces deux genres de participation sera nécessaire. Si la cession a lieu alors qu'il existe un lien de dépendance entre les parties et que le produit de disposition de chacun de ces biens est inférieur à la juste valeur marchande de chacun de ces biens, le cédant sera réputé, en vertu du sous-alinéa 69(1)b)(i) L.I.R., avoir reçu un produit de disposition égal à la juste valeur marchande de chaque genre de participation dont il a disposé. Même s'il n'existe aucun lien de dépendance entre le cédant et le cessionnaire, l'ARC pourra faire une nouvelle répartition de la contrepartie entre les différents genres de participation conformément à l'article 68 L.I.R si elle juge que les valeurs attribuées entre les deux genres de participation sont déraisonnables.
Un contribuable qui cède une participation au revenu d'une fiducie en faveur d'une autre personne est assujetti aux dispositions du paragraphe 106(2) L.I.R. et doit ajouter à son revenu l'excédent du produit de disposition sur, s'il y a lieu, le montant relatif à un droit d'exiger de la fiducie le versement d'une somme qui aurait été inclus dans le calcul du revenu du contribuable par l'effet du paragraphe 104(13) L.I.R. Dans la présente situation, le bénéficiaire n'aura droit à aucune autre déduction relativement à la participation au revenu étant donné qu'il n'a rien payé en contrepartie de cette participation au revenu.
De plus, un contribuable qui cède une participation au capital d'une fiducie en faveur d'une autre personne doit calculer s'il a un gain en capital imposable provenant de cette disposition en tenant compte du paragraphe 107(1.1) L.I.R. et de l'alinéa 107(1)a) L.I.R. En raison de ces deux dispositions, il se pourrait que le prix de base rajusté aux fins du calcul du gain en capital soit égal au coût indiqué de la participation au capital qui est défini au paragraphe 108(1) L.I.R.. Selon cette définition, le coût indiqué de la participation au capital serait, dans une situation comme celle énoncée plus haut, l'excédent du montant d'argent détenu par la fiducie et du coût indiqué des autres biens détenus par la fiducie sur le montant des dettes et obligations de verser une somme impayée et ce, immédiatement avant le moment qui est immédiatement avant le moment de la disposition. Par ailleurs, sous réserve de certaines exceptions, le bénéficiaire qui n'a pas acquis sa participation d'une personne qui était le bénéficiaire quant à la participation immédiatement avant cette acquisition ne subira pas une perte en capital lors de la disposition car son coût est réputé nul en vertu du paragraphe 107(1.1) L.I.R et que les règles spéciales prévues par l'alinéa 107(1)a) L.I.R. pour déterminer le prix de base rajusté d'une participation au capital lors du calcul d'un gain en capital ne s'appliqueront pas pour le calcul d'une perte en capital.
b) Le paragraphe 73(1) L.I.R. permet le transfert sans impôt d'un bien transféré par un particulier dans les circonstances visées au paragraphe 73(1.01) L.I.R. Sous réserve du paragraphe 73(1.02) L.I.R., l'une de ces circonstances est lorsqu'un particulier transfère un bien à une fiducie établie par le particulier dans le cadre de laquelle le particulier a le droit de recevoir sa vie durant tous les revenus de la fiducie, et nulle autre personne que lui ne peut, avant le décès de celui-ci recevoir une partie quelconque du revenu ou du capital de la fiducie ni autrement en obtenir l'usage.
Nous sommes d'avis que nous ne serions pas en présence d'une circonstance visée au sous-alinéa 73(1.01)c)(ii) L.I.R. lors du transfert du bien si un particulier, résident du Québec, a la possibilité de céder ses droits dans le revenu et le capital d'une fiducie selon le droit civil du Québec sans en être empêché par une disposition de l'acte de fiducie. Dans un tel cas, le cessionnaire éventuel aurait le droit de recevoir une partie quelconque du revenu et du capital de la fiducie ou d'en obtenir autrement l'usage à la suite d'une telle cession; ce qui contreviendrait à l'une des conditions prévues au sous-alinéa 73(1.01)c)(ii) L.I.R..
c) Les réponses précédentes ne seraient pas différentes, que la vente de ses droits de bénéficiaire de la fiducie ait lieu immédiatement ou cinq ans après le transfert du bien à la fiducie.

Question 14
Self-Benefit Trust Pursuant to Section 73 of the ITA
Let us consider the following situation:
- An individual, residing in Québec, wants to transfer an income-producing building to a self-benefit trust within the meaning of section 73 of the ITA. The building has a fair market value of $1,000,000, an ACB of $600,000, a UCC of $400,000 and is a capital property of the individual.
- The trust will meet each condition of subsection 73(1.01) of the ITA, and seq., particularly, the individual will be the sole beneficiary of the trust, he will be entitled to receive, on an annual basis, the income of the trust and no other person may receive or obtain the use of the capital of the trust.
- Thereafter, the individual decides to sell his interests in the trust to a third party for a consideration of $1,000,000.
Questions
a) What is the tax treatment of the transfer of the beneficiary's interest in the trust?
b) Is the building actually transferred to the trust on a "rollover" basis?
c) Would the answers to questions a) and b) be different, depending on whether the sale of the interest in the trust took place immediately after the transfer or five years following the transfer?
CRA Response
a) Even if a rollover under subsection 73(1) of the ITA was not permitted in the current situation (as explained in b) below), the usual rules in respect of the transfer of an interest in a trust would apply. The rights of the beneficiary include an income interest in the trust and a capital interest in the trust; the disposition of these interests results in different tax consequences. Therefore, it will be necessary to allocate the selling price between these two types of interests. If the transfer takes place between two persons not dealing at arm's length and the proceeds of disposition of each of the property is less than its fair market value, the transferor will be deemed, pursuant to subparagraph 69(1)(b)(i) of the ITA, to have received proceeds of disposition equal to the fair market value of each type of interest disposed of. Even if the transferor and the transferee are dealing at arm's length, CRA could reallocate the consideration between the different types of interest in accordance with section 68 of the ITA if it determines that the value that was attributed to the two types of interests is unreasonable.
A taxpayer who transfers an income interest in a trust to another person is subject to the provisions of subsection 106(2) of the ITA and must include in computing his income the amount, if any, by which the proceeds of disposition exceed the amount in respect of a right to enforce payment of an amount by the trust, that has been included in computing the taxpayer's income because of subsection 104(13) of the ITA. In the current situation, the beneficiary will not be entitled to any other deduction in respect of the income interest given that he did not pay anything to acquire that income interest.
Moreover, a taxpayer who transfers a capital interest in a trust to another person must determine if a taxable capital gain results from the disposition, considering subsection 107(1.1) of the ITA and paragraph 107(1)(a) of the ITA. Because of these two provisions, the adjusted cost base used for the purposes of computing the capital gain may be equal to the cost amount of the capital interest as defined in subsection 108(1) of the ITA. According to this definition, the cost amount of the capital interest would be, in a situation as described above, the amount by which the money held by the trust and the cost amount to the trust of each other property of the trust exceed the amount of any debt owing by the trust or of any other obligation of the trust to pay any amount and this, immediately before the time that is immediately before the time of the disposition. In addition, subject to certain exceptions, the beneficiary who did not acquire his interest from a person who was the beneficiary in respect of the interest immediately before that acquisition, will not incur a capital loss at the time of the disposition because his cost is deemed to be nil pursuant to subsection 107(1.1) of the ITA and because the special rules provided in paragraph 107(1)(a) of the ITA to determine the adjusted cost base of a capital interest when computing a capital gain will not apply for computing a capital loss.
b) Subsection 73(1) of the ITA allows the tax-free rollover of a property transferred by an individual in the circumstances described in subsection 73(1.01) of the ITA. Subject to subsection 73(1.02) of the ITA, one of these circumstances is that an individual transfers a property to a trust created by the individual under which the individual is entitled to receive all of the income of the trust that arises before the individual's death and no person except the individual may, before the individual's death, receive or otherwise obtain the use of any of the income or capital of the trust.
In our view, we would not be dealing with a circumstance described in subparagraph 73(1.01(c)(ii) of the ITA at the time the property is transferred if an individual, residing in Québec, has the possibility of transferring his rights in the income and the capital of the trust pursuant to the Civil Code of Québec, without being prevented from doing so by a provision of the trust indenture. In such a case, the potential transferee would be entitled to receive or otherwise obtain the use of any income or capital of the trust following such a transfer, which would contravene one of the conditions provided in subparagraph 73(1.01)(c)(ii) of the ITA.
c) The previous answers would not be different, whether the sale of his beneficiary rights in the trust takes place immediately or five years after the transfer of the property to the trust.
