Principal Issues: In a given situation, where a taxpayer transferred public corporation shares to his holding corporation, established the value of the shares without using the CRA's position on the valuation of shares in IC 89-3, provided this value to the professional who prepared the rollover form on his behalf, there is a significant difference between the value attributed to the shares by the taxpayer and their FMV, and, the normal reassessment period applicable to the taxpayer for the year of the share transfer has expired, whether (1) the CRA could reassess the year of the disposition of the shares pursuant to subparagraph 152(4)(a)(i)? and (2) a penalty under subsection 163.2 could apply to the preparer of the taxpayer's rollover form and/or tax return for that year?

Prescription - Pénalité

Aux fins de déterminer la JVM d'une action de société publique disposée en faveur d'une société de portefeuille familiale par voie de roulement, Monsieur X utilise une méthode d'évaluation qui n'est pas conforme à la politique énoncée dans la Circulaire d'information 89-3. La "période normale de nouvelle cotisation", au sens du paragraphe 152(3.1) L.I.R., applicable à Monsieur X pour l'année d'imposition de la disposition des actions de la société publique est expirée.

Est-ce que le fait de ne pas avoir utilisé la méthode d'évaluation énoncée dans la Circulaire d'information 89-3 constitue une présentation erronée des faits par négligence, inattention ou omission volontaire, ou une fraude dans la fourniture de renseignements, ce qui résulterait en une perte du bénéfice de la prescription, en vertu du sous-alinéa 152(4)a)(i) L.I.R.?

Est-ce que le professionnel ayant préparé le formulaire de roulement et/ou la déclaration de revenus de Monsieur X pourrait se voir imposer une pénalité en vertu de l'article 163.2 L.I.R.?

Réponse de l'ARC

Nous comprenons que dans la situation donnée Monsieur X a procédé à l'évaluation des actions qu'il détient dans une société publique et que l'écart entre la JVM des actions et la valeur des actions rapportées sur le formulaire de roulement prescrit est substantiel.

Prescription

L'ARC peut, à tout moment, établir une cotisation ou une nouvelle cotisation après l'expiration de la "période normale de nouvelle cotisation", en vertu du sous-alinéa 152(4)a)(i) L.I.R., si le contribuable "a fait une présentation erronée des faits par négligence, inattention ou omission volontaire ou a commis quelque fraude" en produisant sa déclaration de revenus ou en fournissant quelque renseignement sous le régime de la L.I.R.

Pour que l'ARC puisse émettre une nouvelle cotisation concernant l'impôt à payer au-delà de la "période normale de nouvelle cotisation", en vertu du sous-alinéa 152(4)a)(i) L.I.R., il n'est pas nécessaire que des pénalités puissent être imposées, l'ARC doit seulement prouver que le contribuable a fait une présentation erronée des faits par "négligence", "inattention" ou "omission volontaire" (ou qu'il "a commis quelque fraude"), et non pas qu'il a commis une "faute lourde". Le fardeau de la preuve est donc moins lourd dans le cas d'une cotisation en vertu du sous-alinéa 152(4)a)(i) L.I.R. que de l'imposition d'une pénalité en vertu du paragraphe 163(2) L.I.R.

Lorsqu'il s'agit d'établir qu'il y a eu présentation erronée des faits, l'ARC doit à tout le moins prouver qu'une erreur a été faite par le contribuable et, bien que celle-ci puisse avoir été faite de bonne foi, qu'il s'agit d'une erreur qu'une personne prudente et consciencieuse aurait évitée.

La question de savoir si une personne a effectué une présentation erronée des faits par "négligence", "inattention" ou "omission volontaire" ne peut être résolue qu'à la lumière de l'examen de tous les faits pertinents.

Dans la situation présentée, il semble possible que l'ARC puisse prouver que Monsieur X a effectué une présentation erronée des faits par "négligence", "inattention" ou "omission volontaire" étant donné l'écart substantiel entre la valeur attribuée aux actions par Monsieur X et leur JVM, par exemple, en ne considérant pas, entre autres, les principes, pratiques et politiques en matière d'évaluation de l'ARC dans la Circulaire d'information 89-3, alors qu'une personne prudente et consciencieuse faisant preuve de diligence raisonnable l'aurait fait. Dans ce cas, l'ARC pourrait sans aucun doute établir une nouvelle cotisation pour l'année d'imposition de Monsieur X au cours de laquelle la disposition des actions de la société publique est survenue, en vertu du sous-alinéa 152(4)a)(i) L.I.R.

Pénalités administratives imposées à des tiers

L'article 163.2 L.I.R. prévoit deux pénalités administratives qui peuvent être imposées à des tiers. La première, qui est prévue au paragraphe 163.2(2) L.I.R., vise essentiellement les personnes qui conçoivent des abris fiscaux ou des arrangements semblables (ou participent à leur conception) ou qui les vendent ou qui en font la promotion (ou participent à celle-ci). La deuxième, qui est prévue au paragraphe 163.2(4) L.I.R., vise les personnes qui fournissent des services fiscaux à un contribuable (ci-après "Spécialiste en déclarations").

En général, pour imposer une pénalité à un Spécialiste en déclarations, en vertu du paragraphe 163.2(4) L.I.R., l'ARC doit prouver que celui-ci a, entre autres, participé, consenti ou acquiescé à un énoncé fait par une autre personne, ou pour son compte et que le Spécialiste en déclarations savait ou aurait vraisemblablement dû savoir, n'eût été de circonstances équivalant à une conduite coupable, que l'énoncé constituait un faux énoncé qui pouvait être utilisé par l'autre personne (par exemple, son client), ou pour son compte, à une fin quelconque de la Loi (par exemple, pour produire un formulaire prescrit).

Le numéro 24 de la Circulaire d'information 01-1 "Pénalités administratives imposées à des tiers" indique qu'"À défaut de prouver qu'un tiers savait effectivement qu'un énoncé était faux, il faut établir qu'il a eu une" conduite coupable "pour lui imposer des pénalités administratives" ; et que "conduite coupable", au sens prévu au paragraphe 163.2(1), "désigne une conduite (action ou défaut d'agir) qui équivaut à une conduite intentionnelle, montre une indifférence quant à l'observation de la L.I.R. ou de la L.T.A., ou indique une insouciance délibérée, déréglée ou téméraire à l'égard de la loi".

Les questions de savoir si (1) un Spécialiste en déclarations savait, ou aurait vraisemblablement dû savoir, n'eût été de circonstances équivalant à une conduite coupable, qu'il a participé, consenti ou acquiescé à un énoncé fait par une autre personne (par exemple son client) ou pour son compte qui constituait un faux énoncé et (2) si les circonstances équivalent à une conduite intentionnelle, montrent une indifférence quant à l'observation de la Loi, ou indiquent une insouciance délibérée, déréglée ou téméraire à l'égard de la Loi, ne peuvent être résolues qu'à la lumière de l'examen de tous les faits pertinents.

Tel qu'indiqué au numéro 64 de la Circulaire précitée, l'ARC "est tenu de prouver, selon la prépondérance des probabilités, qu'un conseiller ou un spécialiste en déclarations était au courant d'un faux énoncé ou que les circonstances équivalent à une conduite coupable".

Dans la situation présentée, il est possible que l'ARC soit en mesure de prouver que le professionnel ayant préparé le formulaire de roulement était au courant de l'écart substantiel entre la valeur attribuée aux actions faisant l'objet du roulement et leur JVM ou qu'il a fait preuve d'une conduite coupable dans les circonstances et d'imposer une pénalité en vertu du paragraphe 163.2(4) L.I.R.

Quoiqu'il en soit, en pratique, le Comité d'examen des pénalités imposées à des tiers examinerait la situation présentée et prendrait une décision finale quant à l'imposition ou non de pénalités administratives aux Spécialistes en déclarations.

Question 12

Statute-Barred - Penalty

For the purposes of determining the FMV of a share of a public corporation disposed of in favour of a family holding corporation by way of a rollover, Mr. X uses a valuation method that is not consistent with the policy expressed in Information Circular 89-3. The "normal reassessment period", within the meaning of subsection 152(3.1) of the ITA, applicable to Mr. X for the taxation year in which the shares of the public corporation were disposed of, has expired.

Does the fact that Mr. X did not use the valuation method expressed in Information Circular 89-3 constitutes a misrepresentation that is attributable to neglect, carelessness or wilful default or a fraud in supplying information, that would result in losing the benefit of the taxation year being statute-barred, under subparagraph 152(4)(a)(i) of the ITA?

Would the professional who has prepared Mr. X's rollover form and/or return of income be charged with a penalty under section 163.2 of the ITA?

CRA's Response

We understand that in the given situation, Mr. X has made the valuation of the shares he held in a public corporation and that the difference between the FMV of the shares and their value reported on the prescribed form for the rollover is substantial.

Statute-Barred

The CRA may at any time make an assessment or a reassessment after the expiry of the "normal reassessment period", pursuant to subparagraph 152(4)(a)(i) of the ITA, if the taxpayer "has made any misrepresentation that is attributable to neglect, carelessness or wilful default or has committed any fraud" in filing his return of income or in supplying any information under the ITA.

For the CRA to issue a reassessment concerning the tax payable beyond the "normal reassessment period" pursuant to subparagraph 152(4)(a)(i) of the ITA, it is not necessary that penalties can be imposed. The CRA only has to prove that the taxpayer has made a misrepresentation of the facts by "neglect", "carelessness" or "wilful default" (or that the taxpayer "has committed any fraud"), and not that he committed gross negligence. The burden of proof is therefore less demanding in the case of an assessment under subparagraph 152(4)(a)(i) of the ITA than to impose a penalty under subsection 163(2) of the ITA.

As to the matter of establishing that there was misrepresentation of the facts, the CRA has to, at least, prove that the taxpayer made an error and, although the error may have been made in good faith, that it was an error that a prudent and conscientious person would not have made.

The issue as to whether or not a person made a misrepresentation of the facts by "neglect", "carelessness" or "wilful default" can be resolved only in light of all the pertinent facts.

In the situation submitted, it seems possible that the CRA can prove that Mr. X made a misrepresentation of the facts by "neglect", "carelessness" or "wilful default" given the substantial difference between the value attributed to the shares by Mr. X and their FMV, for example, without taking into consideration, amongst other things, the CRA's valuation principles, practices and policies in Information Circular 89-3, while a prudent and conscientious person exercising due diligence would have done it. In this case, the CRA could, without a doubt, issue a reassessment for Mr. X's taxation year in which the shares of the public corporation were disposed of, pursuant to subparagraph 152(4)(a)(i) of the ITA.

Third-Party Civil Penalties

Section 163.2 of the ITA provides for two third-party civil penalties that can be imposed to third parties. The first penalty, provided in subsection 163.2(2) of the ITA, is directed primarily at persons who prepare (or participate in), sell or promote a tax shelter or tax shelter-like arrangement. The second penalty, provided in subsection 163.2(4) of the ITA, is directed at the persons who provide tax-related services to a taxpayer (hereinafter called "Tax preparer").

In general, to impose a penalty to a Tax preparer, pursuant to subsection 163.2(4) of the ITA, the CRA has to prove that the Tax preparer has, amongst other things, participated in, assented to or acquiesced in the making of a statement by or on behalf of another person and that the Tax preparer knew, or would reasonably be expected to have known, but for circumstances amounting to culpable conduct, that the statement was a false statement that could be used by or on behalf of the other person (for example, his client) for a purpose of the ITA (for example, to file a prescribed form).

Paragraph 24 of Information Circular 01-1, Third-Party Civil Penalties, mentions that ""Culpable conduct" must be present in the absence of actual knowledge of a false statement, in order for the third-party civil penalties to be considered"; and that "culpable conduct", as defined in subsection 163.2(1) of the ITA, "refers to conduct (an act or a failure to act) that is tantamount to intentional conduct, shows an indifference as to whether the ITA /ETA is complied with, or shows a wilful, a reckless or a wanton disregard of the law".

The issues as to whether or not (1) a Tax preparer knew or would reasonably be expected to have known that, but for circumstances amounting to culpable conduct, he has participated in, assented to or acquiesced in the making of a statement by or on behalf of another person (for example, his client) that was a false statement and (2) the circumstances are tantamount to an intentional conduct, the conduct shows an indifference as to whether the ITA is complied with, or shows a wilful, reckless or wanton disregard of the law, can only be resolved in light of the examination of all the pertinent facts.

As stated in paragraph 64 of Information Circular 01-1, the CRA "has to prove, on the balance of probabilities, that an advisor or a tax return preparer knew of the false statement or that culpable conduct existed in a given situation".

In the situation submitted, it is possible that the CRA could prove that the professional having prepared the rollover form was aware of the substantial difference between the value attributed to the shares subject to the rollover and their FMV or that he had a culpable conduct in the circumstances, and impose a penalty pursuant to subsection 163.2(4) of the ITA.

In any event, in practice, the Third-Party Penalty Review Committee would examine the situation and would make the final decision with respect to imposing or not of third-party civil penalties to Tax preparers.
