Règles de suspension des pertes en cas de fusion ou liquidation
Dans I'interprétation technique 2003-0182977 du 14 mars 2003, l'ARC se prononce sur l'application des alinéas 40(3.3)c) et 40(3.5)c) L.I.R. Pour que les paragraphes 40(3.3) et (3.4) L.I.R. puissent avoir effet, il faut qu'à la fin de la période pertinente, le cédant ou une personne affiliée au cédant soit propriétaire du bien dont il a été disposé ou d'un bien identique (ci-après "le bien de remplacement").
L'alinéa 40(3.5)c) L.I.R. prévoit une règle particulière lorsque, notamment, une société est liquidée. La règle est pertinente lorsque la perte dont il est question résulte de la disposition d'actions du capital-actions de cette société. La règle prévoit que suite à la liquidation de la société, la société-mère est réputée être propriétaire de l'action tant qu'elle est affiliée au cédant.
L'alinéa 40(3.5)c) L.I.R. ne peut recevoir application que "lorsque les paragraphes (3.3) et (3.4) s'appliquent à la disposition par un cédant d'une action du capital-actions d'une société". Or, si la société est liquidée avant l'expiration de la période pertinente, les paragraphes 40(3.3) et 40(3.4) L.I.R. ne s'appliquent pas. Pourtant, 1'ARC arrive à la conclusion que le terme "s'appliquent signifie en fait "visent". Par conséquent, 1'ARC estime que la perte est suspendue même si la liquidation a lieu avant la fin de la période pertinente.
L'ARC ne fait aucune référence à la décision de la Cour d'appel fédérale dans S.T.B. Holdings Ltd. c. la Reine1 , qui porte sur le paragraphe 245(7) L.I.R. Ce paragraphe utilise l'expression "par suite de l'application du présent article". Or, il ressort de ce jugement que l'application d'un article comprend bien davantage que sa simple pertinence dans le cadre d'une disposition. Une disposition s'applique si elle a des effets ou si elle est susceptible d'en avoir, après que ses conditions d'application aient été rencontrées.
L'interprétation technique mentionnée ci-dessus représente-t-elle toujours la position de l'ARC?
Réponse de l'ARC
L'interprétation technique 2003-0182977 représente toujours la position de l'ARC.
Particulièrement, nous demeurons toujours d'avis que ce n'est pas seulement le mot "s'appliquent" ni juste l'expression "lorsque les paragraphes (3.3) et (3.4) L.I.R. s'appliquent" à l'alinéa 40(3.5)c) L.I.R. qui doivent être interprétées mais plutôt l'expression plus large "lorsque les paragraphes (3.3) et (3.4) s'appliquent à la disposition par un cédant d'une action du capital-actions d'une société ...".
Nous sommes d'avis qu'il est nécessaire et approprié sur le plan interprétatif de lire et d'appliquer la présomption de l'alinéa 40(3.5)c) L.I.R. aux fins d'appliquer le paragraphe 40(3.3) L.I.R. dès lors que l'immobilisation dont a disposé le cédant (à laquelle réfère l'alinéa 40(3.3)a) L.I.R.) est une action d'une société. La présomption prévue à l'alinéa 40(3.5)c) L.I.R. n'a alors d'effet pour les fins entre autres de l'application de l'alinéa 40(3.3)c) L.I.R. que si la société dont l'action a fait l'objet d'une disposition est liquidée ou a fait l'objet d'une fusion après la disposition de ladite action. En d'autres termes, il ne nous apparaît pas possible d'ignorer la présomption contenue à l'alinéa 40(3.5)c) L.I.R. pour interpréter le paragraphe 40(3.3) L.I.R., particulièrement l'alinéa 40(3.3)c) L.I.R.
Comme on l'affirme souvent, en général le législateur ne parle pas pour rien dire. On ne peut donc pas ignorer l'alinéa 40(3.5)c) L.I.R. lorsque l'immobilisation dont a disposé une société est une action d'une autre société, et ce, peu importe le moment de la fusion ou de la liquidation subséquente. Cette interprétation des alinéas 40(3.3)a) et c) L.I.R. nous apparaît raisonnable dans les circonstances et en harmonie avec le but et l'objet des dispositions des paragraphes 40(3.3) à (3.5) L.I.R.
À notre avis, l'arrêt S.T.B. Holdings Ltd. c. la Reine n'est pas pertinent pour interpréter les paragraphes 40(3.3), (3.4) et (3.5) L.I.R. car celui-ci porte sur l'application du paragraphe 245(7) L.I.R. et l'expression qu'on y retrouve "par suite de l'application du présent article" n'est pas utilisée aux paragraphes 40(3.3), (3.4) et (3.5) L.I.R.

Loss Suspension Rules in the Event of Merger or Winding-Up
In Technical Interpretation 2003-0182977 dated March 14, 2003, the CRA provided its opinion on the application of paragraphs 40(3.3)(c) and 40(3.5)(c) of the ITA. For subsections 40(3.3) and (3.4) of the ITA to apply, the transferor or a person affiliated with the transferor must, at the end of the stated period, own the property or an identical property (hereinafter "the substituted property").
Paragraph 40(3.5)(c) of the ITA sets forth a specific rule for when, in particular, a corporation is wound up. The rule applies when the loss in question results from the disposition of shares of the capital stock of the corporation. The rule provides that, following the winding-up of the company, the parent company is deemed to own the share while it is affiliated with the transferor.
Paragraph 40(3.5)(c) of the ITA can only be applied "where subsections 40(3.3) and (3.4) apply to the disposition by a transferor of a share of the capital stock of a corporation". If the corporation is wound up prior to expiration of the stated period, subsections 40(3.3) and 40(3.4) of the ITA do not apply. However, the CRA finds that the term "apply" in fact means "subject to". Consequently, the CRA considers the loss to be suspended even if the winding-up occurred prior to the period in question.
The CRA makes no reference to the Federal Court of Appeal decision in S.T.B. Holdings Ltd. v. The Queen2 , regarding subsection 245(7) of the ITA. This subsection uses the expression "following the application of this section". This decision stands for the view that the application of a section involves much more than its simple relevance to a disposition. A provision applies if it has or is likely to have an effect after its conditions of application have been met.
Does the technical interpretation mentioned above still represent the CRA's position?

Technical Interpretation 2003-0182977 still represents the CRA's position.
In particular, we are still of the view that it is not just the word "apply" or the expression "where subsections (3.3) and 3.4) apply" in paragraph 40(3.5)(c) of the ITA that must be interpreted, but rather the broader expression "where subsections (3.3) and (3.4) apply to the disposition by a transferor of a share of the capital stock of a corporation..."
We are of the opinion that it is necessary and appropriate from an interpretative standpoint to apply the presumption in paragraph 40(3.5)(c) of the ITA for the purposes of applying subsection 40(3.3) of the ITA when the property disposed of by the transferor (referred to in paragraph 40(3.3(a) of the ITA) is a share in a corporation. The presumption in paragraph 40(3.5)(c) of the ITA only has an effect for the purposes, among other things, of application of paragraph 40(3.3)(c) of the ITA if the corporation of which the share was disposed is wound up or merged after the disposition of said share. In other words, it seems impossible to ignore the presumption in paragraph 40(3.5)(c) of the ITA when interpreting subsection 40(3.3) of the ITA, particularly paragraph 40(3.3)(c) of the ITA.
As is often stated, the legislator does not generally speak in vain. We thus cannot ignore paragraph 40(3.5)(c) of the ITA when the property of which a corporation disposes is a share in another corporation, regardless of the time of the subsequent merger or winding-up. This interpretation of paragraphs 40(3.3)(a) and (c) of the ITA seems reasonable under the circumstances and in keeping with the purpose and objective of paragraphs 40(3.3) to (3.5) of the ITA.
In our opinion, the decision in S.T.B. Holdings Ltd. v. The Queen is not relevant in interpreting subsections 40(3.3), (3.4) and (3.5) of the ITA, as it deals with the application of subsection 245(7) of the ITA, and the expression in that section, "following the application of this section", is not used in subsections 40(3.3), (3.4) and (3.5) of the ITA.
