Dear XXXXXXXXXX,

This correspondence replaces our correspondence to you dated August 17, 2005 in response to your correspondence of October 27, 2004. You requested our opinion regarding the eligibility of a property as "qualified farm property" under the definition of that term in subsection 110.6(1) of the Income Tax Act, hereafter the "Act". The property in question is an undivided half interest in land owned by four individuals, who are brothers and sisters. We apologize for the delay in responding to your request.

SITUATION

1. During the years XXXXXXXXXX, the grandfather of the individuals owned a piece of farmland which he actively worked for several years. Upon his death, the grandfather devised the land to one of his sons who is the uncle of the four individuals.

2. Upon the death of the uncle in XXXXXXXXXX, the father of the four individuals and their aunts and uncles each received an undivided quarter interest in the land.

3. The father died later in XXXXXXXXXX and devised his interest to his wife, who is the mother of the individuals.

4. In XXXXXXXXXX, the mother died and in turn bequeathed the undivided quarter interest in the land to the four individuals.

5. In XXXXXXXXXX, their aunt devised another undivided quarter interest in the land to them on her death.

In summary, the four individuals now own the undivided half interest in the farmland, consisting of the undivided quarter interest devised to them by their mother in XXXXXXXXXX and the undivided quarter interest received on the death of their aunt in XXXXXXXXXX. The other half interest in the land is still held by two uncles who inherited it in XXXXXXXXXX when the first uncle died.

As stated in paragraph 22 of Information Circular 70-6R5 dated May 17, 2002, it is the practice of the Canada Revenue Agency (CRA) not to issue written opinions on proposed transactions otherwise than through advance rulings. Furthermore, when it comes to determining whether a completed transaction has received appropriate tax treatment, that determination is made first by our Tax Services Offices as a result of their review of all facts and documents, which is usually performed as part of an audit engagement. However, we can offer the following general comments that we hope may be helpful to you. These comments may, however, under certain circumstances, not apply to your particular situation.

Real property of an individual is "qualified farm property", as defined in subsection 110.6(1) of the Act, if it was used in the course of carrying on the business of farming in Canada by, among others:

(i) the individual,

(ii) if the individual is a personal trust, by a beneficiary of the trust described in paragraph 104(21.2)(b) of the Act,

(iii) a spouse or common-law partner, child or parent of an individual described in subparagraph (i) or (ii).

For purposes of the definition of "qualified farm property", the terms "father" and "mother" include grandparents because of the definition of "child" in subsection 70(10) and its interaction with subparagraph 252(2)(a)(i).

In addition, real property is considered to be used in the course of carrying on the business of farming in Canada only if it satisfies the conditions set out in subparagraph (a)(vi) or (a)(vii) of the definition, as the case may be.

According to the information you have provided, the conditions set out in subparagraph 110.6(1)(a)(vii) of the definition are not satisfied since that subparagraph applies only where the individual last acquired the property before June 18, 1987. Indeed, the first part of the land was acquired by the four individuals on the death of their mother in XXXXXXXXXX and the second on the death of their aunt in XXXXXXXXXX.

Subparagraph (a)(vi) of the definition provides that real property is considered to be used in the course of carrying on the business of farming in Canada only if the property was owned by a person who was, inter alia, the individual or one of the persons referred to in subparagraph (ii) or (iii) above, throughout the period of at least 24 months before the time of the disposition, if in at least 2 years while the property was so owned the gross revenue of such a person from the farming business carried on in Canada in which the property was principally used and in which such a person was actively engaged on a regular and continuous basis exceeded the income of the person from all other sources for the year.

In our view, the use of the phrase "throughout the period [...] immediately preceding that time" suggests that the property must be owned by one of the persons referred to in subparagraphs (i) to (iii) above throughout a combined and uninterrupted period of at least 24 months immediately preceding the disposition of the property.

In the example you have given us, the period in question began, in the case of the first quarter undivided interest in the individuals' property, at the time when their father became the owner, i.e. in XXXXXXXXX; the property had been in the uncle's patrimony until then. As for the second quarter interest in the land, that period began when the property right was devised to them by the aunt, who did not satisfy the definition of "relative". Under the scenario you described, there was no farming during those two periods. Therefore, the property cannot be considered "qualified farm property". The grandfather did not farm during the period covered by the definition.

La présente correspondance remplace celle que nous vous avons envoyée le 17 août 2005 en réponse à la vôtre du 27 octobre 2004. Vous nous demandiez notre opinion concernant l'admissibilité d'un bien à titre de "bien agricole admissible" en vertu de la définition de cette expression au paragraphe 110.6(1) de la Loi de l'impôt sur le revenu, ci-après la "Loi". Le bien en question consiste en la demie indivise d'un terrain qui appartient à quatre particuliers qui sont frères et sœurs. Nous nous excusons du délai requis pour répondre à votre demande.

SITUATION

1. Durant les années XXXXXXXXXX, le grand-père des individus détenait une terre agricole qu'il exploita activement durant plusieurs années. À son décès, le grand-père légua la terre à un de ses fils qui est l'oncle des quatre individus.

2. Au décès de cet oncle en XXXXXXXXXX, le père des quatre individus ainsi que leurs oncles et tantes reçoivent chacun un quart indivis de la terre.

3. Le père décède plus tard en XXXXXXXXXX et lègue sa part à son épouse, qui est la mère des individus.

4. En XXXXXXXXXX, la mère décède et lègue à son tour le quart indivis de la terre aux quatre particuliers.

5. En XXXXXXXXXX, leur tante leur lègue à son décès, un autre quart indivis de la terre.

Donc en résumé, les quatre particuliers détiennent aujourd'hui la demie indivise de la terre agricole qui comprend le quart indivis qui leur fût légué par leur mère en XXXXXXXXXX et le quart indivis obtenu au décès de leur tante en XXXXXXXXXX. L'autre demie de la terre est toujours détenue par deux oncles qui en avaient hérités en XXXXXXXXXX lors du décès du premier oncle.

Tel qu'il est mentionné au paragraphe 22 de la Circulaire d'information 70-6R5 du 17 mai 2002, l'Agence du revenu du Canada (ARC) a comme pratique de ne pas émettre d'opinion écrite concernant des transactions projetées autrement que par voie de décisions anticipées. Par ailleurs, lorsqu'il s'agit de déterminer si une transaction complétée a reçu le traitement fiscal adéquat, la décision en revient d'abord à nos bureaux des services fiscaux à la suite de l'examen de tous les faits et documents, ce qui est généralement effectué dans le cadre d'une mission de vérification. Nous pouvons toutefois vous offrir les commentaires généraux suivants qui, nous l'espérons, vous seront utiles. Ces commentaires pourraient cependant, dans certaines circonstances, ne pas s'appliquer à votre situation particulière.

Un bien immeuble d'un particulier est un "bien agricole admissible", selon la définition de cette expression prévue au paragraphe 110.6(1) de la Loi, s'il a été utilisé dans le cadre de l'exploitation d'une entreprise agricole au Canada par, entre autres, l'une des personnes suivantes:

(i) soit par le particulier,

(ii) soit, si le particulier est une fiducie personnelle, par un bénéficiaire de celle-ci visé à l'alinéa 104(21.2)b) de la Loi,

(iii) soit par l'époux ou le conjoint de fait, un enfant, le père ou la mère d'un particulier visé au sous-alinéa (i) ou (ii).

Pour les fins de la définition de "bien agricole admissible", les termes "père" et "mère" incluent les grand-parents à cause de la définition de "enfant" au paragraphe 70(10) et de son interaction avec le sous-alinéa 252(2)a)(i).

De plus, un bien immeuble n'est considéré comme utilisé dans le cadre de l'exploitation d'une entreprise agricole au Canada que s'il rencontre les conditions prévues aux sous-alinéas a)(vi) ou a)(vii) de la définition selon le cas.

Selon les informations que vous nous avez fournies, les conditions prévues au sous-alinéa 110.6(1)a)(vii) de la définition ne sont pas rencontrées puisque ce sous-alinéa s'applique seulement dans le cas où le particulier a acquis le bien pour la dernière fois avant le 18 juin 1987. En effet, la première partie de la terre a été acquise par les quatre particuliers au décès de leur mère en XXXXXXXXXX et la seconde lors du décès de leur tante en XXXXXXXXXX.

Le sous-alinéa a)(vi) de la définition prévoit qu'un bien immeuble n'est considéré comme utilisé dans le cadre de l'exploitation d'une entreprise agricole au Canada que si le bien est la propriété d'une personne qui était, entre autres, le particulier ou une des personnes visées au sous-alinéa (ii) ou (iii) mentionnés ci-dessus, tout au long de la période d'au moins 24 mois précédant le moment de la disposition si, pendant au moins deux ans, pendant lesquels le bien était ainsi la propriété d'une telle personne, le revenu brut d'une telle personne tiré de l'entreprise agricole exploitée au Canada dans le cadre de laquelle le bien était utilisé principalement et dans laquelle une telle personne prenait une part active de façon régulière et continue dépassait le revenu de la personne provenant de toutes les autres sources pour l'année.

À notre avis, l'emploi de l'expression "tout au long de la période [...] précédant ce moment" laisse entendre que le droit de propriété sur le bien doit revenir à une des personnes visées aux sous-alinéas (i) à (iii) ci-dessus tout au long d'une période combinée et non-interrompue d'au moins 24 mois précédant immédiatement la disposition du bien.

Dans l'exemple que vous nous avez soumis, la période en question a débuté, dans le cas du premier quart de la propriété des individus, au moment où le père de ceux-ci est devenu propriétaire, soit en XXXXXXXXXX; la propriété était jusqu'alors dans le patrimoine de l'oncle. Pour ce qui est du deuxième quart de la terre, cette période a débuté au moment où le droit de propriété leur fût légué par la tante, celle-ci ne rencontrant pas la définition de "parent". Selon le scénario que vous nous décrivez, il n'y a pas eu d'exploitation agricole durant ces deux périodes. Par conséquent, le bien ne peut être considéré comme un "bien agricole admissible". L'exploitation agricole par le grand-père n'a pas été effectuée pendant la période visée par la définition.
