Question 15
Interaction du paragraphe 84(3) L.I.R. et de l'alinéa 69(1)b) L.I.R.
La société A détient des actions ordinaires du capital-actions de la société B. La société A et la société B ont un lien de dépendance entre elles au sens du paragraphe 251(1) L.I.R. La société B désire acheter dans le cadre d'un achat de gré à gré une partie des actions ordinaires de son capital-actions possédées par la société A pour une contrepartie inférieure à leur juste valeur marchande ("JVM"), et la société A désire vendre ces actions ordinaires à la société B pour cette même contrepartie.
Sauf disposition contraire expresse prévue dans la L.I.R., lorsqu'un contribuable a disposé d'un bien en faveur d'une personne avec laquelle il avait un lien de dépendance pour une contrepartie inférieure à la JVM, il est réputé avoir reçu par suite de la disposition une contrepartie égale à cette JVM en vertu de l'alinéa 69(1)b) L.I.R.
Le paragraphe 84(3) L.I.R. prévoit la possibilité de réaliser un dividende réputé lors de l'achat par une société des actions de son capital-actions. Le montant du dividende correspond alors à l'excédent éventuel de la somme payée par la société lors de l'achat des actions sur le capital versé relatif à ces actions.
Dans une telle situation, comment l'ARC traiterait la réalisation de cette transaction eu égard à l'application potentielle du paragraphe 84(3) L.I.R. et de l'alinéa 69(1)b) L.I.R.?
Plus particulièrement, les trois scénarios suivants ont été envisagés par l'auteur de la question en regard du libellé de ces dispositions:
Scénario 1
Réalisation d'un dividende réputé égal à l'excédent de la JVM des actions ordinaires achetées sur le capital versé relatif à ces actions conformément au paragraphe 84(3) L.I.R.. Selon ce scénario, l'application de l'alinéa 69(1)b) L.I.R. vient majorer pour les fins du paragraphe 84(3) L.I.R. la somme payée par la société A pour l'achat des actions à un montant correspondant à la JVM de celles-ci.
Scénario 2
Réalisation d'un dividende réputé égal à l'excédent de la somme réellement payée par la société A pour l'achat des actions ordinaires sur le capital versé relatif à ces actions et réalisation d'un gain en capital égal à l'excédent de la JVM des actions sur le total du dividende réputé et du prix de base rajusté des actions. Selon ce scénario, le dividende réputé est calculé conformément au paragraphe 84(3) L.I.R. sans égard à l'alinéa 69(1)b) L.I.R. et le gain en capital est calculé en tenant compte du dividende réputé (définition de produit de disposition à l'article 54 L.I.R.) et de la majoration du produit de disposition telle que prévue à l'alinéa 69(1)b) L.I.R.
Scénario 3
Réalisation d'un dividende réputé égal à l'excédent de la somme payée par la société A pour l'achat des actions ordinaires sur le capital versé relatif à ces actions, et pas de gain en capital réalisé par la société B. Selon ce scénario, un dividende réputé est calculé conformément au paragraphe 84(3) L.I.R. sans égard à l'alinéa 69(1)b) L.I.R. puisque le paragraphe 84(3) L.I.R. constitue une disposition contraire expresse à l'application de cet alinéa.
Réponse de l'ARC
La détermination du dividende réputé versé par une société lors de l'achat ou du rachat d'actions de son capital-actions détenues par une personne et du dividende réputé reçu par l'actionnaire en vertu du paragraphe 84(3) L.I.R., doit être effectuée sans tenir compte du produit de disposition réputé reçu prévu à l'alinéa 69(1)b) L.I.R. La présomption prévue à l'alinéa 69(1)b) L.I.R. ne s'applique qu'à l'égard de la personne qui dispose d'un bien. Le calcul d'un dividende réputé au paragraphe 84(3) L.I.R. est effectué en utilisant la somme payée par la société qui achète ou rachète des actions de son capital-action. La somme payée pour les fins du paragraphe 84(3) L.I.R. n'est pas modifiée par l'alinéa 69(1)b) L.I.R.
Il est à noter que la question ci-dessus vise à obtenir notre opinion relativement à l'interaction du paragraphe 84(3) L.I.R. et de l'alinéa 69(1)b) L.I.R., et que nos commentaires se limitent à cet aspect de la question.

Question 15
Interaction of Subsection 84(3) I.T.A. and Paragraph 69(1)(b) I.T.A.
Corporation A holds common shares of the capital stock of Corporation B. Corporation A and Corporation B do not deal with each other at arm's length within the meaning ascribed in subsection 251(1) I.T.A. Corporation B wants to acquire some of the common shares of its capital stock owned by Corporation A for a consideration less than their fair market value (FMV), and Corporation A wants to sell these common shares to Corporation B for the same consideration.
Except as expressly otherwise provided in the I.T.A., where a taxpayer has disposed of a property to a person with whom the taxpayer was not dealing at arm's length for proceeds less than the FMV thereof, the taxpayer is deemed to have received proceeds of disposition therefore equal to that FMV pursuant to paragraph 69(1)(b) I.T.A.
Under subsection 84(3) I.T.A., a taxpayer may realize a deemed dividend where a corporation acquires shares of its capital stock. The amount of the dividend is equal to the amount, if any, by which the amount paid by the corporation on the acquisition of those shares exceeds the paid-up capital in respect of those shares.
In a situation such as this, how would the CRA treat this transaction with respect to the potential application of subsection 84(3) I.T.A. and paragraph 69(1)(b) I.T.A.?
More specifically, the author of the question has provided the following three scenarios with respect to the application of subsection 84(3) I.T.A. and paragraph 69(1)(b) I.T.A. to the situation described above:
Scenario 1
Deemed dividend equal to the amount by which the FMV of the common shares acquired exceeds their paid-up capital, pursuant to subsection 84(3) I.T.A. In this scenario, for the purposes of subsection 84(3) I.T.A., paragraph 69(1)(b) I.T.A. increases the amount paid by Corporation A to acquire the shares to an amount equal to their FMV.
Scenario 2
Deemed dividend equal to the amount by which the amount actually paid by Corporation A to acquire its common shares exceeds the paid-up capital of these shares, and realization of a capital gain equal to the amount by which the FMV of the shares exceeds the total of the deemed dividend and the adjusted cost base of the shares. In this scenario, the deemed dividend is calculated pursuant to subsection 84(3) I.T.A. and without paragraph 69(1)(b) I.T.A., and the capital gain is calculated by taking into account the deemed dividend (definition of proceeds of disposition in section 54 I.T.A.) and the increase of the proceeds of disposition pursuant to paragraph 69(1)(b) I.T.A.
Scenario 3
Deemed dividend equal to the amount by which the amount paid by Corporation A to acquire its common shares exceeds the paid-up capital of these shares, and Corporation B does not realize any capital gain. In this scenario, the deemed dividend is calculated pursuant to subsection 84(3) I.T.A. and without paragraph 69(1)(b) I.T.A., because subsection 84(3) I.T.A. is a provision that is expressly otherwise provided in the I.T.A. for the purpose of paragraph 69(1)(b) I.T.A.
The CRA's Response
The determination of a dividend deemed to be paid by a corporation when acquiring or redeeming shares of its capital stock held by a person and a dividend deemed received by the shareholder pursuant to subsection 84(3) I.T.A., must be determined without taking into account the proceeds of disposition deemed received under paragraph 69(1)(b) I.T.A. The presumption provided in paragraph 69(1)(b) I.T.A. applies only with respect to the person who disposes of a property. The deemed dividend in subsection 84(3) I.T.A. is calculated with the amount paid by the corporation acquiring or redeeming shares of its capital stock. The amount paid for the purposes of subsection 84(3) I.T.A. is not modified by paragraph 69(1)(b) I.T.A.
Please note that the purpose of the foregoing question is to obtain our opinion concerning the interaction of subsection 84(3) I.T.A. and paragraph 69(1)(b) I.T.A., and that our comments are limited to this aspect of the issue.
