Principal Issues: In the given fact situation, where an amalgamation occurs as part of a same day series of transactions, the articles of amalgamation do not provide the time of day for the amalgamation and one of the predecessor corporations carried out transactions the day of the amalgamation, whether (1) the time of the amalgamation will be the earliest time of the day of the amalgamation as provided in paragraph 9. of IT-474R? and (2) will the predecessor corporation report the transactions it carried out the day of the amalgamation?
Position: (1) No, provided the transactions occur in a logical sequence. (2) The predecessor corporation will report only the transactions it carried out prior to the time the amalgamation actually takes place in the series of transactions.
Reasons: (1) Existing Position. (2) The law, 87(2)(a).

Moment de la fusion
Au paragraphe 9 du Bulletin d'interprétation IT-474R, l'ARC mentionne que le moment de la fusion de sociétés a lieu au premier instant de la journée de la date indiquée sur le certificat de fusion à moins qu'un temps particulier ne soit précisé sur le certificat de fusion auquel cas, la fusion aurait lieu à cette heure précise de la journée.
Supposons qu'une fusion de deux sociétés ait lieu le 1er mars, et que des transactions (ex : roulement, rachat d'actions, remboursement de capital versé, etc.) soient réalisées par une des sociétés fusionnantes le jour de la fusion mais, selon les documents légaux supportant les transactions, avant le moment de la fusion. En tenant pour acquis que ces transactions soient valides sur le plan juridique et que le certificat de fusion n'indique pas de temps particulier pour le moment de la fusion, l'ARC accepte-t-elle que la fusion soit réputée avoir lieu à un moment autre que le début de la journée du 1er mars?
Ainsi, la société fusionnante qui a effectué des transactions le 1er mars pourra-t-elle les comptabiliser dans ses propres livres ou est-ce la société issue de la fusion qui devra en faire état? En d'autres termes, si les documents juridiques prévoient un ordre de réalisation des événements mais que le certificat de fusion n'indique pas le moment de la fusion, est-ce que l'ARC acceptera que le moment de la fusion ait lieu à un autre temps que le premier instant de la journée?
Réponse de l'ARC
La position énoncée au paragraphe 9 du Bulletin d'interprétation IT-474R est la position qui s'applique généralement lors de la fusion de sociétés.
Cependant, la position de l'ARC est que, lorsqu'il y a fusion de sociétés dans le cadre d'un arrangement prévoyant une série d'opérations effectuées la même journée que la fusion et que les statuts de fusion ne mentionnent pas l'heure de la fusion, le moment de la fusion est celui prévu dans l'arrangement dans la mesure où la série d'opérations se déroule dans un ordre logique.
L'alinéa 87(2)a) L.I.R. prévoit que l'année d'imposition d'une société remplacée, qui se serait terminée après la fusion, est réputée s'être terminée immédiatement avant la fusion. Nous sommes donc d'avis que dans la situation présentée, la société remplacée qui aurait effectué des transactions le 1er mars, avant le moment de la fusion, devrait les comptabiliser dans son année d'imposition réputée s'être terminée immédiatement avant la fusion.

Time of the amalgamation
Provision is made in Paragraph 9 of Interpretation Bulletin IT-474R that the time of the amalgamation is the earliest moment on that date in the absence of a particular time specified in the certificate of amalgamation.
Let us suppose that two corporations were amalgamated on March 1 and that one of the amalgamating corporations carried out transactions (such as rollovers, stock redemptions and repayment of paid-up capital) on the day of the amalgamation, but, based on legal documents supporting the transactions, before the time of the amalgamation. Assuming that these transactions are legally valid and there is no particular time specified in the certificate of amalgamation, will the CRA accept that the amalgamation be deemed to have occurred at a time other than the earliest moment on March 1?
Thus, could the amalgamating corporation that carried out the transactions on March 1 account for them in its own books or should it be the amalgamated corporation that accounts for them? In other words, if an order of occurrence of events is specified in the legal documents, but there is no particular time specified in the certificate of amalgamation, will the CRA agree that the time of the amalgamation is a time other than the earliest moment of the day?
The CRA's response
The position specified in Paragraph 9 of Interpretation Bulletin IT-474R is the position that normally applies when corporations amalgamate.
However, the CRA's position is that when corporations amalgamate as part of an arrangement whereby a series of transactions is carried out the same day as the amalgamation and no time is specified on the certificate of amalgamation, the time of the amalgamation is the one specified in the arrangement insofar as the series of transactions occurs logically.
Provision is made in paragraph 87(2)(a) I.T.A. that the taxation year of a predecessor corporation that would otherwise have ended after the amalgamation shall be deemed to have ended immediately before the amalgamation. We therefore feel that in the situation described, the predecessor corporation that carried out transactions on March 1, before the amalgamation, should account for them in its taxation year deemed to have ended immediately before the amalgamation.
