Position Adoptée: Oui si la société est reconnue comme exerçant la profession libérale puisqu'elle est la bénéficiaire des revenus. Sinon, c'est le particulier qui peut faire le choix à l'article 34 L.I.R. étant donné qu'il exerce personnellement la profession libérale et reçoit les revenus.

Une société par actions qui exerce la profession de comptable agréé peut-elle faire le choix prévu à l'article 34 L.I.R. afin d'exclure de son revenu les travaux en cours ?

Par ailleurs, est-ce que cette société peut faire ce choix dans l'hypothèse où les conditions énumérées au paragraphe 1 du Bulletin d'interprétation IT-189R2 ne sont pas rencontrées ?

Réponse de l'ADRC

Tel que stipulé au paragraphe 1 du Bulletin d'interprétation IT-457R, le revenu d'un contribuable qui exploite une entreprise qui consiste en l'exercice d'une profession libérale est imposable et est calculé selon les règles exposées à l'article 34 L.I.R. si le contribuable en fait le choix. Le contribuable peut être une société ou un particulier qui exerce une profession libérale.

Si, à la lumière des critères énoncés au paragraphe 1 du Bulletin d'interprétation IT-189R2, une société est reconnue comme exerçant une profession libérale, elle pourra faire le choix prévu à l'article 34 L.I.R.

Par contre, s'il est déterminé que la société n'exerce pas la profession libérale, aucun revenu ne sera imposé au niveau de la société et, par conséquent, elle ne pourra pas faire le choix prévu à l'article 34 L.I.R. Dans ces circonstances, le choix pourra toutefois être fait par le particulier si c'est lui qui exerce personnellement la profession libérale.

Incorporation of Quebec chartered accountants-election under section 34 of the ITA

Can a corporation carrying on the professional practice of a chartered accountant make an election under section 34 of the ITA to exclude from its income work in progress?

Can this corporation make this election where the conditions set out in paragraph 1 of Interpretation Bulletin IT-189R2 have not been met?

The CCRA's response

As set out in paragraph 1 of Interpretation Bulletin IT-457R, the income of a taxpayer who carries on a business consisting of the practice of a professional occupation is taxable and computed according to the rules set out in section 34 of the ITA where the taxpayer has made this election. The taxpayer may be a corporation or an individual carrying on a professional occupation.

Should a corporation be recognized as carrying on a professional occupation in light of the criteria set out in paragraph 1 of Interpretation Bulletin IT-189R2, it may make the election provided for at section 34 of the ITA.

However, should it be determined that the corporation does not carry on a professional occupation, the corporation would not be taxed on any income and, consequently, it would not be eligible to make the election provided for at section 34 of the ITA. In these circumstances, the election can be made by the individual where the individual personally practices the professional occupation.
