Position:

Yes, if no services have been rendered or if the fee does not represent the fair market value of the services rendered by the agent.

Reasons:

The position taken by the CCRA in 1985 regarding the reasonableness of management fees not exceeding 115% of the costs of management services does not apply where the company acts as agent for the professional, nor when the company renders no services to the professional.

This is further to your email of September 24, 2002, in which you asked for our opinion concerning the agent fees charged by a management company to a professional for services rendered under a mandate.

Facts

A professional appointed his management company as his mandatary to act on his behalf in several areas related to the management of his practice and the purchase and rental of property. For example, the mandatary could act on the professional's behalf in the selection, hiring, remuneration and management of technical, secretarial and maintenance personnel, the negotiation and payment for the purchase, rental, acquisition or repair of all furniture, equipment and accessories, or the negotiation and payment for the rental or purchase of a heated, lighted premises equipped with all the services and equipment required for the practice of the principal's profession.

Generally speaking, in consideration for the services required by the professional as principal, the professional undertook to pay to the agent a sum representing XXXXXXXXXX% of the cost of all fees, expenses and disbursements incurred by the professional or on his behalf in connection with the mandate.

However, the mandate contract setting out these various provisions has not been signed. In addition, an analysis of the management company's expenses shows that it has no employees to carry out the tasks stipulated in the contract with the professional. All management-related salaries and expenses are deducted and paid by the professional, including the salary of the person responsible for the administration of the XXXXXXXXXX. The fees charged by the management company as agent, however, are calculated on those salaries and expenses incurred by the professional, i.e., XXXXXXXXXX% of those expenses.

You stated that the professional is not the one who performs the tasks stipulated in the agency agreement on behalf of the company.

Question

You wish to know whether you can disallow, pursuant to section 67 of the Income Tax Act (the "Act"), the deduction of the agent's fees paid by the professional to the management company, or a portion thereof, because they do not represent reasonable expenses.

Our Comments

In the situation you have presented to us, we are of the view that you could disallow the deduction of the agent's fees by invoking paragraph 18(1)(a). According to the information you have obtained, the agency agreement has not been signed, and the services required of the company under the agency agreement are not provided by the company, but by the professional's employees. Consequently, you could argue that the professional is not making the payment to the company in order to earn income from his business. It is therefore a non-deductible expense pursuant to paragraph 18(1)(a).

On the other hand, you may wish to consider the application of section 67 if the corporation renders certain services to the professional, but the fees paid by the professional for these services do not seem reasonable.

The position taken at the 1985 Canadian Tax Foundation conference, that the CCRA considers fees paid by a professional to a genuine management company that is related to be reasonable if they do not exceed 115% of the costs of such services, does not apply in cases where the company is merely the professional's agent. In the case of an agent, we are of the view that the fees paid by the professional should be reasonable and correspond to the fair market value of the services rendered by the agent. Furthermore, if it were a genuine management company and not an agent of the professional, the CCRA would question the deductibility of the XXXXXXXXXX% fee if the management company had no employees to perform the functions for which the professional was billed.

Consequently, the portion of the agent's fees paid to the management company that does not correspond to the fair market value of the services rendered by the company would not be reasonable, and you could disallow this portion in accordance with section 67.

As stated in 1985, if the CCRA disallows the deduction of some or all of the management fees a professional pays to a management company, the CCRA will generally reduce the management company's income by the amount of the disallowance. In our view, this position also applies in the case of unreasonable agent fees.

For your information, unless exempted, a copy of this memorandum will be severed using the Access to Information Act criteria and placed in the Canada Customs and Revenue Agency's library. A severed copy will also be distributed to the commercial tax publishers for inclusion in their databases. The severing process will remove all material that is not subject to disclosure, including information that could disclose the identity of the taxpayer. Should your client request a copy of this memorandum, the CRA library version can be provided. Alternatively, the client may request a severed copy using the Privacy Act criteria, which does not remove client identity. Requests for this latter version should be made by you to Ms. Jackie Page at (819) 994-2898. La présente fait suite à votre courrier électronique du 24 septembre 2002 dans lequel vous nous demandez notre opinion concernant les frais de mandataire facturés par une société de gestion à un professionnel pour les services rendus dans le cadre d'un mandat.

Faits

Un professionnel nomme sa société de gestion comme étant son mandataire pour agir en son nom dans plusieurs domaines reliés à la gestion de sa pratique et aux achats et locations de biens. Par exemple, le mandataire pourrait agir au nom du professionnel dans la sélection, l'engagement, la rémunération et la gestion du personnel technique, de secrétariat et d'entretien, pour négocier et acquitter le prix de l'achat, de la location, de l'acquisition ou de la réparation de tous les meubles, équipements et accessoires ou pour négocier et acquitter le prix de location ou de l'achat d'un local chauffé, éclairé et muni de tous les services et équipements nécessaires à l'exercice de la profession du mandant.

De façon générale, en contrepartie des services requis par le professionnel à titre de mandant, le professionnel s'engage à payer au mandataire une somme représentant XXXXXXXXXX% du coût de tous les frais, dépenses et débours encourus par le professionnel ou pour son compte dans le cadre du mandat.

Cependant, le contrat de mandat indiquant ces différentes dispositions n'a pas été signé. De plus, vous constatez en analysant les dépenses de la société de gestion que celle-ci n'a aucun employé pour remplir les tâches prévues au contrat conclu avec le professionnel. Tous les salaires et les dépenses reliées à la gestion sont déduits et payés par le professionnel y compris le salaire de celui qui s'occupe de l'administration de la XXXXXXXXXX. Les frais chargés par la société de gestion à titre de mandataire sont cependant calculés sur ces salaires et les dépenses engagées par le professionnel, soit XXXXXXXXXX% de ces dépenses.

Vous nous indiquez que le professionnel n'est pas celui qui remplit, au nom de la société, les tâches prévues au contrat de mandat.

Question

Vous désirez savoir si vous pouvez refuser, en appliquant l'article 67 de la Loi de l'impôt sur le revenu (ci-après la " Loi "), la déduction des frais de mandataire payés par le professionnel à la société de gestion ou d'une partie de ceux-ci parce que ceux-ci ne représentent pas des frais raisonnables.

Nos commentaires

Dans la situation que vous nous soumettez, nous sommes d'avis que vous pourriez refuser la déduction des frais de mandataire en invoquant l'alinéa 18(1)a) de la Loi. En effet, selon les renseignements que vous avez obtenus, le contrat de mandat n'est pas signé et les services requis de la société, selon ce contrat de mandat, ne sont pas rendus par la société mais par les employés du professionnel. Par conséquent, vous pourriez argumenter que le professionnel ne fait pas le paiement à la société en vue de tirer un revenu de son entreprise. Il s'agit donc d'une dépense non déductible en vertu de l'alinéa 18(1)a) de la Loi.

Par ailleurs, vous pourriez considérer l'application de l'article 67 de la Loi si la société rend certains services au professionnel mais que les honoraires versés par le professionnel pour ces services ne vous semblent pas raisonnables.

La position qui a été prise lors de la conférence de l'Association canadienne d'études fiscales en 1985, à l'effet que l'ADRC considère que les honoraires payés par un professionnel à une société de gestion véritable qui lui est liée sont raisonnables s'ils n'excèdent pas 115% des coûts desdits services ne s'applique pas dans le cas où une société n'est que le mandataire du professionnel. Dans le cas d'un mandataire, nous sommes d'avis que les frais payés par le professionnel devront être raisonnables et correspondre à la juste valeur marchande des services rendus par le mandataire. Par ailleurs, s'il s'agissait d'une véritable société de gestion et si elle n'était pas mandataire du professionnel, l'ADRC mettrait en doute la déductibilité des honoraires de XXXXXXXXXX% si la société de gestion n'a pas d'employés à sa charge pour exécuter les fonctions pour lesquelles le professionnel s'est fait facturer.

Par conséquent, la partie des frais de mandataire versés à la société de gestion qui ne correspondrait pas à la juste valeur marchande des services rendus par la société ne serait pas raisonnable et vous pourriez refuser cette partie conformément à l'article 67 de la Loi.

Tel que mentionné en 1985, si l'ADRC refuse la déduction d'une partie ou de la totalité des frais de gestion qu'un professionnel paie à sa société de gestion, l'ADRC diminuera généralement le revenu de la société de gestion d'un montant correspondant au montant refusé. À notre avis, cette position s'applique également dans le cas de frais de mandataire non raisonnables.

Pour votre information, une copie de cette lettre sera épurée selon les critères contenus dans la Loi sur l'accès à l'information et sera disponible dans la Bibliothèque de l'ADRC qui se trouve sur votre réseau local ou sur Intranet. Une copie de la version épurée sera également distribuée aux éditeurs fiscaux commerciaux pour insertion dans leurs banques de données. Le processus d'épuration permet d'enlever toute information qui n'a pas à être dévoilée y compris toute information qui permettrait l'identification du contribuable. Si votre client demande une copie de cette lettre, vous pouvez lui remettre une copie épurée de la lettre telle qu'elle se trouve dans la Bibliothèque de l'ADRC. Le client peut aussi demander une copie de la lettre épurée en vertu des critères de la Loi sur la protection des renseignements personnels sur laquelle apparaît le nom du contribuable. Toute demande à cet effet devrait être faite auprès de Madame Jackie Page au (819) 994-2898. La copie épurée selon les critères de la Loi sur la protection des renseignements personnels vous sera alors envoyée pour que vous puissiez la remettre à votre client.
