Raisons POUR POSITION ADOPTÉE:

Si la division vendue n'est pas une entreprise distincte du contribuable et si les actifs de cette division ne représentent pas la totalité, ou presque, des actifs utilisés dans l'exploitation de l'entreprise, nous sommes d'avis que le choix de l'article 22 de la Loi ne pourra pas s'appliquer à cette transaction.

Choix en vertu de l'article 22 L.I.R.

L'article 22 L.I.R. prévoit un choix sur les comptes clients qui permet un transfert des attributs normaux des comptes clients à l'acheteur et une déduction complète de la perte par le vendeur.

Une des exigences est que le vendeur dispose de la totalité, ou presque, des biens utilisés dans l'entreprise. Est-ce que l'ADRC pourrait permettre l'application de l'article 22 L.I.R. dans le cadre de remaniement ou restructuration où une société se départie d'une division géographique (par exemple, elle vend la division Maritimes), d'une division fonctionnelle (par exemple, elle vend la partie distribution et conserve uniquement la fabrication) ou d'une entreprise qui pourrait être une entreprise distincte (par exemple, elle vend la partie de location de biens et conserve la fabrication de ces biens)?

Dans le cas où la réponse de l'ADRC est négative, le ministère des Finances entend-il modifier la Loi pour rendre l'article 22 L.I.R. accessible à un plus grand nombre de restructuration ?

Réponse de l'ADRC

Comme mentionné au paragraphe 1 du Bulletin d'interprétation IT-188R, Vente de créances, l'article 22 L.I.R. s'applique lorsqu'un contribuable vend la totalité, ou presque, des actifs d'une entreprise qu'il exploitait au Canada à un acheteur qui se propose d'en continuer l'exploitation et que le vendeur et l'acheteur en ont fait le choix. De façon générale, lorsque 90 pour 100 des actifs de l'entreprise exploitée au Canada sont vendus, la totalité, ou presque, des actifs de cette entreprise sera considérée comme ayant été vendue. Lorsqu'un contribuable a plus d'une entreprise et qu'il vend la totalité, ou presque, des biens utilisés dans l'exploitation de l'une d'elles, l'article 22 L.I.R. peut s'appliquer à la vente. La question de savoir si un contribuable possède une ou plusieurs entreprises est une question de fait qui ne peut être résolue qu'après une analyse détaillée des faits entourant une situation donnée. On peut consulter à ce sujet le Bulletin d'interprétation IT-206R, Entreprises distinctes, qui indique comment déterminer si un contribuable possède plus d'une entreprise.

Dans la situation que vous nous présentez, si la division vendue n'est pas effectivement une entreprise distincte du contribuable au moment de la disposition, nous sommes d'avis que le choix de l'article 22 L.I.R. ne pourra pas s'appliquer à cette transaction à moins que les actifs de cette division représentent la totalité, ou presque, des actifs utilisés dans toutes les divisions de l'entreprise exploitée par le contribuable.

Election under section 22 I.T.A.

Section 22 I.T.A. provides for an election concerning Accounts Receivable which allows a transfer of the normal attributes of Accounts Receivable to the purchaser and a complete deduction of the loss by the vendor.

One of the requirements is that the vendor dispose of all or substantially all of the property used in carrying on the business. Could the CCRA allow section 22 I.T.A. to apply in the context of a reorganization or restructuring in which a corporation abandons a geographical division (for example, it sells the Maritimes division), an operational division (for example, it sells the distribution part and retains only manufacturing) or a business that might be a separate business (for example, it sells the property rental part and retains manufacturing of its goods)?

If the CCRA reply is negative, does the Department of Finance intend to amend the I.T.A. to make section 22 I.T.A. accessible to a greater number of restructurings?

As stated in paragraph 1 of Interpretation Bulletin IT-188R, Sale of Accounts Receivable, section 22 I.T.A. is applicable upon election by a vendor and a purchaser, where the vendor sells all or substantially all of the assets of a business that was carried on in Canada to the purchaser who proposes to continue the business. Generally speaking, when 90 percent of the assets of the business carried on in Canada are sold, all or substantially all of the assets of the business will be considered as having been sold. When a taxpayer has more than one business and he sells all or substantially all of the property used in the operation of one of them, section 22 I.T.A. may apply to the sale. Whether a taxpayer has one or more businesses is a question of fact that can be resolved only after a detailed analysis of the facts surrounding a particular situation. In this regard one may consult Interpretation Bulletin IT-206R, Separate Businesses, which indicates how to determine whether a taxpayer has more than one business.

In the situation that you present to us, if the division that is sold is not actually a separate business of the taxpayer at the time of the disposition, we are of the opinion that the election in section 22 I.T.A. may not apply to this transaction unless the assets of this division represent all or substantially all of the assets used in all of the divisions of the business that is carried on by the taxpayer.
