Principal Issues: Will CCRA apply the Manrell decision in similar case ?

Position: Yes.

Reasons: The TCC decision in Manrell effectively confirms CCRA's position stated at the 2000 CTF annual conference that non-competition payments will generally constitute proceeds of disposition of capital property, that being the right to compete with the purchaser.

Paiement pour non-concurrence

Dans l'affaire Manrell c. La Reine, 2002 DTC 1222 (C.C.I.)¹ un paiement pour non-concurrence a été considéré comme étant un gain en capital et ainsi était imposable en vertu des articles 38 et 39 L.I.R..

Est-ce que l'ADRC entend appliquer cette décision à toutes les situations semblables ?

Réponse de l'ADRC

Oui. La décision de la cour dans l'affaire Manrell confirme la position annoncée par l'ADRC à la conférence annuelle de l'Association canadienne d'études fiscales de 2000 à l'effet qu'un paiement pour non-concurrence constitue, généralement, le produit de disposition d'une immobilisation, à savoir le droit de concurrencer l'acheteur.

Cette position va à l'encontre des directives contenues au paragraphe 6 du bulletin d'interprétation IT-330R à l'effet que "toute somme reçue pour un engagement à la non-concurrence, ... qui est contracté à l'égard de la disposition des actions, est visée par les dispositions de l'article 42 ..." Le bulletin d'interprétation IT-330R sera donc modifié en conséquence lors d'une prochaine révision.

Notre position concernant cette question sera cependant réévaluée à la lumière de la décision que rendra la Cour d'appel fédérale dans cette affaire.

Non-competition payment

In Manrell v. The Queen, 2002 DTC 1222 (T.C.C.),¹ a non-competition payment was held to be a capital gain and thus taxable under sections 38 and 39 I.T.A..

Does the CCRA intend to apply this decision to all similar situations?

CCRA reply

Yes. The Court's decision in Manrell upholds the position announced by the CCRA at the annual conference of the Canadian Tax Foundation in 2000 that a non-competition payment generally constitutes the proceeds of disposition of a capital property, namely the right to compete with the purchaser.

This position is contrary to the guidelines contained in paragraph 6 of Interpretation Bulletin IT-330R that "any amount received for a non-competition covenant ... that is in respect of the disposition of shares comes within the provisions of section 42...." Interpretation Bulletin IT-330R will therefore be amended accordingly in a forthcoming revision.

Our position concerning the issue will however be re-evaluated in light of the decision to be rendered by the Federal Court of Appeal in this case.
