Principal Issues: Some taxpayers have mistakenly made an election under subsection 83(2) of the Act without considering the introduction of new paragraphs (c.1) and (c.2) of the definition of "capital dividend account" ("CDA") in subsection 89(1) of the Act. This resulted, in certain situations, in a Part III tax liability. Is the CCRA prepared to provide administrative relief in this regard?

Position: The CCRA agrees to provide administrative relief in regard to the application of Part III tax in certain situations. This administrative relief, however, is limited to situations in which an election under subsection 83(2) I.T.A. was made before February 1, 2002 and where the election is excessive due to an unawareness of the "new rules."

Compte de dividende en capital

En vertu de l'ancien alinéa c) de la définition de " compte de dividendes en capital " (ci-après " CDC ") au paragraphe 89(1) L.I.R., dès qu'une société disposait d'une " immobilisation admissible ", au sens de l'article 54 L.I.R., il pouvait être ajouté au CDC de la société le tiers du montant à inclure dans le calcul de son " montant cumulatif des immobilisations admissibles " en application de l'élément E de la formule figurant au paragraphe 14(5) L.I.R. (ci-après les " anciennes règles "). Il était donc possible, avant l'introduction des alinéas c.1) et c.2) de la définition de CDC au paragraphe 89(1) L.I.R. (ci-après les " nouvelles règles "), par exemple, de verser un " dividende en capital ", en vertu du paragraphe 83(2) L.I.R., l'année de la disposition de l'achalandage relative à une entreprise, d'un montant égal au montant inclus dans le CDC relativement à cette disposition.

Selon les " nouvelles règles ", une société ne peut inclure un montant à son CDC, relativement à la disposition d'une " immobilisation admissible " qu'à la fin de l'année d'imposition au cours de laquelle la disposition a eu lieu. De plus, l'ADRC est d'avis qu'une société privée ne peut verser un " dividende en capital ", en vertu du paragraphe 83(2) L.I.R., à l'égard du montant inclus à son CDC relativement à cette disposition, qu'à partir de l'année d'imposition suivant l'année d'imposition au cours de laquelle la disposition a eu lieu.

Certains contribuables ont, par erreur, effectué un choix, en vertu du paragraphe 83(2) L.I.R, en appliquant les " anciennes règles ", relativement à un dividende devenu payable ou payé à un moment donné au cours d'une année d'imposition terminée après le 27 février 2000. Compte tenu que les " nouvelles règles " étaient alors applicables, ce choix fondé sur les " anciennes règles " portait sur un montant qui excédait le montant de CDC alors disponible et entraînait donc un impôt de la Partie III. L'ADRC est-elle prête à accorder un allégement administratif à cet égard?

Réponse de l'ADRC

L'ADRC accepte d'accorder un allégement administratif à l'égard de l'application d'un impôt de la Partie III dans certaines situations similaires à celle ci-dessus décrite. Cet allégement administratif est toutefois limité aux situations où un choix en vertu du paragraphe 83(2) L.I.R. a été fait avant le 1er février 2002 et où l'excédent résultant de ce choix résulte d'une ignorance ou d'une méconnaissance des " nouvelles règles ".

Capital dividend account

Under the old paragraph (c) of the definition of "capital dividend account" (hereinafter "CDA") in subsection 89(1) I.T.A., once a corporation disposed of an "eligible capital property" within the meaning of section 54 I.T.A., there could be added to the CDA of the corporation one third of the amount required to be included in the calculation of its "cumulative eligible capital" by reason of the description of E in the definition "cumulative eligible capital" in subsection 14(5) I.T.A. (hereinafter the "old rules"). It was therefore possible, before the introduction of paragraphs (c.1) and (c.2) of the definition of CDA in subsection 89(1) I.T.A. (hereinafter the "new rules"), for example, to pay out as a "capital dividend" under subsection 83(2) I.T.A., in the year of disposition of the goodwill in respect of a business, an amount equal to the amount included in the CDA in relation to that disposition.

Under the "new rules", a corporation may include an amount in its CDA with respect to the disposition of an "eligible capital property" only at the end of the taxation year during which the disposition occurred. Moreover, the CCRA is of the opinion that a private corporation may pay out as a "capital dividend" under subsection 83(2) I.T.A. the amount included in its CDA in relation to that disposition only in a taxation year subsequent to the taxation year during which the disposition occurred.

Some taxpayers have mistakenly made an election under subsection 83(2) I.T.A., applying the "old rules", in relation to a dividend that has become payable or is paid at a particular time during a taxation year that ended after February 27, 2000. Given that the "new rules" were applicable at that time, the amount elected based on the "old rules" exceeded the amount of CDA then available and therefore resulted in a Part III tax liability. Is the CCRA prepared to provide administrative relief in this regard?

CCRA reply

The CCRA agrees to provide administrative relief in regard to the application of Part III tax in certain situations similar to the one described above. This administrative relief, however, is limited to situations in which an election under subsection 83(2) I.T.A. was made before February 1, 2002 and where the election is excessive due to an unawareness of the "new rules."
