Principal Issues: Whether subsection 245(2) of the Act would apply in a particular situation.

Position: The Directorate practice is generally to rule on the application of subsection 245(2) only following a review of all the facts and circumstances surrounding transactions, in the context of an advance income tax ruling request. However, subsection 129(1.2) of the Act could apply in the particular situation. Based on paragraph 248(5)(b) and subsection 129(1.2), the stock dividend paid on a share of the capital stock of the corporation in the particular situation would be deemed not to be a taxable dividend if it turned out that the particular shareholder had acquired the share on which the stock dividend was paid or the newly issued shares received as the stock dividend in a transaction or as part of a series of transactions one of the main purposes of which was to enable the corporation to obtain a dividend refund.

Remboursement du solde d'IMRTD

Une société n'a plus aucun actif ni passif à son bilan. Il existe cependant un solde d'IMRTD. Dans le but de récupérer ce solde, la société verse un dividende en actions à ses actionnaires. Une fois le remboursement au titre de dividendes encaissé, la société rachète une partie des actions nouvellement émises. Le coût des actions non rachetées procurera une perte en capital aux actionnaires.

Considérant que les actionnaires ont payé un impôt correspondant à peu de chose près à l'impôt récupéré par la société et considérant aussi que l'IMRTD constitue un impôt temporaire, l'ADRC est-elle d'avis que le paragraphe 245(2) L.I.R. s'appliquerait à ces transactions?

Réponse de l'ADRC

Il faut d'abord souligner que nous prenons comme hypothèse que les transactions ci-dessus décrites seraient légalement valides.

Par ailleurs, la pratique de la Direction des décisions en impôt est généralement de se prononcer sur l'application du paragraphe 245(2) L.I.R. (ou de toute autre règle anti-évitement spécifique) uniquement suite à l'examen de tous les faits et circonstances entourant des transactions, et ce, dans le cadre d'une demande de décisions anticipées.

L'ADRC considère toutefois que le paragraphe 129(1.2) L.I.R. pourrait s'appliquer dans la situation décrite ci-dessus. En effet, il est mentionné que la société verse des dividendes en actions à ses actionnaires dans le but de récupérer le solde d'IMRTD. De plus, l'alinéa 248(5)b) L.I.R. édicte que pour l'application de la L.I.R., une action reçue à titre de dividendes en actions sur une autre action du capital-actions d'une société est réputée être un bien substitué à cette autre action. En conséquence, le dividende en actions versé sur une action du capital-actions de la société dans la situation décrite ci-dessus serait réputé ne pas être un dividende imposable s'il s'avérait que l'actionnaire donné avait acquis l'action sur lequel est versé le dividende en actions ou les actions nouvellement émises dans le cadre de ce dividende en actions par une opération, ou dans le cadre d'une série d'opérations, dont un des principaux objets consistait à permettre à la société d'obtenir un remboursement au titre de dividendes.

Refund of the RDTOH balance

A corporation no longer has any assets or liabilities on its balance sheet. However, there is an RDTOH balance. To recover this balance, the corporation pays a stock dividend to its shareholders. Once the refundable dividend is cashed out, the corporation redeems a portion of the newly issued shares. The cost of the unredeemed shares will procure a capital loss for the shareholders.

Considering that the shareholders paid a tax more or less corresponding to the tax recovered by the corporation, and considering as well that the RDTOH is a temporary tax, is the CCRA of the opinion that subsection 245(2) I.T.A. would apply to these transactions?

CCRA reply

It must first be pointed out that we assume that the transactions described above would be legally effective.

The Income Tax Rulings Directorate practice is generally to rule on the application of subsection 245(2) I.T.A. (or of any other specific anti-avoidance rule) only following a review of all the facts and circumstances surrounding transactions, in the context of an advance income tax ruling request.

However, the CCRA considers that subsection 129(1.2) I.T.A. could apply in the situation described above. It is in fact stated that the corporation pays a stock dividend to its shareholders for the purpose of recovering the RDTOH balance. Moreover, paragraph 248(5)(b) I.T.A. states that for the purposes of the I.T.A., any share received as a stock dividend on another share of the capital stock of a corporation shall be deemed to be property substituted for that other share. Consequently, the stock dividend paid on a share of the capital stock of the corporation in the situation described above would be deemed not to be a taxable dividend if it turned out that the particular shareholder had acquired the share on which the stock dividend was paid or the newly issued shares received as the stock dividend in a transaction or as part of a series of transactions one of the main purposes of which was to enable the corporation to obtain a dividend refund.
