Position: In general, yes.

Dear Sir,

Subject: Home Buyers' Plan ("HBP")

This is in response to your letter of April 4, 2002 asking whether you are eligible to participate in in an HBP if you purchase a unit that consists of a leasehold interest in the property and a number of shares in the corporation that owns the property.

As stated in paragraph 22 of Information Circular 70-6R4 dated January 29, 2001, it is our practice not to issue written opinions regarding proposed transactions otherwise than by way of advance rulings. Furthermore, when it comes to whether a completed transaction has received appropriate tax treatment, that determination rests first with our Tax Services Offices. We can, however, offer the following general comments, which we hope will be useful to you.

The HBP rules in section 146.01 of the Income Tax Act (the "Act") allow individuals to withdraw up to $20,000 from their registered retirement savings plans to purchase or build a qualifying home.

The term "qualifying home" is defined in subsection 146.01(1) as a housing unit located in Canada, or a share of the capital stock of a cooperative housing corporation, the holder of which is entitled to possession of a housing unit located in Canada. It is a question of fact and law whether the acquisition of a unit consisting of a leasehold interest in the property and a number of shares of the corporation holding the property is a housing unit.

However, we have in the past issued advance rulings to the effect that a unit consisting of a leasehold interest and shares, indivisible by reason of the combined effect of the articles and by-laws of a corporation and the leasehold interest, and giving its holder the right to the personal enjoyment of the housing unit to which it is attached would be a housing unit for the purposes of the definition of "principal residence". We have appended a copy of the severed version of a decision rendered on this issue. These decisions were rendered subject to the condition that the directors of the corporation, in addition to being generally unable to pay dividends, could not otherwise pay or provide income or benefits to the shareholders for their personal benefit. In our view, the acquisition of such a unit could qualify as a qualifying home for HBP purposes. The determination of the eligibility of a unit consisting of a leasehold and shares for the purposes of the HBP may be made as part of a request for advance rulings.

These opinions do not constitute advance rulings and, as stated in paragraph 22 of Information Circular 70-6R4 dated January 29, 2001, are not binding on us.

Objet: Régime d'accession à la propriété ("RAP")

La présente est en réponse à votre lettre du 4 avril 2002 par laquelle vous nous demandez si vous êtes admissible à participer au RAP si vous achetez une unité qui est composée d'un bail en propriété et d'un nombre d'actions de la société détenant l'immeuble.

Tel qu'il est mentionné au paragraphe 22 de la circulaire d'information 70-6R4 du 29 janvier 2001, nous ne donnons généralement pas d'opinion écrite concernant des opérations projetées autrement que par voie de décisions anticipées. Par ailleurs, lorsqu'il s'agit de déterminer si une transaction complétée a reçu le traitement fiscal adéquat, la compétence en revient aux bureaux des services fiscaux. Nous pouvons toutefois vous offrir les commentaires généraux suivants qui, nous l'espérons, vous seront utiles.

Les règles prévues à l'article 146.01 de la Loi de l'impôt sur le revenu (la "Loi") concernant le RAP permettent aux particuliers de retirer jusqu'à 20 000 $ de leurs régimes enregistrés d'épargne-retraite pour acheter ou construire une habitation admissible.

L'expression "habitation admissible" est définie au paragraphe 146.01(1) de la Loi comme un logement situé au Canada ou une part d'une coopérative d'habitation qui donne le droit de posséder un logement situé au Canada. La question de savoir si l'acquisition d'une unité composée d'un bail en propriété et d'un nombre d'actions de la société détenant l'immeuble est un logement est une question de fait et de droit.

Toutefois, nous avons dans le passé rendu des décisions anticipées à l'effet qu'une unité composée d'un bail en propriété et d'actions, indivisible en raison de l'effet combiné des statuts et règlements d'une société et du bail en propriété exclusive, et donnant à son détenteur le droit de jouir personnellement de l'unité d'habitation à laquelle elle se rattache serait un logement pour les fins de la définition de "résidence principale". Nous avons annexé une copie de la version épurée d'une décision rendue sur cette question. Ces décisions avaient été rendues sous réserve que les administrateurs de la société, en plus de ne pouvoir généralement pas verser de dividendes, ne puissent autrement payer ou procurer des revenus ou des avantages aux actionnaires pour leur bénéfice personnel. À notre avis, l'acquisition d'une telle unité pourrait se qualifier à titre d'habitation admissible pour les fins du RAP. La détermination de l'admissibilité d'une unité composée d'un bail en propriété et d'actions aux fins du RAP peut être faite dans le cadre d'une demande de décisions anticipées.

Les présentes opinions ne constituent pas des décisions anticipées et, tel qu'il est mentionné au paragraphe 22 de la circulaire d'information 70-6R4 du 29 janvier 2001, elles ne nous lient pas.
