This is in response to your fax of January 18, 2002, and to the additional information received on January 19 and 31, 2002, as well as to our telephone conversations (Peters / Daaboul) in which you requested our opinion on the above subject in relation to the situation described below. You have provided us with copies of the following documents:

(a) Objection to a notice of assessment for the year XXXXXXXXXX;

(b) First page of the T3 Trust Income Tax and Information Return of the XXXXXXXXXX estate for its first taxation year ending XXXXXXXXXX, as well as the T3SCH schedule of its net capital losses for that same year;

(d) Notes for the file - T2020 prepared by R. Aubin of the Estate and Trusts Section of the Montreal Tax Services Office.

Facts

We understand that the key facts relating to your question are as follows:

1. XXXXXXXXXX (Ms. X) died on XXXXXXXXXX. Her income tax return for the XXXXXXXXXX taxation year was filed on XXXXXXXXXX as required under paragraph 150(1)(d) of the Income Tax Act (the "Act"), for which the amount of tax payable before any final payment and after deductions at source and instalments was $XXXXXXXXXX.

2. The next day, on XXXXXXXXXX, an amended income tax return for the XXXXXXXXXX taxation year of Ms. X was filed along with a copy of an election made by her legal representative pursuant to paragraph 164(6)(c), a copy of the schedule of capital losses referred to in paragraph 164(6)(a), and a cheque for $XXXXXXXXXX representing the amount of tax payable before any final payment and after deductions at source and instalments.

3. The T3 Trust Income Tax and Information Return of the Estate of Ms. X for its first taxation year ended XXXXXXXXXX, was filed on XXXXXXXXXX, pursuant to paragraph 150(1)(c).

4. A first Notice of Assessment for Ms. X's initial tax return for the year XXXXXXXXXX was issued by the CCRA on XXXXXXXXXX. A second Notice of Assessment was issued by the CCRA on XXXXXXXXXX for her amended tax return for the year XXXXXXXXXX.

5. As a result of an error in the second Notice of Assessment, a third Notice of Assessment was issued by the CCRA on XXXXXXXXXX. According to this notice, the total payable, the total tax withheld and the refundable Quebec abatement corresponded to the amounts indicated on the amended income tax return. However, this notice indicated a balance owing of $XXXXXXXXXX corresponding to interest on the amount of tax payable based on the initial tax return for the period from the date of filing of such return, i.e., XXXXXXXXXX, to the month of XXXXXXXXXX.

6. A fourth Notice of Assessment was issued by the CCRA on XXXXXXXXXX, and no change was made to the amount of tax payable. However, the arrears interest was reduced to $XXXXXXXXX by changing the calculation period from the date of filing of the original return on XXXXXXXXXX to the date of filing of the return for the estate's first taxation year on XXXXXXXXXX.

Question

You wish to know whether, in our opinion, the day referred to in subparagraph 161(7)(b)(ii) is XXXXXXXXXX, for the purposes of paragraph 161(7)(b).

Your Comments

You referred us to MOI 1985.72 - "Elections under subsection 164(6)", which provides that: [TaxInterpretations translation]

(7) The effective date of interest applicable to the election is generally the date of filing of the amended return or application, but may not be earlier than the later of:

(A) the interest effective date for the original assessment in respect of the return being reassessed.

(B) the first day after the end of the fiscal year for the T3 return.

(C) the filing date of the T3 return.

Based on MOI 1985.72, you are of the view that the day referred to in subparagraph 161(7)(b)(ii) corresponds to the filing date of the T3 return under (7)(C) described above, i.e., XXXXXXXXXX, in this situation. This date therefore corresponds to the end of the period covered by the fourth Notice of Assessment.

Authorized Representative's Comments

According to the authorized representative, subparagraph 161(7)(b)(i) does not expressly refer to which taxpayer the "subsequent taxation year" is "connected". However, the preamble to paragraph 161(7)(b) refers to the deduction of amounts referred to in paragraph 161(7)(a), including that referred to in subparagraph 161(7)(a)(iv.2), which is relevant in this case. Pointing out that Ms. X's last taxation year is the one ending in XXXXXXXXXX and that she cannot have a taxation year subsequent to that year, the authorized representative concluded that the term "subsequent taxation year" in subparagraph 161(7)(b)(i) refers to a taxation year of Ms. X's estate.

Subparagraph 161(7)(b)(ii) refers only to an income tax return for Ms. X, although the legislative provision contemplates that such a return may be filed by Ms. X's legal representative. If Parliament had also intended to refer to the tax return for Ms. X's estate in that same provision, it would have used clear and unequivocal language in this regard, as it did in paragraph 1000(2)(b) of the Income Tax Regulations. According to the authorized representative, subparagraph 161(7)(b)(ii) is not applicable in the circumstances, and therefore the end of the period covered by Ms. X's last notice of assessment is XXXXXXXXXX, pursuant to subparagraph 161(7)(b)(i), (iii) or (iv).

Our Comments

Paragraph 161(7)(b) provides that

"the amount by which the tax payable under this Part and Parts I.3, VI and VI.1 by the taxpayer for the year is reduced as a consequence of the deduction or exclusion of amounts described in paragraph (a) is deemed to have been paid on account of the taxpayer’s tax payable under this Part for the year on the day that is 30 days after the latest of

(i) the first day immediately following that subsequent taxation year,

(ii) the day on which the taxpayer’s or the taxpayer’s legal representative’s return of income for that subsequent taxation year was filed,

(iii) …”

Our understanding of the facts is that you and the representative agree that the day referred to in each of the three subparagraphs 161(7)(b)(i), (iii) and (iv) is XXXXXXXXXX. However, if the day referred to in subparagraph 161(7)(b)(ii) occurs after XXXXXXXXXX, that day will be the latest of the days referred to in subparagraph 161(7)(b)(ii) and the amount applied to reduce the taxpayer's tax payable for the year as a result of the deduction of amounts referred to in paragraph (a) will be deemed to have been paid on account of the taxpayer's tax payable for the year on that day.

The representative states in his letter that no tax return is required to be filed for XXXXXXXXXX for a taxation year prior to XXXXXXXXXX since she died on XXXXXXXXXX, and therefore subparagraph 161(7)(b)(ii) is not applicable. We do not agree that subparagraph 161(7)(b)(ii) is not applicable. In our view, the words “the day on which the taxpayer’s or the taxpayer’s legal representative’s return of income for that subsequent taxation year was filed” in that subparagraph mean the day on which the return of income filed by the legal representative for that subsequent taxation year was filed. There is no doubt in our minds that the return in question here is the return of the estate, since it is the only return that can be called a subsequent taxation year. It is, furthermore, this taxation year that is referred to in subparagraph 161(7)(a)(iv.2) (also referred to as the subsequent taxation year in that place). In our view, it was not necessary for Parliament to specify that this was the estate's return, since it refers to the legal representative's return of income for that subsequent taxation year, which cannot be anything other than the estate's return.

On the other hand, we would like to draw your attention to the language used in subsection 164(6), which reads in part as follows:

Where in the course of administering the estate of a deceased taxpayer, the taxpayer’s legal representative has, within the first taxation year of the estate, (a) disposed of capital property of the estate..., notwithstanding any other provision of this Act, the following rules apply:

(c) such parts of one or more capital losses of the estate from the disposition of properties in the year (the total of which is not to exceed the excess referred to in paragraph 164(6)(a)) as the legal representative so elects, in prescribed manner and within a prescribed time, are deemed (except for the purpose of subsection 112(3) and this paragraph) to be capital losses of the deceased taxpayer from the disposition of the properties by the taxpayer in the taxpayer’s last taxation year and not to be capital losses of the estate from the disposition of those properties,

It is clear that the purpose of this provision is to allow the estate's losses to be carried back from the estate's first taxation year to the deceased taxpayer's last taxation year. In this context, it seems clear that the estate's first taxation year is the subsequent taxation year referred to in subparagraph 161(7)(a)(iv.2) and subparagraph 161(7)(b)(ii).

We therefore agree with you that the day referred to in subparagraph 161(7)(b)(ii) is XXXXXXXXXX in this situation, i.e. the day on which the return of income for Ms. X's estate was filed by the legal representative.

La présente est en réponse à votre fac-similé du 18 janvier 2002, et aux renseignements additionnels qui ont été reçus le 29 et le 31 janvier 2002, ainsi qu'à nos conversations téléphoniques (Peters / Daaboul) par lesquels vous désirez connaître notre opinion concernant le sujet mentionné en titre dans la situation décrite ci-après. À cet égard, vous nous avez fourni une copie des documents suivants :

a) Opposition à un avis de cotisation, relativement à l'année XXXXXXXXXX;

b) Première page de la déclaration de renseignements et de revenus des fiducies - T3 de la succession XXXXXXXXXX pour sa première année d'imposition se terminant le XXXXXXXXXX, ainsi que la cédule T3SCH de ses pertes en capital nettes pour cette même année;

c) MOI 1985.72 - "Choix exercés en vertu du paragraphe 164(6)";

d) Notes pour le dossier - T2020 effectuées par R. Aubin de la Section succession & fiducies du Bureau des services fiscaux de Montréal.

Faits

Nous comprenons que les principaux faits se rapportant à votre question sont les suivants :

1. XXXXXXXXXX (Mme X) est décédée le XXXXXXXXXX. Sa déclaration de revenus pour l'année d'imposition XXXXXXXXXX a été produite le XXXXXXXXXX tel que requis en vertu de l'alinéa 150(1)d) de la Loi de l'impôt sur le revenu (la "Loi"), dont le montant d'impôt à payer avant tout paiement final et après déductions à la source et acomptes provisionnels était de XXXXXXXXXX $.

2. Le lendemain, soit le XXXXXXXXXX, une déclaration de revenus modifiée concernant l'année d'imposition XXXXXXXXXX de Mme X a été produite accompagnée d'une copie d'un choix effectué par son représentant légal en vertu de l'alinéa 164(6)c) de la Loi, d'une copie du tableau des pertes en capital visées à l'alinéa 164(6)a) de la Loi, et d'un chèque de XXXXXXXXXX $ représentant le montant d'impôt à payer avant tout paiement final et après déductions à la source et acomptes provisionnels.

3. La déclaration de renseignements et de revenus des fiducies T3 de la succession de Mme X pour sa première année d'imposition terminée le XXXXXXXXXX , a été produite le XXXXXXXXXX, conformément à l'alinéa 150(1)c) de la Loi.

4. Un premier avis de cotisation pour la déclaration de revenus initiale de Mme X pour l'année XXXXXXXXXX, a été émis par l'ADRC le XXXXXXXXXX. Un deuxième avis de cotisation a été émis par l'ADRC le XXXXXXXXXX pour sa déclaration de revenus modifiée pour l'année XXXXXXXXXX.

5. Suite à une erreur commise dans le deuxième avis de cotisation, un troisième avis de cotisation a été émis par l'ADRC le XXXXXXXXXX. Selon ce dernier avis, le total à payer, l'impôt total retenu et l'abattement du Québec remboursable correspondaient aux montants indiqués sur la déclaration de revenus modifiée. Cet avis indiquait toutefois un solde dû de XXXXXXXXXX $ correspondant à des intérêts sur le montant d'impôt payable selon la déclaration de revenus initiale pour la période allant de la date de production de ladite déclaration, soit le XXXXXXXXXX, jusqu'au mois de XXXXXXXXXX.

6. Un quatrième avis de cotisation a été émis par l'ADRC le XXXXXXXXXX, et aucun changement n'a été apporté au montant d'impôt payable. Cependant, les intérêts sur arriérés ont été réduits à XXXXXXXXXX $ du fait que la période de leur calcul a été modifiée, soit à partir de la date de production de la déclaration initiale, le XXXXXXXXXX, jusqu'à celle de production de la déclaration de la première année d'imposition de la succession, le XXXXXXXXXX.

Question

Vous voulez savoir si, à notre avis, le jour visé par le sous-alinéa 161(7)b)(ii) de la Loi est le XXXXXXXXXX , aux fins de l'application de l'alinéa 161(7)b) de la Loi?

Vos commentaires

Vous nous avez référé au MOI 1985.72 - "Choix exercés en vertu du paragraphe 164(6)", qui prévoit que :

(7) La date d'entrée en vigueur de l'intérêt applicable au choix correspond généralement à la date de production de la déclaration modifiée ou de la demande; cependant, cette date ne peut être antérieure à la plus tardive des dates suivantes :

(A) la date d'entrée en vigueur de l'intérêt de la cotisation initiale établie à l'égard de la déclaration faisant l'objet d'une nouvelle cotisation.

(B) le premier jour après la fin de l'année d'exercice de la déclaration T3.

(C) la date de production de la déclaration T3.

En se basant sur le MOI 1985.72, vous êtes d'avis que le jour visé au sous-alinéa 161(7)b)(ii) de la Loi correspond à la date de production de la déclaration T3 selon l'élément (7)(C) décrit dessus, soit le XXXXXXXXXX, dans la présente situation. Cette date correspond donc à celle de la fin de la période visée par le quatrième avis de cotisation.

Commentaires du représentant autorisé

Selon le représentant autorisé, le sous-alinéa 161(7)b)(i) de la Loi ne mentionne pas expressément à quel contribuable est "rattachée" l'"année d'imposition ultérieure". Cependant, le préambule de l'alinéa 161(7)b) de la Loi réfère à la déduction de montants visés à l'alinéa 161(7)a) incluant celle mentionnée au sous-alinéa 161 (7)a)(iv.2) de la Loi qui est pertinente en l'espèce. En soulignant que la dernière année d'imposition de Mme X est celle se terminant en XXXXXXXXXX et qu'elle ne peut avoir d'année d'imposition ultérieure à cette année, le représentant autorisé a conclu que les termes "année d'imposition ultérieure" édictées au sous-alinéa 161(7)b)(i) de la Loi réfèrent à une année d'imposition de la succession de Mme X.

Le sous-alinéa 161(7)b)(ii) de la Loi fait uniquement référence à une déclaration de revenus concernant Mme X, bien que la disposition législative envisage qu'une telle déclaration puisse être produite par le représentant légal de Mme X. Si le législateur avait voulu également viser la déclaration de revenus de la succession de Mme X à cette même disposition, il aurait employé des termes clairs et non-équivoques à cet égard comme il l'a fait à l'alinéa 1000(2)b) du Règlement de l'impôt sur le revenu. Selon le représentant autorisé, le sous-alinéa 161(7)b)(ii) de la Loi n'est pas applicable dans les circonstances, et par conséquent, la fin de la période visée par le dernier avis de cotisation de Mme X est le XXXXXXXXXX , en vertu des sous-alinéas 161(7)b)(i), (iii) ou (iv) de la Loi.

Nos commentaires

L'alinéa 161(7)b) de la Loi stipule que "le montant qui est appliqué en réduction de l'impôt payable par le contribuable pour l'année en vertu de la présente partie et des parties I.3, VI et VI.1 par suite de la déduction ou de l'exclusion de montants visés à l'alinéa a) est réputé avoir été versé au titre de son impôt payable pour l'année en vertu de la présente partie au dernier en date des jours suivants :

(i) le premier jour qui suit cette année d'imposition ultérieure,

(ii) le jour où la déclaration de revenu du contribuable ou de son représentant légal pour cette année d'imposition ultérieure a été produite,

(iii) ..."

Notre compréhension des faits est que vous et le représentant êtes d'accord sur le fait que le jour visé par chacun des trois sous-alinéas 161(7)b)(i), (iii) et (iv) de la Loi est le XXXXXXXXXX. Or, si le jour visé par le sous-alinéa 161(7)b)(ii) de la Loi survient après le XXXXXXXXXX, ce jour sera le dernier en date des jours mentionnés au sous-alinéa 161(7)b)(ii) et le montant qui sera appliqué en réduction de l'impôt payable par le contribuable pour l'année par suite de la déduction de montants visés à l'alinéa a) sera réputé avoir été versé au titre de son impôt payable pour l'année à cette date.

Le représentant mentionne dans sa lettre qu'aucune déclaration de revenus n'a à être produite pour XXXXXXXXXX pour une année d'imposition antérieure à XXXXXXXXXX puisqu'elle est décédée le XXXXXXXXXX , et par conséquent, le sous-alinéa 161(7)b)(ii) n'est pas applicable. Nous ne sommes pas d'accord que le sous-alinéa 161(7)b)(ii) n'est pas applicable. Selon nous, les mots le jour où la déclaration de revenu ou de son représentant légal pour cette année d'imposition ultérieure a été produite que l'on retrouve à ce sous-alinéa veulent dire le jour où la déclaration de revenu produite par le représentant légal pour cette année d'imposition ultérieure a été produite. Il ne fait pas de doute pour nous que la déclaration dont il est question ici est la déclaration de la succession puisque cette déclaration est la seule qui est susceptible de s'appeler année d'imposition ultérieure. C'est d'ailleurs de cette année d'imposition dont il est question au sous-alinéa 161(7)(a)(iv.2) (appelée également année d'imposition ultérieure à cet endroit). Selon nous, il n'était pas nécessaire pour le législateur de spécifier qu'il s'agissait de la déclaration de la succession, puisqu'il fait référence à la déclaration de revenu du représentant légal pour cette année d'imposition ultérieure, ce qui ne peut être autre chose que la déclaration de la succession.

D'autres parts, nous aimerions attirer votre attention sur le langage utilisé au paragraphe 164(6), qui mentionne en partie ceci :

Lorsque, au cours de l'administration de la succession d'un contribuable, les représentants légaux du contribuable ont, durant la première année d'imposition de la succession : a) soit disposé d'immobilisations de la succession..., les règles suivantes s'appliquent, malgré les autres dispositions de la présente loi

c) la partie que le représentant légal choisit, selon les modalités et dans le délai réglementaires, d'une ou de plusieurs pertes en capital de la succession résultant de la disposition de biens au cours de l'année et dont le total ne dépasse pas l'excédent visé à l'alinéa a) est réputée représenter, sauf pour l'application du paragraphe 112(3) et du présent alinéa, des pertes en capital du contribuable décédé résultant de la disposition des biens par celui-ci au cours de sa dernière année d'imposition, et non des pertes en capital de la succession résultant de la disposition de ces biens;

Il est clair que cette disposition a pour objet de permettre le report des pertes de la succession pendant la première année d'imposition de la succession à la dernière année d'imposition du contribuable décédé. Dans ce contexte, il semble clair que la première année d'imposition de la succession est l'année d'imposition ultérieure dont il est question au sous-alinéa 161(7)(a)(iv.2) et au sous-alinéa 161(7)(b)(ii) de la Loi.

Nous considérons donc comme vous que le jour visé par le sous-alinéa 161(7)b)(ii) de la Loi est le XXXXXXXXXX dans la présente situation, soit le jour où la déclaration de revenu de la succession de Mme X a été produite par le représentant légal.

Pour votre information, une copie de cette lettre sera épurée selon les critères contenus dans la Loi sur l'accès à l'information et sera disponible dans la Banque d'accès à la législation (en anglais: Legislative Access Database-(LAD)) qui se trouve sur l'ordinateur central de l'ADRC. Une copie de la version épurée sera également distribuée aux éditeurs fiscaux commerciaux pour insertion dans leur banque de données. Le processus d'épuration permet d'enlever toute information qui n'a pas à être dévoilée y compris toute information qui permettrait l'identification du contribuable. Si votre client demande une copie de cette lettre, vous pouvez lui remettre une copie épurée de la lettre telle qu'elle se trouve dans la Banque d'accès à la législation. Le client peut aussi demander une copie de la lettre épurée en vertu des critères de la Loi sur la protection des renseignements personnels sur laquelle apparaît le nom du contribuable. Toute demande à cet effet devrait être faite auprès de Madame Jackie Page au (819) 994-2898. Dans ce cas, la copie épurée selon les critères de la Loi sur la protection des renseignements personnels vous serait envoyée pour que vous puissiez la remettre à votre client.

After the estate of Ms. X elected to carry back capital losses to her terminal return, CCRA assessed arrears interest from the date of filing of the terminal return to the date of filing for the estate’s first taxation year, i.e., the date referred to in s. 161(7)(b)(ii). In rejecting the argument of the taxpayer’s representative that s. 161(7)(b)(ii) was inapplicable because the taxpayer (Ms. X) did not have a “subsequent taxation year” to her terminal year, the Directorate stated:
